Re: RdK and CRU organization

Dear colleagues,

By means of this letter we would like to inform you of the actions we have taken in order to further solidify the RdK and CRU organization.

New directors for RdK In the last week of September 2012 the Supervisory Board finalized the recruiting process for the new directors of RdK. The supervisory Board has made a recommendation to the shareholders for the candidates, Mr. R. van Kwartel for the Industrial Director position and Mrs. A. Isabella for the General Services Director position.
MOU

with Refineria fsla Curacao

B.V.

As paft of the CRU Operations & Maintenance constant improvement projects and maintenance backlog elimination projects it is necessary to review the actual achievements, recommend further improvements and implement these. Refineria Isla Curacao BV is prepared through a MOU, which has been finalized November L6,20L2, to assist RdK and CRU with abovementioned review and further improvements implementation by making available ceftain of their key employees. However in the meeting with shareholders of November 19, 2012, the shareholder requested the appointed RvC commissioners not to sign the MOU and to leave this matter in the hands of the newly appointed interim director. The appointed RvC commissioner(s) will proceed with the signing of this MOU with Refineria Isla B.V. as soon as possible, in order to continue diligently working towards the necessary CRU constant improvements.

CRU Plant Manager We are in conversation with Mr. Emille Wall6, who is an experienced refinery and utilities executive, in order to reach an agreement where Mr' Wall6 is appointed the CRU Plant Manager as soon as possible.

In such a case the delegated proxy to the Management Team will cease to exist, Mr. Henny Barbolina will continue as the CRU Operations Manager, Mr. Jeff Paris as the CRU Maintenance Manager and Mrs. Abigail Isabella will continue as RdK Financial Controller overseeing also CRU, untill she is possibly appointed as General Services Director of RdK overseeing also
CRU.

We finalize informing you, that the RvC will continue to identify and implement all other organizational needs of CRU in order to consolidate the CRU organization as Soon as possible with your valued assistance.
