DearMessrs.DimonandCutler: Asashareholderandattorney,Iwritetomakeyouaware that JPMorganChaseBank maybepartytoanillegalpyramidscheme.Namely,thereissubstantialevidencethatHerbalife Ltd.isanillegalpyramidschemeoperatingundertheguiseofahealthproductscompany.Upon investigation,however,itappearsasthoughHerbalifemaypaymoremoneytoparticipantsinits businesstorecruitnewparticipantsthanitdoesforsaleofitsproducts.Thisisillegal.See,e.g., Websterv.OmnitritionIntern.,Inc.,79F.3d776(9thCir.1996). JPMorganChaseBankisaidingHerbalifeinmaintainingandperpetuatingthatscheme and thus, may itself be liable for injury caused by it. Specifically, JP Morgan Chase Bank providesHerbalifearevolvingcreditfacilitythatenables Herbalifeto maintainand extend its scheme. Assoonaspractical,pleaseconfirmtomethatyouhaveinvestigatedtheseissuesand ceasedallinvolvementwithorsupportofHerbalife.IfyouchoosenottoinvestigateHerbalifeor not to cease your involvement therewith, please provide me the legal basis justifying your decision,includingatminimum the opinionletterfromyourcounsel uponwhichyourely. I believeyouhaveafiduciarydutytomeandothershareholderstoensureJPMorganChaseBank isnotinvolvedwithcriminalactivity. Butmoreimportantly,whywouldyouevenwanttoriskinjuringJPMorganChaseBank's stellarreputationbybeinginvolvedwithHerbalife?Theycannotbesoimportantacustomerthat youwouldjeopardizeyourgoodnameandreputationbybeinginvolvedwithsuchanunsavory company.
