ANNOUNCEMENT TO ALL SHAREHOLDERS CAUTIONARY STATEMENT

Shareholders are advised that the Company has received notice from Lengrah Investments (Private) Limited (Lengrah), trading as BCM hotels and Real Estate, that it now controls 36.51% of the shares in the Company. Lengrah has further advised that it will comply with Section 3 (Detailed Takeovers and Mergers), under Chapter 9 of the Zimbabwe Stock Exchange (ZSE) Listing Requirements and therefore intends to make a mandatory oer to acquire the shares of all minority shareholders. Lengrah has advised that it has commenced preparation of a circular to shareholders of the company, which will include details of the oer and this will be published upon approval by the ZSE. The Company shall keep shareholders updated on the process and meanwhile, shareholders are advised to exercise caution when trading their shares.
