PURPOSE: The growing use of digital and social media (Online Media) has enabled Ayala
Land Inc. (ALI), its subsidiaries, and affiliates (Brands) to reach out and communicate to an ever-
expanding audience. Aside from being an avenue for self-expression, Online Media is also a tool
that we can use to further our business. As an Accredited Seller, you are an ambassador for ALI
brands, and your online presence affects how our current and potential clients and partners
perceive ALI. We respect your right to freely express yourself online, and this policy sets forth
guidelines that all Accredited Sellers can refer to with respect to your online actions.

COVERAGE: This Policy covers all uses of Online Media related to the Brands real estate
business. It is not intended to cover personal activities not related to ALI.
However, any conduct that may adversely affect the Brands may be covered
under the terms of this Policy.

DEFINITION: Online Media (digital and social media) encompasses publicly accessible online
communication to share information, ideas, messages, photos, videos, and other
content. These include, but are not limited to, social networks such as Facebook,
Twitter, Tumblr, and Instagram; blogs; forums; websites; groups; and
commentaries.

POLICY: We respect your right to express your ideas and opinions regarding various
topics on online media. However, just as you would in the offline world, be
responsible and exercise good judgment on your online activities to ensure
adherence to ALI policies and to preserve and uphold the reputation of the
Brands.

DISCLAIMER: The Brands accept no liability for content you create. Any views or opinions
presented, posted, and shared are solely those of the author and do not
necessarily represent those of the Brands. In addition, ALI may reasonably
monitor your behavior online, following the law and industry best practices.

COORDINATION: You may get in touch with the Channel Coordinator and Brand Marketing
Head responsible for implementing this Policy for questions and clarifications.

ADMINISTRATION: Policy violations are subject to review and possible disciplinary action as
defined in the Ayala Land Sellers Code of Ethics. The final resolution of
complaints and violations will be done through the Channel Coordinator and
Brand Marketing Head.

GUIDELINES

1. Online identification: Clearly identify yourself in all Online Media used to
promote real estate in general, and the Brands in particular. The following
data should be included, if applicable:

a. Your name and logo. The use of any ALI or Brand logo is not allowed.
b. Your address, as well as the address of your brokerage office.
c. Your telephone number/mobile number/fax/e-mail address.
d. The person or entity responsible for the online presence, such as, but not
limited to, a website, a blog, or a Facebook page.
e. Your real estate license.

2. Websites and Blogs You are responsible for complying with all applicable
laws and regulations governing real estate and maintaining an online
presence on platforms such as, but not limited to, a website, a blog, or a
Facebook page.

Terms of Use: Online presence that you create, manage, or maintain is
subject to review and approval of the Channel Coordinator and Brand
Marketing Head, pending compliance with relevant ALI Policies.

a. Upon request, provide the Terms of Use of any online presence to the
Brands. The Terms of Use should include the following clauses:

i. Users shall abide by all legal requirements related to the use of
the site and the Terms of Use, including its privacy policy. Users
shall be responsible for their conduct on the site.
ii. The unauthorized use of third party content or the posting of
unlawful or objectionable materials is prohibited.
iii. The use of the site to harass or stalk anyone is prohibited.
iv. Content that infringes on the rights of any third party is
prohibited.
v. Content that expresses preference for class, race, nationality, or
any other form of discrimination is prohibited.
vi. Any unlawful or objectionable materials are posted to the site is
subject to a removal policy.
vii. The site is not responsible for any third-party links to the site.

viii. ALI is not responsible for, and disclaims any liability arising
from, the content of the site, whether provided by the creator or
manager of the site, or a User.
ix. All posts on the site are subject to a privacy policy consistent
with that used by the brokerage.
x. All compensation or consideration received in exchange for
comments, reviews, and other posts will be disclosed.

b. Responsibility for Blog/Website Maintenance

i. You shall monitor all activities for false, defamatory, demeaning,
or degrading comments at all times. Damaging comments
should be removed within 24 hours from posting.
ii. You may hold comments subject to review before posting.
iii. You are responsible for removing or clarifying any post if you
are reasonably aware that it is false or misleading.
iv. You are responsible for ensuring that the content and operation
of the site conform to the standards established in the Ayala
Land Sellers Code of Ethics.

3. Third-party Social Media Sites (Facebook, YouTube, Twitter, etc.)

You are required to read, be familiar with, and comply with the policies and
requirements of any site in which you participate in, particularly, the terms of
use, and legal and privacy policies. You should provide a level of online
protection for users of your site consistent with the level of protection in the
ALI website.

Items posted on social media sites may be forwarded or used for purposes
other than that originally intended. Practice good judgment and prudence in
posting content.

You are responsible for ensuring that the content posted conforms to the
standards established in the Ayala Land Sellers Code of Ethics.

a. Posting of Professional Contacts/Qualifications (e.g., LinkedIn,
Real Estate Agent Directories)

i. Ensure that qualifications, credentials, or training listed on the site
are current, accurate, and not misleading. Any changes to the
foregoing should be promptly updated.
ii. Do not falsely claim association with any person or group (e.g.,
trade organizations, designations).
iii. Comply with licensing laws and regulations governing the conduct
of licensees.

b. Posting of Text (e.g., Facebook, Twitter, Instagram, etc.)

i. All posts are considered yours and are not copied without
permission. This shall not prohibit the use of reasonable quotations
for which you have received permission, or for those consistent with
the practices of the site, such as, but not limited to, sharing on
Facebook, or re-Tweeting on Twitter. Content that infringes on the
rights of any third party may not be used. Articles may be posted
with full attribution, including a link to the source.

ii. Ensure that writings do not contain unauthorized disclosure of
confidential client information.

c. Posting of Comments on Other Social Media

i. Do not post anonymously, nor provide negative or defaming posts,
comments and/or ratings. The Brands may employ IP tracking, if
necessary, to identify negative or defamatory posts.
ii. Do not post on the profiles or pages of the Brands to recruit agents
to their brokerage or to recruit management brokers of record to
gain employment at their brokerage.
iii. Do not post spam, ads, or listings on the profiles or pages of the
Brands.

d. Posting of Photos, Audio, Video (Flickr, Picasa, LIVE, YouTube,
Podcast, etc.)

i. Ensure that you are authorized to post any image, audio, or video to
avoid copyright infringement.
ii. Secure permission to post any image, audio, or video belonging to
another person.

iii. Disclose any material alteration (e.g., Photoshop) of images, audio,
or video to avoid misleading users on the true condition of the
original source.
iv. Understand the differences between fair use and commercial use
for images, audio, and video sourced from other sites.

e. Online Classified Advertising

i. Disclose your full name and brokerage name on all ads placed on
online classified advertising spaces, and applicable details as
listed under Section 1, Online Identification.
ii. Do not post real estate listings for sale or for lease in online
classifieds, unless you have express authorization from the Brands.
iii. Ensure that real estate listings are updated.
