COMMUNITIES OF DISTINCTION CONTRACT

DERBY The City of Derby has been advised by Communities of Distinction that Terry
Bradshaw is not currently under contract with them and, therefore, would not be the host
of the City of Derbys production. Communities of Distinction indicated that they had
believed that the relationship with Mr. Bradshaw had been extended. Therefore, based
upon the foregoing, the Participation Agreement between the City of Derby and
Communities of Distinction has been terminated. The City received a full refund of all
amounts paid. In addition, Communities of Distinction will be providing the City of
Derby, at no cost, with an edited production from the footage already filmed with full
licensing rights in order that the City of Derby may use the film for marketing/advertising
purposes.
