Dear Mr. Harris:

As discussed this afternoon, Ms. Leah Rayne has authorized me to offer a confidential
compromise of the claims we asserted on her behalf by letters dated December 19, 2014
and December 23, 2014, as follows:
1. Ms. Rayne would be reinstated to her former position and pay grade with the Texas
Health and Human Services Commission (HHSC) with an effective date of September 25,
2014, with credit to her leave account (for September 25 through December 4, 2014) and
full back pay from December 4, 2014. Additionally,Ms. Rayne would be reimbursed $5,000
for attorney fees.
2. The ExecutiveCommissionerwould sign a letter retractingthe Commission's September
25, 2014 letter to Ms. Rayne, and in particularthe statements contained in the third
paragraph of the Commission's letter, apologizing for same on behalf of the Commission.
3. The parties would sign a mutual release.
This offer shall expire without further notice of any kind unless accepted by 5:00 p.m.,
January 9, 2015.
