DEED OF EXCHANGE

KNOWN ALL MEN BY THESE PRESENTS:

This Deed of Exchange made and entered into by and between:

Ricardo Santos, of legal age, Filipino, single, and a resident of Barangay
Pinagkaisa, Quezon City, Philippines (herein referred to as FIRST PARTY);
-andFeliciano Ng, of legal age, Filipino, single, and a resident of Project 6,
Quezon City, Philippines (herein referred to as SECOND PARTY).
WITNESSETH
WHEREAS, the FIRST PARTY is the true and registered owner of a motor
vehicle, covered by a Registration Certificate of Motor Vehicle No. 12307
registered in his name by the Land Transportation Office, Quezon City on
January 10, 2014, more particularly described as follows:
MITSUBISHI MONTERO SPORT 2013 MODEL WITH PLATE NO.PFK
765, MOTOR NO. 12345 AND CHASSIS NO.543241.
WHEREAS, the SECOND PARTY is the true and registered owner of a
parcel of land situated in Rodriguez, Rizal, Philippines covered by a Transfer
Certificate of Title No. 84759 of the Register of Deeds of Rizal, more
particularly described as follows:
THREE HUNDRED SQUARE METERS (300 SQ METERS),
RESIDENTIAL LOT LOCATED AT BGY. SAN JOAQUIN,
MUNICIPALITY OF RODRIGUEZ, PROVINCE OF RIZAL,
PHILIPPINES.
WHEREAS, the FIRST PARTY and the SECOND PARTY, have agreed to
transfer and convey by way of exchange the above described properties in
favor of each other;
NOW THEREFORE, for and in consideration of the foregoing premises,
the first party hereby CEDES,TRANSFERS, and CONVEYS BY WAY OF
EXCHANGE, the motor vehicle covered and described under Registration
Certificate of Motor Vehicle No. 12307 by the Land Transportation Office,
including all the improvements thereon in favor of the SECOND PARTY and in
the same manner, the SECOND PARTY, CEDES, TRANSFERS, and
CONVEYS BY WAY OF EXCHANGE, the parcel of land covered and
described under the Transfer Certificate of Title No. 84759 of the Register of
Deeds of Rizal, including all the improvements found and standing thereon in
favor of the first party.

IN WITNESS WHEREOFF, we have hereunto set our hands, this 15th day
of June 2015, at Quezon City Philippines.
