A company manufacturing refrigerators had a scheme wherein a person buying
refrigerators worth 5 lakhs or more get a special concessional rate for the refrigerators.
Sumit was setting up a hotel and wanted to buy several refrigerators. He went to the
regional marketing manager of the company in his town and placed an order for his
requirements totaling more than Rs. 5 lakhs. The manager explained the arrangement to
sumit. To sumits offer, he would give an acceptance, subject to confirmation by the head
office.
Sumit was required to deposit an advance of Rs. 25,000/-. The amount was refundable, if
the acceptance was not confirmed by the head office. Sumit learnt that the company was
using the scheme to clear out old inventories. Sumit went to the manager the next
morning and gave it to him in writing that he was withdrawing the order placed with
them the previous day, and the advance of Rs. 25,000/-may kindly be refunded
immediately to him. The manager insisted that the order could not be withdrawn as it has
been accepted. It only needs to be confirmed by the head office. Therefore, he refused to
pay back.
