Evaluation Device Agreement Conditions: This B.0.LT Evaluation Device Agreement {herein known as “Agreement") shall be effective from Effective Date listed in section E. “Evaluation Device Agreement Terms”. American Megatrends India Pvt. Limited, having its Registered Office at Kumaran Nagar, Semmencherry Chennai 600 119, Tamil Nadu, India (herein known as, “AMI India”) and ALCHEMIST LIMITED, (herein known as "Customer”) agree to the following terms and conditions: 1. Loan: For the purpose of evaluation, AMI India is making available the Device & SDK as specified in the section D. Evaluation Device & SDK Information. The device & SDK shall be delivered to Customer for use at the address(es) and for the period of as specified in section E. Evaluation ‘Agreement Terms. AMI Indif shall ship/transport the evaluation Device to Customer's mentioned address. 2. Ownership: The Device & SDK is on loan basis ONLY to Customer and the ownership remain with AMI India only while at Customer premises and shall be identified accordingly 3. Maintenance/Repair/Access: For maintenance and/or repair of the device, Customer will contact AMI India's Technical Support Department. Any additional device/accessory sent to Customer for maintenance purposes or to enhance the performance of the device shall be covered by this Agreement and will be identified on sending documents forwarded to Customer by AMI India. AMI India and Customer hereby agree to incorporate these shipping documents by reference into this ‘Agreement. 4. Responsibility: Customer hereby agrees that AMI India shall in no way be responsible for any damages, demands, liabilities and loss of any kind arising in connection with the Device & SDK and its use by Customer during the evaluation period or when the device is at the Customer's premises or control. 5, Return of Device: Upon the expiration of the term for this evaluation, specified herein, Customer can elect to purchase the Device & SDK at the specified price or if 8.0.L.T. device does not meet technical needs of Customer, Customer may return the Device to AMI India. AMI India will coordinate pick-up of the Device from the Customer's location. It Is the responsibilty of the Customer to ensure the device is properly packed in the original package along with all the accessories and made ready for shipment. Evaluation Device & SDK Information. Customer hereby agrees to return Device in original boxes received in the same condition as originally received from AMI India, Customer will have only three days (3) time from the expiration date of the term in which to return the Device to AMI India. if the Device Is not returned to AMI India during the three (3 day period as stated herein, Customer understands and hereby agrees that they shall be charged for the Device & SDK at the specified price as listed within this said agreement. Customer agrees that the signatory to this Agreement is an authorized representative of the Customer and has the corporate authority to bind the customer company to the terms and conditions of this said Agreement. 6. Settlement of Disputes: In case of disputes if any arising out of this Agreement, the same shall be referred to a Sole Arbitrator to be appointed by AMI India under the provisions of a statutory enactment made in india an Alternative Dispute Resolution mechanism viz. Arbitration & Coneiliation Act, 1996 or any statutory modification or enactment made thereof as may be applicable from time to time during the period of this agreement, In witness whereof, the parties hereunto have set their respective hands on this day of 02" September, 2015.
