WITHDRAWAL OF LISTING OF THE BONDS

This announcement is made by China Overseas Finance Investment (Cayman) IV Limited (the
Company) and China Overseas Holdings Limited (the Guarantor).
The Company refers to its announcement dated 11 January 2016 in relation to the notice of redemption of
all the outstanding Bonds.
Following the redemption by the Company, and the cancellation by Deutsche Bank Luxembourg S.A. as
registrar, of US$6,000,000 in aggregate principal amount of the Bonds on 14 January 2016, the aggregate
principal amount of Bonds which remain outstanding is nil. Accordingly, the Company has applied to
The Stock Exchange of Hong Kong Limited to withdraw the listing of the Bonds. Such withdrawal of
listing is expected to become effective upon the close of business on 25 January 2016.

Shareholders of the Company and the Guarantor and potential investors should exercise caution
when investing or dealing in the securities of the Company and the Guarantor. You are also
recommended to consult your own professional or financial advisers if you are in any doubt as to
