March 30, 2016 Katie Abrahamson-Henderson RE: Memorandum of Understanding Offer Head Women's Basketball Coach University of Central Florida Dear Katie kis with great pleasure that [offer you the position of Head Women’s Basketball Coach of the University of Central Florida (“UCF or University”), effective on a date to be determined. This Memorandum of Understanding, which presenis the material terms of our offer, will be expanded and incorporated into a formal ‘employment contract between you and UCF Athletics Association, Inc. *UCFAA"), Your acceptance of this offer will constitute a binding agreement between you and UCEAA. The employment contract will be fora period of five years with an option for a two-year extension after a 24-month review at UCFAA’s diseretion. ‘Your compensation will include the following: ‘+ Guaranteed annual base compensation of $275,000, ‘Guaranteed annual compensation of $100,000 for duties to include radiavtetevision appearances, speaking engagements, equipment und apparel endorsements, payable in quarterly installments. ‘Incentive compensation of up to $100,000 for achieving academic and athletic performance goals as determined by the Vice President and Director of Athletics andthe Head Women’s Basketball Coach (Cumulative). ‘Full standard benefits on the same terms as provided by UCFAA to all professional employees, with contributions and benefit amount based upon the base salary where relevant. ‘+ Reimbursement for your household moving expenses in accordance with UCEAA policy ‘© Use ofa vehicle as provided by UCFAA or automobile allowance. © Club Membership ‘© Salary poo! for staff (full-time assistant coaches, operations, video, ee.) of $260,000 for full-time assistants, and $125,000 for women’s basketball suppor staff members, Among other terms, your employment contract shall include the following: ‘+ You shall be prohibited from receiving any benefits or compensation other than as described above from ‘any other source without prior writen agreement‘© I you terminate the contract, or ifthe contract is terminated for cause, the University or UCFAA shall not be liable for any payments or benefits after the date of termination. ‘The standard UCFAA provision for termination for cause, + A provision that you will agree not to seek or apply for other collegite/professional basketball coaching positions without prior notice. Ifyou accept another collegiate or professional basketball coaching, position during the term, you are responsible to pay UCFAA a buyout of one-half your guaranteed ‘annual compensation for each year remaining on the term of the contact.
