Free charge Contract No. WEEM-OPS-001-14 wn Aminex Petroleum, Egypt LTD FORM OF CONTRACT FOR SUPPLY OF MUD PRODUCTS AND SERVICES Contract No. WEEM-OPS-001-14 This Contract made and entered into on the 20 day of July 2014 between AMINEX. (Hereinafter referred to as "COMPANY") whose office at 16 Farouk Amer st, Sheraton Heliopolis. Cairo, Egypt, and DFT ( PICO Energy) a company organized under the laws of -A.R. E. with its office located at 24 Wadi Elnil st 11431Maadi, Cairo, Egypt hereinafter referred to as "CONTRACTOR", ‘Witnesses Whereas CONTRACTOR is qualified to supply the required mud products and a mud services engineer {to mix, test and treat the mud system and, Whereas COMPANY desires CONTRACTOR to supply COMPANY with such mud products and mud services engineer. ‘Now, therefore, in consideration of the promises and covenants exchanged herein, the parties agree as follows: - ARTICLE 1. SCOPE OF WORK CONTRACTOR shall at his sole cost and expense supply the mud products on consignment basis as specified in Exhibit “C" (The “Mud Products”) and the mud services engineer to mix, test and treat the ‘mud system on board the rig(s) (the Services), as COMPANY may require from time to time for COMPANY’s drilling operations at West Esh Ei mallaha Concession and any other location that may be operated by COMPANY in Egypt (the “Site”). Company initial exploration program is to drill two ‘ells (one Firm + one optional in the said concession by the end of July, 2014. ARTICLE 2. TERM |. The primary ferm of this Contract shall be for a period of two years effective 20*July, 2014 2. COMPANY shall have the right to extend this Contract for an additional period of one year at the same rates, terms and conditions by sending to CONTRACTOR a written notice thirty (30) days in advance prior to the expiration date of the primary term, 3. COMPANY shall have the right to terminate this Contract at any time during its primary term or any ‘extension thereafter for unsatisfactory performance after giving CONTRACTOR written notice as Prescribed below in which COMPANY shall specify and detail the cause of its dissatisfaction. If in connection with any unsatisfactory performance, CONTRACTOR fails ot refuses to remedy, of commence to remedy and diligently carry out remedial measures for the matter complained of, within seven (7) days after said written notice is received by CONTRACTOR, COMPANY shall have the right to terminate this Contract in its entirety without any further obligations or legal proceedings whatsoever. 4. In all cases, COMPANY shall have the right to terminate this Contract in its entirety at any time uring its primary term or any extension thereafter by giving CONTRACTOR thirty- (30) day's advanee written notice. aX. Aminex Petroleum, Egypt LTD ARTICLE 3. CONTRACTOR’s OBLIGATIONS 1. CONTRACTOR shall supply the Mud Products in accordance with the API (American Petroleum Institute) and OCMA standards. The burden of proof of quality will be on CONTRACTOR'S ‘account through an independent laboratory analysis appointed by COMPANY. 2. CONTRACTOR shall be responsible for the determination of the maximum and minimum quantity of each item required to be stocked in CONTRACTOR’s storage facility (warehouse) in the Site. . The Mud Products shall be at all times the CONTRACTOR'S property until received by COMPANY. COMPANY will not be responsible or liable for stock amount and/or the unconsumed {quantity atthe end of this Contract termination or end of the well(s) or work program. 4, CONTRACTOR shall supply only the types and brands of Mud Products mentioned in (Exhibit “C™ Mud Products list). COMPANY will allow substitution product. However the substitution product will be accepted in case of non-availability of the existing Mud Products or due to product improvement. The acceptance will be after the necessary testing and formal approval by COMPANY. 5. CONTRACTOR will supply oil field laboratory mud testing equipment required to perform the daily tests required and its related chemicals, papers, reports forms and any other consumables Fequired to produce the required tests on his expenses As per Exhibit B. 6. The Mud Service Engineers provided by CONTRACTOR must have at least (7) years of rig ‘experience as mud engineers. COMPANY shall approve submitted resumes prior to working on the rig. CONTRACTOR shall provide a Mud Engineer supervisor in East North Esh El Mallaha Concession when required to check and assure the mud quality and operations consistency itrespective of the actual performance on weekly basis and/or when requested by the COMPANY. 7. The Mud Service Engineers once accepted by COMPANY shall not be replaced without COMPANY’s written consent, which consent shall not be unreasonably withheld, 8, The Mud Service Engineers shall perform the Services required hereunder in accordance with generally accepted good oilfield practices, including safety practices generally required by the industry and required by COMPANY’s safety rules and regulations, 9. CONTRACTOR will pay all travel expenses for its Mud Service Engineers between their point of origin and Cairo 10.CONTRACTOR shall bear all expenses of his Mud Service Engineers in Cairo, lodging and meals hile waiting to travel to the work Site, 11,CONTRACTOR shall provide, at its expense, all carnage and transportation for the Mud Products Provided hereinafter between the point of origin and CONTRACTOR's onshore warchouse at West Esh El Mallaha Field and/or other CONTRACTOR's onshore base(s) in Egypt as COMPANY may request, and / or the rig site 12. CONTRACTOR shall be fully responsible for providing, at his expense, transportation to ship the “Mad Products between CONTRACTOR's warehouse and the Site 13.CONTRACTOR undertakes not to remove or transfer from the Site the Mud Products without writen approval by COMPANY. 14.Upon termination or completion of this Contract, CONTRACTOR shall, a his expense, have the ‘Mud Products removed from the Site and shall return and bear the expenses, of returning the Mud Products tothe point of origin. ARTICLE 4. COMPANY’s OBLIGATIONS, 1, CONTRACTOR’s Mud Service Engineers may utilize COMPANY’s provided transportation (if available) between Cairo and the work site at no cost to CONTRACTOR. 2. COMPANY shall provide food and lodging for CONTRACTOR's Mud Service Engineers while performing the Services on the rig site. 3. COMPANY shall provide first aid medical care in rig site is required for CONTRACTOR's Mud Service Engincers at CONTRACTOR's cost and expense which will be invoiced by COMPANY to CONTRACTOR. It is expressfully understood and agreed by the parties hereto that said medical care is provided subject to CONTRACTOR’s indemnity under Article 13-B of this Contract. Contract No, WEEM-OPS-001-14 Aminex Petroleum, Egypt LTD 4. COMPANY may, from time to time, direct CONTRACTOR to change stock quantities that are subject to drilling requirements and CONTRACTOR shall make the required adjustment to stock. 5. COMPANY has the right o sample and check any of CONTRACTOR’s products at any time during ‘the duration of this Contract or any extension thereafter. ARTICLE 5. CONTRACTOR'S PERFORMANCE CONTRACTOR’s performance will be monitored by COMPANY Cairo office drilling personnel and will be evaluated on the following parameters: CONTRACTOR will be required to submit a drilling uid program with the estimated product consumption prior to commencement to drill the well. The program will recommend drilling fluid Property specifications as well as document related offset well information and cost per foot/cost per barrel data b. Drilling fui cost per foot and cost per barrel achieved on the well will be compared with recent similar wells and results achieved by competitors in the same field or area, Total drilling cost, efficiencies and problems for the well will also be considered into the evaluation, © CONTRACTOR’s recommended drilling fluid program and product consumption submitted prior to drilling the well will be evaluated and compared to the results documented on the post well analysis. 4. The post well drilling fluid recap will be carried out and submitted by CONTRACTOR to COMPANY within one week after completing the well and evaluated for presentation format, content and recommendations. ARTICLE 6 FORCE MAJEURE Ifeither party hereto is prevented or hindered or delayed from performing its duties hereunder asa result of force majeure, such non-performance shall not be considered a breach of this Contract for the duration of such foree majeure. The term force majeure as used herein shall means acts of God, war, civil disturbances, strikes, orders, decisions or measures of local governmental authorities of whatever nature or denomination, or any other event which is unpredictable and outside the control of the parties hereto In case of force majeure the parties shall use their best efforts to remedy the situation to the extent Possible. Notwithstanding the foregoing, CONTRACTOR agrees to demobilize his personnel during the force majeure period as soon as feasible at its cost. ARTICLE 7 TAXES, VISA AND WORK PERMITS, CUSTOMS DUTIES AND SOCIAL INSURANCE. A- TAXES |. All taxes Gincluding, without limitation, income taxes) imposed by Egyptian law upon CONTRACTOR in connection with its performance under this Contract will be CONTRACTOR’s own liability. CONTRACTOR will be responsible for settlement of all taxes on CONTRACTOR'S income hereunder and on income of CONTRACTOR’s personnel supplied hereunder. CONTRACTOR will hold COMPANY harmless from any loss, cost, damage or expense arising, from CONTRACTOR’ failure to pay its taxes when due. COMPANY shall have the right to withhold amounts required according to the local laws from sums due to CONTRACTOR under this Contract and pay such amounts to the Taxation Authority in the name of CONTRACTOR. 3. CONTRACTOR shall submit to COMPANY prior to the commencement of the primary period and ‘yearly thereafter, a copy of its tax card indicating the last tax declaration submitted to the Taxation Authority. If CONTRACTOR fails to fulfil such obligation, COMPANY will be entitled to stop ‘any payment due to CONTRACTOR until such time as said copy is produced. 4, CONTRACTOR shall not invoice COMPANY for any sales taxes with respect to any materials or Services provided under this Contract since COMPANY is exempted from sales tax according to the law number (15) for the year 1976, B- VISA AND WORK PERMITS. CONTRACTOR shall obtain at his cost and expense visa, work and residence permits required for its expatriate staff. CONTRACTOR will insure that all such visa and permit requirements are attended to in accordance with the laws and regulations of the Arab Republic of Egypt as well as any ‘governmental authority having jurisdiction over the subject matter, CUSTOMS DUTIES. 1. Materials, equipment, supplies, tools and spare parts to be used ot incorporated in this Contract and. Which must be imported into the Arab Republic of Egypt by CONTRACTOR will be cligible for exemption from import and export duties imposed by the Arab Republic of Egypt in accordance with the petroleum concession Contracts pursuant to which COMPANY performs its operations, In order that all such imports shall be and remain so eligible, CONTRACTOR agrees that it will not {ake any action to import any materials, equipment, supplies, tools or spare parts into the Arab Republic of Egypt without firs notifying COMPANY and complying strictly with COMPANY’s instructions and procedure with respect to such imports. All customs clearing expenses in connection with the foregoing will be for CONTRACTOR’s account. In addition CONTRACTOR will be charged with fifteen (15) percent of said clearing expenses to cover COMPANY’s overhead administration charges if COMPANY clears any of CONTRACTOR’s materials through customs. CONTRACTOR understands that COMPANY’s procedure with respect to imports includes the requirement that all materials, equipment, supplies, tools and spare parts imported be used in the Arab Republic of Egypt only in connection with this Contract provided hereunder and CONTRACTOR agrees to so limit their use. Upon the completion or termination of this Contract, the remainder of such items will be retained by CONTRACTOR and exported. If CONTRACTOR elects to leave such items in Egypt, CONTRACTOR shall be responsible for securing necessary import permit (S) and for paying any applicable customs duties or taxes thereon 8s well as any relevant expenses, and CONTRACTOR shall hold COMPANY harmless from any fees, taxes, costs, expenses or duties in connection therewith 2. Within one month afer termination of this Contract, CONTRACTOR shall produce evidence to the satisfaction of COMPANY that all customs obligations mentioned above have been fulfilled (.e. that all such items have been exported or that the items have duty free status under another Contract or that customs duties have been paid by CONTRACTOR in respect of such items). If CONTRACTOR fails to produce such evidence, COMPANY shall be entitled to retain all amounts due to CONTRACTOR of shall be entitled to extend any leter of guarantee on hand until such time asthe evidence is produced, Aminex Petroleum, Egypt LTD All customs duties and charges incurred by CONTRACTOR and /or CONTRACTOR’s employees or CONTRACTOR’s subcontractors and/or their employees in connection with this Contract shall be for the account of CONTRACTOR. D. SOCIAL INSURANCE Social Insurance Contributions applicable to this Contract, as stipulated in the Arab Reput Social Insurance Law, Minist CONTRACTOR’s own liability, No payment will be made to CONTRACTOR unless it submits a social insurance certificate covering ‘the actual amount mentioned in each invoice presented to COMPANY. Payment of the final invoice(s) will be postponed until receiving the final social insurance certificate. ARTICLE 8 LAWS AND REGULATIONS TO BE OBSERVED lic of Egypt Orders and subsequent instructions and regulations, are the All applicable environmental, safety, labor, social insurance and tax laws, regulations, rules and decrees ‘of Egypt or any political subdivision thereof, will apply fo the performance of CONTRACTOR under this Contract in Egypt. CONTRACTOR shall indemnify and save harmless the COMPANY and its Principals, their respective affiliates, successor, assigns, or representatives against any claim or liability from or based on the violation of any such laws, regulations, deerees or the like in connection with or arising out of the performance of the Services whether such violation is claimed to have been by CONTRACTOR or by any ofits employees, agents, subcontractors or its subcontractor’ employees or agents ARTICLE 9. Mud Product Prices shall be as specified in Exhibit "C” which is a part of this Contract. Payment of amounts due to CONTRACTOR under this Contract will be made by wire transfer for USS. Dollars due, subject to a deduction of $ 50.00 for wire transfer services and by check for Egyptian Pounds due, to the address indicated on CONTRACTOR’s invoices, within thirty (30) days after the presentation to COMPANY of correct invoices with work orders duly signed by COMPANY’ representative together with any required reports, 3. COMPANY shall pay the prices set out in Exhibit “C” for the Mud Products consumed in its drilling operations. CONTRACTOR shall submit invoices on a monthly basis attached with the ‘supporting documents duly signed by COMPANY’s authorized representative, 4. In the event COMPANY disputes an item billed, COMPANY shall within 30 days notify CONTRACTOR of the item under dispute specifying COMPANY's complaint and payment for such disputed item shall be withheld until settlement of the dispute, either by mutual Contract or in accordance with the provisions of Article 11 of this Contract. CONTRACTOR's monthly invoices covering the supplies of Mud products shall be paid in full US. Dollars. 6. Payment of any invoice shall not prejudice the right of COMPANY to question the propriety of any charges therein, provided that COMPANY during the term of the Contract plus two (2) years afler termination of this Contract, shall make and deliver to CONTRACTOR written notice of ‘objection to any item or items the propriety of which it questions, specifying the reasons for such objection, Should COMPANY within the above mentioned period so notify CONTRACTOR, adjustments shall be made between the parties accordingly as the propriety or impropriety of such item may be determined, 7. CONTRACTOR shall maintain a complete and correct set of records pertaining to operations Under this Contract, including the performance hereof by CONTRACTOR. COMPANY, in order to verify that all terms and conditions of this Contract have been complied with, shall have the right to inspect and audit any and all of such records during the term of this Contract plus a period of two (Q) years after termination of the Contract, provided that CONTRACTOR shall have the right to exclude any trade secrets, formulas or processes from such inspection and audit. Should the results of any audit so require, appropriate adjustments or payments will be made by the parties. ARTICLE 10. SETTLEMENT OF DISPUTES AND GOVERNING LAW All disputes arising in connection with this Contract shall be settled under the Rules of Arbitration of the Cairo Regional Centre for International Commercial Arbitration by three arbitrators appointed in accordance with said Rules. The arbitration shall be held in Cairo, Egypt. The proceedings shall be conducted in the English language. The laws of The Arab Republic of Egypt shall govern this Contract. ARTICLE 11. CONFIDENTIAL NATURE OF RECORDS, Al records, data, reports and other information used in or obtained fom operations hereunder will belong to COMPANY. During and after the term hereof, CONTRACTOR will treat such items as confidential and will adopt and follow strict precautionary measures in handling them to avoid any third Party obtaining any data or information concerning the work done hereunder or the results thereof. ARTICLE 12 INSURANCE AND INDEMNITY AGREEMENT. A- INSURANCE CONTRACTOR shall procure and maintain, at his own expense, insurance coverage with reputable insurance companies as set forth in Exhibit "A", B- INDEMNITY AGREEMENT, CONTRACTOR shall bear all loss, expenses and damage in connection with and agree to defend, indemnify and save COMPANY and its principals, its and their afiliates, and the officers, employees, servants and agents of any of such parties harmless from all claims, demands, loss, expense, damages and or judgments for personal injury, including death at any time resulting therefore, sustained by any employee of CONTRACTOR or its subcontractor(s), or for any loss or damage to property of the CONTRACTOR or its subcontractor(s), whether or not arising out of or the performance this Contract, whether such injuries to persons or loss or damage to property are due or claimed to be due to any Aminex Petroleum, Egypt LTD Contract No. WEEM-OPS-001-14 negligence of COMPANY or its principals, their affiliates or the officers, employees, servants or agents of any of such parties, or any other person. CONTRACTOR shall bear all loss, expense and damage in connection with and agrees to defend, indemnify and save COMPANY and its principals, its and their affiliates, and the officers, employees, servants and agents of any of such parties harmless from all claims, demands, loss, expense, damages, ‘and/or judgments made, incurred or recovered by any third party because of personal injuries, including death, or damage to or loss of such third party's property resulting from the negligence of CONTRACTOR or its subcontractors or its or their employees. ARTICLE 13. RELATIONSHIP OF THE PARTIES CONTRACTOR is an independent contractor, and neither CONTRACTOR nor its employees, nor CONTRACTOR's sub-contractors or their employees, are agents or employees of COMPANY. The performance, operation, management and control of CONTRACTOR’s equipment and the method, ‘manner and means of performing the work will be under the sole direction and control of ‘CONTRACTOR, and will be carried out by CONTRACTOR's personnel with the primary purpose of performing all acts necessary to execute the work required by the COMPANY in a good workmanlike ‘manner and consistent with safety. It will be the duty of CONTRACTOR to supervise moving ‘operations and positioning as required by COMPANY, to determine by CONTRACTOR's own inspection that all cargo and items of equipment are loaded and stored in a proper manner, and that CONTRACTOR's equipment is in all respects prepared to undertake any contemplated operation under ‘the then existing conditions. However, the work contemplated herein shall meet the approval of COMPANY and be subject to general rights of inspection by COMPANY to insure the satisfactory completion thereof. ARTICLE 14 ASSIGNMENT Either party may assign this Contract to a financially responsible third party, subject to prior written, approval by the other party. ARTICLE 15 CONSEQUENTIAL DAMAGES In connection with this Contract and the Services performed hereunder, COMPANY and CONTRACTOR each waives any claims against the other, whether in contract, warranty, tort or otherwise for incidental or consequential damages of any kind including but not limited to those resulting from loss of revenue or profit, loss of production, reservoir loss or damage and downtime of facilites, regardless of negligence on the part of either the COMPANY or CONTRACTOR. ARTICLE 16 NOTICES Al notices shall be given in writing, and either delivered by hand or sent by telex or facsimile. All notices delivered by hand shall be deemed given, when delivered to the party to whom such notice is to be given and when sent by telex or facsimile shall be deemed given at the time of transmission. EXHIBIT "A": INSURANCE CONTRACTOR shall procure at CONTRACTOR’s expense and maintain in force with respect to and during all time while CONTRACTOR is performing the Services for COMPANY, the insurance policies described below with reliable insurance companies, satisfactory to COMPANY and with policy limits not Jess than those indicated. Moreover, CONTRACTOR shall be responsible and liable to COMPANY ‘according to the law and/or this Contract for any other indemnity instances as set forth herein involving ‘amounts not covered by such policies and/or by such policy limits. CONTRACTOR is to have stipulations incorporated in said insurance policies to the extent that CONTRACTOR’s underwriters agree that recovery of loss and damage claims to COMPANY’s property shall be directly paid to COMPANY by CONTRACTOR’s underwriters. The cost of the required insurance policies is inchuded in CONTRACTOR’s lump sum price or schedule of rates and charges. Any additional premium payaible during the performance of work under this Contract shall be for sole account of CONTRACTOR regardless of cause. Reasonable deductibles are acceptable but shall be for the account of CONTRACTOR. J- SOCIAL INSURANCE Covering all local employees according to local laws. 2-WORKMEN's COMPENSATION INCLUDING OCCUPATIONAL DISEASE AND EMPLOYER's LIABILITY INSURANCE FOR EMPLOYEES Each of the following coverage and employer's liability is subject to a limit of not less than $ 250,000 pper person.
