    KeltinGrimes,asGeneralManagersandassuchtheyshallbeinchargeofthe
    managementoftheaffairsofthepartnership.

    Thatthepartnerswillinglyundertaketochangethenameofthepartnership
    immediatelyuponreceiptofnotice/directivefromtheSecuritiesandExchange
