CONTRACTTOSELL

KNOWALLMENBYTHESEPRESENTS:
ThisContractismadeandenteredintobyandbetween:
NENETTEG.PANGILINAN, oflegalage,single,Filipino,andresidentof1960
SalomeStreetAbacanSubd.Balibago,AngelesCity,hereinafterknownastheSELLER;
and
NOLIEMMANUELT.ANOIIIof legalage,Filipino citizenandaresidentBacolod

CityandDEANNAKRISTINAP.LACSONoflegalage,Filipinocitizen,residentof
BacolodCityhereinafterknownastheBUYERS.
WITNESSETHTHAT:
WHEREAS,theSELLERistheownerofaparcelofhouseandlotlocatedatPhase5,Block56
_Lot53DecaClarkResidencesandResortBrgy.MargotAngelesCity,Pampangacoveredby
Transfer Certificates of Title No. 199028 (hereinafter knownas SUBJECTPROPERTY) as
loanedfromthe8990LuzonHousingDevelopmentCorporationinwhichtheSELLERisthe
registeredbuyerandpayerofmonthlyamortizations.
WHEREAS,theSELLERiswillingtosell,assign,transferandconveyallitsrights,titleand
interestsinanduntotheSubjectPropertyandtheBUYERSagreetopurchasethesameunderthe
followingtermsandconditions.
NOW,THEREFORE,forandinconsiderationoftheforegoingandthetermsandconditions
hereinaftersetforth,thePartiesherebyagree,astheyhaveagreed,asfollows:
TheSELLERherebyagreestoSELL,ASSIGN,TRANSFERandCONVEYtotheBUYERSthe
parceloflandlocatedatPhase5,Block56_Lot53DecaClarkResidencesandResortBrgy.
Margot Angeles City, Pampanga of the Registry of Deeds for the City of Angeles City,
(hereinafterreferredtoastheSubjectProperty),subjecttothefullpaymentofthepurchase
priceasstatedinSection2hereof.
InfullpaymentoftheSubjectProperty,theBUYERSshallpaytheSELLERthesumof
PESOS: ONEMILLION FOUR HUNDREDNINETYNINE THOUSANDFOUR
HUNDREDTWENTYONE&10/100(Php1,499,421.10)PESOS,PhilippineCurrency
(hereinafterreferredtoasthePurchasePrice),payableinthefollowingmanner:
The Amount of Philippine Currency: by way of down payment represented in the
followingmannertobepaiduponexecutionofthisContract:
TWENTYTHOUSAND(Php20,000.00)PESOStobepaidinfullupontheexecutionofthis
contract.
FOURTEENTHOUSANDFIVEHUNDRED(Php14,500.00)PESOSforTWENTYFIVE
(25)YEARSmonthlyamortizationwith11%interestperannum,consideringa5%penaltyevery

monthfordelayedpaymentsafter5daysgraceperiod. Paymentsshallbemadeonorbefore
every27TH ofthegivenmonthwithoutneedoffurtherdelayintheformofFIFTY(50)pre
issuedpostdatedchequesautomaticallypaidintothesellersaccountoneveryduedate.
TheBUYERmustreplenishtheaforesaidpostdatedchequesonorbeforethethirdtothe
lastissuedchequerespectively.
TheBUYERmayprepaythebalanceofthepurchaseprice,inwholeorinpart,
with premium or penalty from the date of execution of this Deed In case of
substantial partial prepayment as determined by SELLER, the latter or its
assignee/transferee may, at its sole discretion, shorten the term of the loan;
Providefurtherthat,ifprepaymentismade,aprepaymentpremiumequivalentto
FIVEPERCENT(5%)oftheperiodamountshallbechargedtotheBUYER
IftheBUYERcontinuestobeindefaultinanyofhis/herpaymentobligation,includingbutnot
limitedtomonthlyinstallmentfortheresidentialunit.
UtilityBillings, afterfifteendays(15)delayedpaymentfromduedate,theSELLERshall
havetheauthoritytodisconnectanyandalloftheBUYERSutilitiesortodisallowthebuyer
fromapplyingthesame,suchas,butnotlimitedto,water,electricity,televisioncable,telephone
andinternetconnectionservices,andapplicable,todenytheBUYERfromavailingthecommon
areasandservicesofthesubdivisionorcondominiumproject.
Aftertwo(2)delayedmonthlypaymentsasperduedatesrespectively,theSELLERreserves
the right to cancel this contract, the BUYER shall peacefully turn over the property to the
SELLERwithoutanyreimbursementfromtheSELLERofthetotalamortizationmade.
TheSELLERmaytakefullpossessionofthepropertyandmayexerciseallthelegal
rightsasowneroftheproperty.

Intheeventofdefault,theSELLERreservestherighttorepossessboththepropertyandallthe
household goods contained therein. The SELLER will keep in possession the mentioned
householdgoodsforaperiodofthirty(30)days.Simultaneously,theBuyerisgivennomorethan
thirty(30)daystosettleinfullallhis/herarrears.Failuretodoso,theSellerwillregardthe
mentionedrepossessedhouseholdgoodsasformofsecuredpaymentofthebuyersoutstanding
arrearsrelatedtotheproperty.
TheSELLERherebywarrantsandrepresentsuntotheBUYERSthat:
TheSELLERshallturnovertheunitonor before May5,2016 ofthe saidSubject
Property at Phase 5, Block 56_Lot 53 Deca Clark Residences and Resort Brgy.
MargotAngelesCity,Pampanga.
The SELLER has valid, good, indefeasible, marketable and registrable title to the
SubjectProperty.
TheSubjectPropertyisfreeandclearofanyandallclaims,liensandencumbrances.
BUYERshallenjoypeacefulpossessionofthesubjectPropertydevoidofalltenants,
occupantsandclaimants.
Uponfullpaymentmortgageto8990LuzonHousingDevelopmentCorporation,the
BUYERSshallacquiretitletotheSubjectProperty,freeandclearfromanyclaims,lien
andencumbrancesandtheBUYERSshallcontinuetoenjoypeacefulpossessionofthe
SubjectProperty.
The SELLER has full legal right and authority to sell the Subject Property to the

BUYERSinaccordancewiththisContract.
The SELLER shall not enter into any negotiation and/or transaction involving the
SubjectPropertyduringtheeffectivityandvalidityofthisContract.
Therearenolegalclaimsagainsttheproperty,directorindirect,whichcouldresultin
thelevyorexecutionthereofbyanythirdparty.
Withineight(8)daysandallowBUYERStoacquireactual,physicalandconstructivepossession
oftheSubjectProperty.
TheBUYERshallnotintroduceanyadditionalConstructionsandimprovementonthe
subjectpropertywithouttheBUYERmakingawrittenconsentsubjecttotheapprovalof
theSELLER..
Thatthepremisesshallbeusedstrictlyasresidentialandnotforanyotherpurposesorillegal
purposes.
AllimprovementsintroducedbytheSELLERaresubjecttoONEYEARwarrantycommencing
fromturnover.Theaforesaidwarrantyisvoidedifthementionimprovementweresubjectedto
modifications,alterationsorrepairsconductedbycontractorsnotaffiliatedtotheSELLER.
BUYERacknowledgesthepropertyingoodconditiononthedateofturnover.The BUYER
should maintain and clean the property both internal and external including waste, garden,
gutters,canals,etc.
BUYERissolelyresponsibleforreporting,otherthantheimprovementmadebytheSELLER,
anystructuralandelectricalproblemstothedeveloper.
BUYERisliableforallnecessaryrepairsresultingfrommisuseofthepropertysuchasclogged
lavatory,toilet,brokenglasses,andotherwithoutanyreimbursementfromtheSELLER.
TheexpensesforthepreparationandnotarizationofthisContracttoSellandtheDeedof
AbsoluteSale, capitalgainstax,shallbeaccounttotheSELLER, ifany,documentary
stamps,aswellasallexpensesforthetransferandregistrationoftheSubjectPropertyinto
thenameoftheBUYERshalllikewisebefortheaccountoftheBUYERS.
UponfailureofeitherpartytoperformtheirrespectiveobligationsunderthisContract,the
aggrieved party shall have the right to compel specific performance or rescind this
Contract, with damages in either case, and to recover litigation expenses as may be
incurred,attorneysfeesandcostofthesuit,whichthelawmayentitletheaggrievedparty
torecoverfromthepartyatfault.Thepartiesagreethatincaseofanyactionarisingoutof
thisContract,venueshallbelaidatthepropercourtsoftheCityofAngelesonly.
Anyamendment,modificationoralterationofthisContractshallnotbevalidandbinding
unlessanduntilreduceinwritingandsignedbythepartieshereto.
Invalidationofanyoneofthecovenantsorconditionscontainedhereinbyjudgmentor
courtordershallinnowayaffectanyothercovenantorconditionhereofandthesameshall
remaininfullforceandeffect.
This Contract shall be binding upon SELLER, their heirs, executors, administrators,

successors and assign, and shall inure to the benefit of, and be enforceable by, the
BUYERS,theirsuccessors,transfereesandassigns.
ItisherebyunderstoodthatallthecovenantsandconditionscontainedinthisContract
constitute the entire agreement between the parties and is deemed to include and all
representations,promisesandcommitmentsmadebytheparties.Verbalorotherwise,prior
to the execution hereof. It is, therefore, expressly agreed that the parties or their duly
authorized representatives shall not be bound by any representation, promise and/or
commitmentnotcontainedorexpresslyprovidedinthisContract.
TheNotaryPublicwhonotarizedthisdocumentmayhandlethecaseforeitherpartyin
caseofanylitigation.
This has been explained in English and in Filipino/ Kapampangan in the languages
acceptedandunderstoodbyeachparties,withoutanyviolence,threat,intimidation,due
force,andwithoutothermeanstoillegallyobtaintheconsentofanyoneofthem.
Thebuyerwillfollowalltherulesandregulationsinthesubdivision.
Thatthebuyershallfollowalltherestrictions,bothwrittenandunwritten,imposedbythe
developertothesubdivisionoftheabovementionedrealstateproperty.
