CONTRACT

THIS AGREEMENT is for the services described below between

Megasonic Beats and Companies, LLC
(Includes accompanying musicians and/or entertainers as described below,
hereinafter referred to as “Music production Company”) and John F30
Beats (Hereinafter referred to as “PRODUCER”).

1. During the term of this Agreement, PRODUCER agrees to produce

________master recordings (hereinafter designated the "Masters")
embodying the performance of all Artists participating in the Artist
development program offered by Megasonic Beats and Companies, LLC and
to perform all other obligations required under this Agreement.

2. Recording sessions for the Masters shall be conducted by PRODUCER

under the recording agreement between ARTIST and Megasonic Beats and
companies, LLC (hereinafter designated as "Music Production Company")
and at such times and places as shall be designated by all three parties
(PRODUCER, ARTIST, AND MUSIC PRODUCTION COMPANY) All
individuals rendering services in connection with the recording of Masters
shall be subject to Music production company’s approval. Music production
Company shall have the right and opportunity to have their representatives
attend each musical composition session, and recording session.
The Masters shall be maintained at a recording studio owned by the music
production company or other location designated by both the producer and
the music production company, until all masters are completed and handed
to the recording Artists after the Artist development program offered by the
music production company is at term.

3. Both the PRODUCER and Music Production Company agree and

understand that all Masters produced during the Artist development program
from the inception of the recording and all phonorecords and other
reproductions made, together with the performances, become the Artist
property at completion.

4. PRODUCER will be paid a percentage of 65% of the leasing fee per beats
or musical composition that he or she created and/or a percentage of 65% of
the full rights to a musical composition created by the producer for the
purpose of the Artist development program at the music production
company, while the music production company in turn will collect a
percentage of 35% for creating an opportunity for the PRODUCER to make
a profit.

5. Referring to the CO-PUBLISHING contract between all parties,

PRODUCER agrees to co-publish the music composition created for the
Artist development program with the music production company on a fifty-
fifty(50-50) basis, which in this case will be involving the Artist, the music
production company, and the PRODUCER.

6. B.M.I. or A.S.C.A.P. song clearance and record clearance cards and forms
shall bear the name(s) of the copyright registrant(s). The performing rights
society shall pay one half to each party.

7.PRODUCER understands that music production company agree to add

Artist(s) and PRODUCER (at their consent) as assignee under its
membership ID with ASCAP to make both parties (PRODUCER and
ARTIST) eligible to collect publishing royalties of 33.3%
8. GOVERNING LAW: This Agreement shall be governed by the laws and
in the courts of the State of _____________ and by the laws of the United
States,
excluding their conflicts of law principles. Any dispute or legal proceeding
regarding the Agreement shall take place in the county of _____________,
in the state of _________________________.

9. The term of this agreement shall commence as of the date of signature by

both parties and shall continue until the completion of services. Any
questions relating to this agreement shall be interpreted in accordance with
the laws of the State of
______________________.

10. Music production Company agree to present PRODUCERS’ catalogue

to all potential Artists and/or established Artists visiting the Music
Production Company’s recording studio to promote the PRODUCERS’
brand, free of charge.
