Code of Conduct Procedure MingTree Minds are expected to follow a professional code of conduct and work ethics. The intent isto la the ground rules for professianal and disciplined behavior inthe office premises andlor at cient locations. The employment in MindTeee is subject to your acceptance of the Code of Conduct Procedure, All MindTree Minds are required to read, ‘understand and sign the Code of Conduct procedures as part of joining formalities, Personal Interest Vis MindTree's Intorest In day to day work scenario, you could be engaged in activities that advance personal interests atthe expense of that of the company, Hence, please make informed decisions. When in doubt, you are requested to check with People Function, Use of proprietary or confidential information of tied party MindTree does not expect you to disclose to MindTree, or bring onto MindTree's premises, or induce MindTree {to use any confidential information that belongs to anyone other than MindTree or self. You shall not make use of any confidential or proprietary information of thied party In the course of performing the services, nor include or incorporate any such information with or into ary product or work that you create, design, or develop for or on behalf MindTree in the course of performing the Services unless you have the prior consent from MindTree. Office for profit Without tne consent of MindTree please do not take-up any work as an employee, consultant, advisor oF as a ‘member of board of diectors of any company. President & CEOs of respective businesses will need to explicitly rant you an approval forthe above. Vendor relationship In your capacty as a MindTree Mind, nether you in the capacity of employee nor any of your immediate family ‘members can be a vendor of MindTree. You shall not advice, service, accept any giftspresents in kind or cash from a vendor of MinéTeee. If you receive any gifts from a vendor, please inform your reporting manager or People Function for guidance. Using MindTroo's Time & Assets ‘You should not use MindTree's time or any of ts assets for performing outside or personal work. In aditon, you should not abet, entice, motivate, help, coerce fellow employees in acts of using MindTree's time and assets, for cutside or personal work which may have detrimental effect on MindTree as is reasonably construed, MindT1ee fs an equal opportuntly employer and does not discriminate on race of religion, While we respect your personal beliss, you are requested not to engage in activities which have race, caste, potical or religious, affiliations. These activities vould include but not restricted to forming communities, intlatingforwarding chain mails, enticing other MindTree Minds to participate in religious/poltical activites at office premises or during cfice hours. I here are certain activites which are unavoidable, you would need to ensure that the working houts or productivity is not reduced, Personal Relationship Your spouse or any other member in your immediate family may be working with a competitor or vendor of MindT:ee. This ealls for extra-sensivty to confidentiality of MindTree’s information as there is a possibilty that the closeness in relationship could lead to inadvertently compromising MindTree's interest, You are requested to be aware ofthe potential conflicts that might arise and inform the People Function accordingly It you are @ member of an Enabling function such as People Function, Finance, IS et you cannot have an immediate family member employed in anther function/role in MindTree, unless it has been explicily approved by the head of People Function, Personal Behavior You are requested to be honest and fair in dealing with people, customers, vendars, competitors or others because you are the brand ambassador of MindTree and its reputation could be at stake Mind Tree's cuture conforms to a non vindictive environment, MindTree guarantees every MindTree Mind that he! she would not be harassed /vindicated for reporting any disclosure incident. You are requested to make note (ofthis aspect and retrain from any vindictive actions against any other MindTree Mind, Breach in discipline Listed below are some of the key Issues, which may lead fo lsciplinary action including and up to termination! dismissal from MindTree (The List i ust lustrative and not exhaustive). “Then, fraud, forgery, embezzlement, misappropriation; dishonosty, harassment, indecent behavior, sexual ‘advances, suggestive remarks, racial slurs, derogatory remarks/discrimination on - disablity, veteran status, ‘ational ongin, sexual orientation, race, color, caste, religion, poltical affilaion, sex, or age. The list also includes forwarding’ viewing pomogrephic material, wilful insubordination, disobedience, absence wihout leave, habitually regular attendance, naglocthegligonce/slow-down of work, willl damage of the company property, disclosingtivulging trade secrets/confidentalinformation/special processes/methodologes, canvassing against the company, unfair dealing with parties, false ropresentationtmisrepresontation, false recording/reporting of Information, drunkenness, riotous behavior, any criminal offence, abetmont of act as mentioned above, wilful breach of lawrule / policy / guideline/procedure, usagetdistnbution/sal/possossion of ifegal drugs/controlled ‘substances, Creating/encouraging offensive work environment, ete" The above mentioned is inthe context of 2: People Parties : Employees, partners, customers, pubic, stakeholders, government bodles » ;Promises : Business premises of tho above mentioned peoplefparties intomally. Usage of assets {Being a MindTree Mind you will come in contact with the below - mentioned assets as part of your job. You shall not — 1. Disdose. 2, Divulge 3, Tamper 4, Give false information 5. Misinterpret 6. Misquote > Any ofthe physical assets which are tangible in nature > Information, which can safely be conetrued as intelectual properly or as copyrightable materia > Proprietary information like — 1. Product of ideas and hard work 2. Confidential data 3, Any business/unctional plan 4, Personal information 5, Design 6, Processes and know-how 7, Any internal databases 8, Patens /application 8. Copy right material 10, Methodologies, Services ete. ‘You will also ensure that company confidential information isnot used for ~ 1. benefiting a third party, having reciprocal dealings for personal benefits, -acquitng pirated, legal uniicensed software, receiving oF giving extensive gits/presents following any practices which lead to effect monopolies, restrict rade cause any violation of legal o statutory requirements etc Please understand that unintentional disclosure of proprietary information can be just as harmful as itentional dlisclosure, Henee you are requested not to, 1.
