Letter of Intent to the Black Brigade Monument Builders Fund

We the undersigned agree with The Black Brigade Monument Builders Fund that it may
construct and maintain at the National Underground Railroad Freedom Center’s property
north of Freedom Way in Cincinnati, Ohio a monument in honor of the Black Brigade
(“Monument”) at the following location: the “South West Site” bordering the theater
exit/entrance plaza of the Freedom Center extending to the north sidewalk of East
Freedom Way. The Monument and its landscaping, will cover about a fifty foot diameter
piece of ground, and will require a foundation structure below grade.

The Black Brigade Monument Builders Fund will be responsible for the perpetual
maintenance of (The Monument) and its landscaping, as well as all aspects of its design,
construction and installation.

The obligations of the parties are contingent upon all feasibility, design, construction, and
maintenance plans being approved by the BBMF and the Freedom Center and the holder
of any mortgage that is a lien on the Freedom Center. This letter of intent is not a legally
binding document.

Only when the parties have executed a definitive agreement satisfactory to each will a
legally binding agreement exist.

Undersigned and approved by John E. Pepper for the Executive Committee of the
National Underground Railroad Freedom Center.
