Defendants. eae eee Civil Action No. COMPLAINT FOR TRADEMARK INFRINGEMENT (JURY TRIAL DEMANDED) Plaintiff, Matzot Aviv, Ltd. (*Matzot Aviv”), brings this complaint against Bagel Bites USA, Ine. (“Bagel Bites”), Aviv Patisserie Ltd., Aviv Konditoria Me’ula Ltd., and A.A. Hamaafe Hameule 1999 Ltd. (together “Aviv Patisserie”; collectively with Bagel Bites, “Defendants"), alleging as follows: PARTIES 1, Matzot Aviv is a corporation duly organized and existing under the laws of the country of Israel, having a prineipal place of business at 83 Jabotinsky Road, Bnei Brak 51228, Israel. 2. Upon information and belief, Bagel Bites is a corporation incorporated under the laws of New York, having a principal place of business at 240 60" Street, Brooklyn, New York 11220,3. Upon information and belief, Aviv Patisserie Ltd. and Aviv Conditoria Me’ula are Israeli corporations, both having a principal place of business at 24 Shmotkin St., Rishon Lezion, Israel. Upon information and belief, A.A. Hamaafe Hameule 1999 Ltd. is a corporation incorporated under the law of the country of Israel having a principal place of business at 21 Shmotkin St., Rishon Le*zion, 75363 Israel, JURISDICTION AND VENUE 4, This is an action for unfair competition under the Lanham Act, 15 U.S.C. § 1125, and the laws of the State of New York. 5. This Court has subject matter jurisdiction over these claims pursuant to 28 U.S.C. §§ 1331, 1338, and 1367. 6. This Court has jurisdiction over the subject matter of this action pursuant 28 U.S.C. § 1332 and New York state common law. The matter in controversy exceeds the sum of $75,000 exclusive of interest and costs. There is complete diversity between Matzot Aviv and Bagel Bites. 7. This Court has personal jurisdiction over Bagel Bites as it has undertaken significant commercial activity in New York, regularly transacts business in New York, ‘maintains a place of business in New York, and the acts of Bagel Bites that constitute the following claims, including, without limitation, the sale, offer for sale, and promotion of the inftinging goods have been and continue to be committed, and cause harm to Matzot Aviv in this judicial district. Accordingly, personal jurisdiction exists over Bage! Bites in this state pursuant to New York Civil Practice Law and Rules §§ 301 and 302.
