(a) The Corporation shall be carried on without the purpose of gain for its
members, and any profits or other accretions to the Corporation shall be
used in promoting its objects;

(b) No part of the income of the Corporation shall be payable to or otherwise

available for the personal benefit of any member thereof; provided that (i)
reasonable salaries may be paid for services rendered to the Corporation

by employees who are also members or directors thereof, and (ii) a

member or director may be reimbursed by the Corporation for his or her
reasonable and actual expenses properly incurred and disbursements
properly made in connection with the performance of his or her duties.

(c) The interest of a member in the Corporation is not transferable and lapses
and ceases to exist upon the death of the member or when the member
ceases to be a member by resignation or otherwise in accordance with the
by-laws of the corporation.

(d) Upon dissolution of the Corporation and after the payment of all debts and
liabilities, the whole of its remaining property shall be distributed or
disposed of equally among the members.
