Advertising on Building Agreement

THIS AGREEMENT made as of [Date] between [Name of Owner of Builiding]of [Address of

Owner of Building](the "Owner") and [Name of Advertiser]of [Address of Advertiser] (the
"Advertiser").

WHEREAS:

(A) The Owner is the owner of the building located at [Municipal Address of Building] (the
"Building"); and

(B) The Owner wishes to license to the Advertiser, and the Advertiser wishes to license from the
Owner, the right to use a portion of the Building to place advertising thereon;

NOW THEREFORE in consideration of the recitals, the mutual covenants hereinafter set forth,
and for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties hereto hereby agree as follows:

1. The Owner hereby grants to the Advertiser a license, during the term of this Agreement,
to place, erect and maintain advertising on the Building (the "Signs") according to the
specifications set out in Schedule "A" hereto. The Advertiser shall have no other rights in
and to the Building, except as expressly set forth in this Agreement. Prior to erecting any
Sign, the Advertiser shall provide the Owner with the plans and specifications for the
Sign, which shall be subject to the prior written approval of the Owner.

2. This Agreement shall commence on the date hereof and shall continue for a term of
[Number of Years in Term of Agreement] years, at which time it shall expire, unless the
term is renewed or extended by mutual written agreement of the parties hereto.

3. The Advertiser agrees that in the erection, maintenance and use of the Signs, he will:

(a) comply with all laws, ordinances and regulations made respecting them;

(b) pay all licence fees and other charges which may be assessed by public authorities
in connection with the Signs;

(c) indemnify the owner against all claims for damage to person or property which may
result from the erection, maintenance or use of the Signs, and

(d) make all repairs to the Building which may be necessary by reason of the erection
and use of the Signs during and/or at the end of the term of this Agreement.

4. The Owner agrees that, at all reasonable times during the term of this Agreement, he will
allow free access by the agents and employees of the Advertiser to those parts of the
building as may be necessary for the proper installation and maintenance of the Signs,
and the making of repairs as mentioned in paragraph 3, including the installation of

electric wires and devices and the placing of a meter in the basement of the building for
the furnishing of electric current for the operation of the Signs.

5. At the end of the term of this Agreement the Owner will permit the removal of any Sign
structures erected by the Advertiser in accordance with this Agreement, if the terms and
conditions of this Agreement have been fully performed by the Advertiser.

6. This Agreement is sets forth the entire agreement between the parties relating to the
subject matter hereof and stands in the place of any previous agreement, whether oral or
in writing. The parties agree that no amendment to this Agreement shall be binding upon
the parties unless it is in writing and executed by both parties.

7. This Agreement shall enure to the benefit of and be binding upon the respective heirs,
executors, administrators and assigns of each of the parties hereto.
