STONEWALL LAUNCHES PROSPECTUS TO RAISE UP TO $10 MILLION


Stonewall Resources Limited (ASX: SWJ) is pleased to announce it has launched its prospectus to raise up to $10 million. The launch of the prospectus follows the successful outcome at the General Meeting held on Tuesday, 2 October where the passing of a number of resolutions included listing the Company on the ASX and changing the name of Meridien Resources Limited to Stonewall Resources Limited. The prospectus offers 15,000,000 Shares at an issue price of $0.20 per Share to raise $3,000,000 with provisions to accept oversubscription of up to a further 35,000,000 Shares to raise an additional $7,000,000. In commenting on the prospectus launch, David Murray, Chairman-Elect of Stonewall Resources Limited, said: The Board is delighted to complete the process of the imminent listing of Stonewall Resources Limited and the launch of the prospectus offering. We are genuinely excited about the many prospective opportunities the Company will have with an expanded capital base and hence the ability to fast track and fully realise the Companys value and potential. The current Prospectus offering follows an earlier successful raising of $10m in July 2012 through a private placement at an equivalent issue price of 19.74 cents. With the General Meeting approval of the resolutions and the injection of Stonewall Mining into the new listed vehicle, Stonewall Resources Limited, the Companys most prospective interests now include a range of valuable gold assets, several of which are located in world renowned South African gold mining regions. These South African assets will provide significant cost advantages relative to operating more conventional deep mining operations. The companys three key projects are the TGME Project, located around the towns of Pilgrims Rest and Sabie in the Mpumalanga Province of South Africa (one of South Africas oldest gold mining districts), the Bosveld Project, located in South Africas KwaZulu-Natal Province, and the Lucky Draw Project, which is located in Australia, near the township of Burraga in New South Wales. Stonewall is also currently processing gold from tailings dumps located within its TGME Project, from which it is earning revenue, and it intends to initially focus its energies on its TGME Project where it has already been granted a number of Mining Rights and Prospecting Rights. In commenting on Stonewalls mining projects, Lloyd Birrell, CEO of Stonewall Resources Limited, said: One of the key operational advantages Stonewall has over other projects is the well developed plant and surface infrastructure at both the TGME Project and Bosveld Project areas. It is all well maintained and more than adequate to satisfy the near term requirements of the Company as it makes the transition from explorer to gold producer. On successful completion of the prospectus raising to the full subscription level, in terms of issued capital, there will be a total of 564.2 million shares on issue, taking the Companys market capitalisation to approximately $113 million.
