Adtech Systems Limited is a specialist company in Integrated Electronic Security Systems started in the year 1992. Adtech has its registered office at Chennai India. The employee strength today stands at over 100 people spread across branch offices / support centres in all major cities across India. Adtech has strategic tie-ups with Global leading Security Companies Tyco Sensormatic - USA, InVue Security - USA, Alpha Security - USA, Shop line- France, Mobotix, MTX Global, Star Vedia for an entire range of security systems which include CCTV, IP CCTV, Time & Access Control Systems, Antishoplifting Systems, Display Secure Systems, Display Fixtures, Intrusion / Fire Detection Systems, Entrance Control Systems and IBMS. PROFILE OF PRODUCTS AND SERVICES

EAS Solutions Sensormatic EAS using the patented Acousto-Magnetic technology is designed to help retailers prevent shrinkage and shoplifting using advanced digital technology. It helps them to increase sales by open merchandising opportunities while reducing shoplifting and internal theft. A full range of EAS systems, accessories and tagging solutions are available. Sensormatic EAS systems are the best choice for many of the world's largest retailers. Most of India's retail chains rely on Sensormatic. Sensormatic EAS systems are also deployed in museums, libraries, IMAX theatres, software development centres, call centres, R&D centres etc to protect assets.

Display Secure System Adtech is the India business partner of Invue Security Products, USA for Display Protection Systems and Display Fixture Systems. The objective of all InVue products is to provide a live experience to customers thereby increasing the sales potential. Independent research findings indicate that when customers can touch and experience merchandise they're more likely to buy. Our goal is to allow you to do so with confidence that your merchandise is secure from theft. A full range of display secure systems for mobile phone, e-readers, digital cameras, dslr, handy cams, laptop and electronic accessories are available.

CCTV / IP CCTV Adtech provides a full range of CCTV systems ranging from miniature Dome cameras, Cmount cameras, IP cameras, wireless IP cameras from global leaders. Adtech also provides a wide range of accessories - switchers, matrix switchers, DVR card, Stand alone DVR, Monitors and Ptz units.

Access Control System

Companies requiring high levels of security and access to certain areas may now better manage and monitor protection and quickly respond to security breaches by utilizing Adtech's Access Control Systems. Whether the need is for a basic proximity card system, enterprise management systems, multiple site management systems, or Biometric.

Intrusion Alarm System Adtech offers both wired and wireless alarm systems from global leaders. Multi zone control panels are available with inbuilt telephone communicator. Detectors include door open sensor, Infrared movement sensor, Glass break detector, Shutter open sensor, Seismic vibration detector, panic button.

POLICIES AND PROCEDURES

Adtech systems Enforcement Strategy

Adtech systems aim to provide timely and trusted corporate information to the public and business community. To achieve this, Adtech systems uses a variety of ways to help companies comply with regulatory requirements. This includes sending reminder letters and e-mails to companies via electronic and paper channels before a filing deadline; holding regular information seminars across the country; free website guidance; utilizing contacts in professional bodies, and offering support and advice to customers through the Adtech systems Contact Centre.

Where help and advice does not secure compliance with regulatory requirements, Adtech systems uses fair and proportionate enforcement. This includes, where necessary, rigorous enforcement of regulations and prosecution of criminal activity to maintain confidence in the corporate registry; providing stability for business and enterprise.

Adtech systems will prioritize resources to focus on offences where there has been persistent, repeated and willful non-compliance.

Where appropriate, lighter touch enforcement will be used to secure compliance with regulations.

Adtech systems - HEALTH AND SAFETY POLICY STATEMENT

Overall and final responsibility for health and safety in Adtech systems is that of the chief

executive. The objective of this policy is to attain and maintain high standards of health and safety performance throughout Adtech systems and detail standards expected of employees and others who may under take work on Adtech systems behalf. Adtech systems is committed to the continual improvement in OH&S management and OH&S performance. The Health and Safety at Work Act 1974 imposes a statutory duty on employers to ensure in so far as is reasonably practicable the health and safety of their employees whilst at work. This duty also extends to others who may be affected by that work. Adtech systems will comply with the Health and Safety at Work Act, Regulations subsequently lain under it and other relevant legislation and meet the standards required therein. Employees also have a statutory duty to take care of themselves and others who may be affected by their acts or omissions. To enable these duties to be carried out, it is our intent to ensure that responsibilities for health and safety matters are effectively assigned, accepted and fulfilled at all levels within our organizational structure. We will, so far as it is reasonably practicable, ensure that: Adequate resources are provided to ensure that proper provision can be made for health and safety We comply with all H&S and other relevant legislation as set out in the Legal Register OH&S objectives will be set annually and reviewed on a quarterly basis Hazards will be identified and the risk of injury, disease or dangerous occurrence will be minimized by the achievement and maintenance of high standards of health and safety Risk assessments are carried out and periodically reviewed Systems of work are provided and maintained that are safe and without risks to health Arrangements for use, handling, storage, and transport of articles and substances for use at work are safe and without risks to health

All employees are provided with such information, instruction, training and supervision as is necessary to secure their safety and health at work and the safety of others who may be affected by their actions Where appropriate, health surveillance will be provided for employees Accidents and cases of work-related ill health are prevented and provide adequate control of health and safety risks from work related activities Emergency evacuation procedures are implemented, tested and maintained The provision and maintenance of all plant, machinery and equipment it is safe and without risk to health There are robust control measures for controlling contractors working on site The working environment of all employees is safe and without risks to health and that adequate provision is made with regard to the facilities and arrangements for their welfare at work The place of work is safe and that there is safe access to and egress from the work place Monitoring activities and inspections are undertaken to maintain agreed standards. this Health and Safety Policy will be reviewed at least annually, amended and updated as and when necessary. Communication of any such changes will be made to all employees There are established and maintained effective procedures for consultation and communications between all levels of management and employees on all matters relating to health, safety and welfare Detailed reference information for employees can be found in the H&S Management System which can be found on the intranet and in the internal Lynx system. It is the duty of all employees at work: To take reasonable care for the health and safety of themselves and of other persons who may be affected by their acts or omissions at work and co-operate with us in fulfilling our statutory duties

Information Security Policy

Introduction Information and information systems are vitally important to Adtech. Without reliable information and information systems, Adtech systems would be unable to deliver its services or meet its targets. Information must be protected in a manner appropriate to its sensitivity, value, and criticality. Security measures are to be used regardless of the media on which information is stored, the systems that process it, or the methods by which it is processed.

Scope This policy outlines the responsibility that all managers, staff and contractors have in order to ensure the security of Adtech systems information. It provides a framework of procedures, standards and controls to ensure that all information is maintained securely.

Purpose The policy sets out the approach taken to manage the confidentiality, integrity and availability of information. This is in order to ensure that all information is properly protected against a variety of threats such as error, fraud, sabotage, terrorism, extortion, industrial espionage, privacy violation, service interruption, theft and natural disaster, whether internal or external, deliberate or accidental. Your Responsibility It is the responsibility of all Adtech systems employees and contractors to report any software malfunctions, security incidents, suspected viruses, faults, weaknesses or threats observed or suspected to the relevant Helpdesk as soon as possible. This will ensure that relevant

countermeasures are taken to minimise the impact of the incident and to ensure that recurrence is prevented. If in doubt, talk to your line manager or the Information Security Manager.

Information security requires the participation and support from all staff. All staff will be provided with sufficient training and guidance to allow them to protect and manage Adtech systems information assets.

Further Information Staff should familiarize themselves with the full requirements of the various security policies and procedures to ensure compliance. All these policies can be found on the Information Security section of the Intranet or can be obtained in hard copy from IT Security. Breach of the policies might lead to disciplinary action.

Every Adtech product is designed to exacting standards in order to provide long-term, reliable service for our customers. Quality is given the highest importance as it enables providing a superior technology and solutions to the customers and which in turn enables Adtech to charge a premium for its products in comparison to its competitors. Sales function:

Adtech has a dedicated sales team regionally distributed to ensure that clients are served by us all across the country irrespective of the locations and the size of establishments that require security services. After sales products:

Adtech realizes that its is more cost effective to retain an existing customer than to look for a new one. Therefore Adtech is dedicated to providing more solutions and maintenance facilities to its customers and brining in newer products to be sold to the customers. Communications: The increasing diversity of today's workforce brings a wide variety of languages and customs.

Computer skills: Computer skills are becoming a necessity for conducting administrative and office tasks. Customer service: Increased competition in today's global marketplace makes it critical that employees understand and meet the needs of customers. Diversity: Diversity training usually includes explanation about how people have different perspectives and views, and includes techniques to value diversity Ethics: Today's society has increasing expectations about corporate social responsibility. Also, today's diverse workforce brings a wide variety of values and morals to the workplace. Human relations: The increased stresses of today's workplace can include misunderstandings and conflict. Training can people to get along in the workplace. Quality initiatives: Initiatives such as Total Quality Management, Quality Circles, benchmarking, etc., require basic training about quality concepts, guidelines and standards for quality, etc. Safety: Safety training is critical where working with heavy equipment, hazardous chemicals, repetitive activities, etc., but can also be useful with practical advice for avoiding assaults, etc.

Personal Culture

The management has been encouraging and promoting a very informal culture, "Personal touch", sense of belonging, enabling employees to become involved and contribute to the success of the company. The top management also conscientiously inculcates values in the people.

Work Environment Special and conscious efforts are directed towards housekeeping of the highest order. Renovation and modernization of office premises and office support systems are carried out on an ongoing basis.

Training Adtech believes in systematic training for employees at all levels. As a part of the Organizational Development efforts, training programmes are being conducted in-house, for employees at all levels. In addition, staff are also sponsored for need based training programmes at leading Management Development Institutes.

Total Quality Management Customer Focus is not merely a buzzword but it has become an important factor of every day work and has got internalized into the work environment. There is an equal emphasis on internal customer focus leading to greater team efforts and better cross-functional relationship. Quality Circle Movement To ensure worker participation and team work on the shop-floor, Adtech India Ltd has a very effective Quality Circle Movement in the organization. As on today the company has 3 operating Quality Circles having 24 members and some of them have won awards at different conventions and competitions.

Through interaction with workmen in these sessions, a process of 2-way communication has been initiated and valuable feedback has been received on worker feelings, perception, problems and attitudes. Simultaneously management has communicated the problems faced by them and the plans to overcome these problems. The management aims in operator's mental & physical fitness and it is ensured through the GMA. The operators and shift supervisor, assemble before the I shift beginning and do occupation of fitness exercise, discuss about the Quality Safety & Production aspects of the Previous shifts and take Quality / Safety oath. Through interaction with workmen in these sessions, a process of 2 way communication has been initiated and valuable feedback has been received on worker feelings, perception, problems and attitudes. Simultaneously management has communicated the problems faced by them and the plans to overcome these problems.

Advantages of Organization Structure

Well distributed departments that enable flexibility in individual departmental control. There is no ambiguity in individual roles and responsibility. Flexibility for future changes in the Organizational Structure. Enables specialization in the organization which helps in decision making and enables collaborative environment

Drawbacks of Organization Structure Disintegrated marketing and operation function may lead to delay and customer dissatisfaction. Roles well defined in the organization structure chart but not practiced in actual.

Recommendations to overcome the drawbacks The marketing and operation function should be brought under a single department so as to correctly and timely process order fulfillment and availability of product. Minimize multiplicity of tasks and introduce adequate workforce based on the requirements and specialization. The company should probably introduce a R and D department for better development of product and future prospects.

Modifications to the organization structure Manager of operation should report VP marketing instead of directly reporting to the

executive director so as to ensure integration of marketing and operation function. The company should introduce a line of regional mangers between the branch managers and general manager so as to ensure effective control of sales function as the company has nationwide presence.

Observations Since the company is small and employee strength is low the interpersonal relationship between the managers, supervisors and the technicians are very good. Their basic motto was customer is god, since they majorly handled B to B kind of services.
Any complaints were rectified within 24 hrs with the best possible work force. Since majority of the employees belonged to the same culture, communication was quite

easy.
At the same time, diversity is required for the future prospects of the company.

The company focuses on two business segment verticals namely, the Retail Chain Segment in the supply and installation of Anti Shop Lifting Systems and the Commercial Industrial Segment (C/I) to which the Software Companies, Industrial Factories etc belong where your Company provides access control and other electronic article surveillance equipments. Retail Chain Customer Vertical The Company had received and executed large roll out orders for Display secure systems from Mobile Phone Brands in India last year which was one of the Contributing factors which helped revenues to grow multifold. We continue to receive roll out orders this year too.

The Company continues to be a leader in providing the solution to India's leading Retail Chain customer segments by providing them the best Antishoplifting systems, display secure systems, Display Fixtures which enable retailers provide LIVE experience with Global Outlook stores. The Company has identified Digital Signage System as a new product which will find immense potential and usage with our existing and prospect Retail Chain Customers. Another product launched this year is Automatic Footfall Count System, for which your Company has started received roll out orders. Export Marketing: The Company continues to receive repeat export orders from Sri Lanka and Hong Kong. The Company earlier this year laid greater importance to exports. This has resulted in the Company being able to strike roll out orders from the Source tagging customers in a big way. This will certainly be a boost to the Company's foreign exchange earnings.

Windmill: Income generated from the Windmill installed by the Company at Udumatpet, Coimbatore is shown as a separate business segment.

With all the above actions put into stream the Company is confident of reaching / exceeding the goal to maintain the growth rate in the current fiscal year.

ISO Certification: The Company strictly adheres to the Quality Management Systems that is required under the IS0 9001:2008 licenses.
