CONTRACT BETWEEN THE SUPERINTENDENT OF SCHOOLS and the BOARD OF EDUCATION OF CHESHIRE It is hereby agreed by and between the

Board of Education of Cheshire (hereinafter called the "Board") and Greg J. Florio (hereinafter called the "Superintendent") that the said Board in accordance with the election held pursuant to 10-157 of the Connecticut General Statutes, on the 13th day of November, 2003 has and does hereby employ the said Greg J. Florio as Superintendent of Schools of Cheshire and that Greg J. Florio hereby accepts employment as Superintendent of Schools of Cheshire upon terms and conditions hereinafter set forth. 1) DUTIES It shall be the responsibility of the Superintendent to meet all of the performance requirements set forth in his job description as amended by the Board from time to time (a copy of which is attached as Exhibit A). The Superintendent of Schools is the chief executive officer of the Board. In conformity with the policies of the Board of Education, State laws, and State Board of Education Regulations, the Superintendent has executive authority over the school system and the direct responsibility for its supervision. He has the general authority to act at his discretion, subject to ratification by the Board of Education upon all emergency matters and those as to which his powers and duties are not expressly limited or are not particularly set forth. He shall advise the Board on policies and plans that the Board takes under consideration, and he shall take the initiative in presenting to the Board policy and planning issues for the Board's attention. The Superintendent or his designee shall attend meetings of the Board of Education and may participate in Board deliberations, subject to the discretion of the Board and except when matters

relating to his own employment and Board self-evaluation are under consideration. The superintendent shall receive notice of Board Committee meetings and he or his designee may attend such meetings and may participate subject to the discretion of the Committee Chair. The Superintendent shall have the right to provide administrative recommendations on each item of business considered by the Board or its committees. 2) OUTSIDE PROFESSIONAL ACTIVITIES The Superintendent shall devote his full time, abilities and energies to his duties and responsibilities to the Board and to the Cheshire School System. However, the Superintendent may, with the approval of the Board, undertake consultative work, speaking engagements, lecturing or other professional duties and obligations provided such activities do not interfere with the meeting of his responsibilities as Superintendent. 3) TERM The term of said employment is for three (3) years, from July 1, 2012 to June 30, 2015. Upon request of the Superintendent, prior to the end of each contract year, the Board of Education may vote whether to approve a new contract. In the event a new contract is entered into, the time remaining under the existing contract shall be incorporated into the new contract. At no time shall the Superintendent be under contract or contracts to the Board for a period greater than three (3) years. 4) COMPENSATION A. Salary. The annual salary of the Superintendent shall be $152,250 (one hundred fifty two thousand two hundred and fifty dollars) from July 1, 2012 through June 30, 2013. Each fiscal year hereafter during which this contract is in effect, the Board and the Superintendent shall meet at least thirty (30) days prior to said fiscal year for purposes of determining the Superintendent's salary for the subsequent fiscal year. Any adjustment in salary made during the life of this contract shall be in the form of an amendment and shall become part of this contract. It is provided, however, that by so doing it shall not be considered that the

Board of Education has entered into a new contract with the Superintendent nor that the termination date of the existing contract has been extended. The Board shall contribute an amount equal to 1% of the Superintendents salary to a Tax Sheltered Annuity (403b) at the direction of the Superintendent. B. Performance Compensation. A "Performance Compensation Plan" is hereby established. Any additional compensation shall be linked, in part, to specific goals and objectives of the District for the year in question (Performance Plan) which shall be agreed to by the Superintendent and the Board. Said goals shall be adopted at least thirty (30) days prior to the end of a Contract Year for the coming Contract Year. The Board shall assess the Superintendents performance at least thirty (30) days prior to the end of the Contract Year. The Board may, in its sole discretion, provide additional compensation based upon its assessment of the Superintendents performance. Any performance compensation payment approved by the Board will then become part of the Base Salary. C. Teacher Retirement Contributions (i) The Board shall contribute an amount equivalent to the required seven and one quarter percent (7.25%) contribution for the Superintendent for the State of Connecticut Teacher Retirement System. This benefit shall be included in the base salary used for the purposes of reporting salary to the State of Connecticut Teacher Retirement Board. (ii) In addition to contributions made by the Board under the State of Connecticut Teacher Retirement Board plan, the Board shall contribute annually an amount equal to eight percent (8%) of the Superintendents base salary to a retirement plan in the Superintendents name created pursuant to Section 401(a) of the Internal Revenue Code. The payment under this paragraph shall be subject to the following vesting schedule:

(a)

The Superintendent shall be vested at 100% of the value of the 401(a) plan as of December 31, 2003.

(b)

For contributions made beginning on January 1, 2004 and thereafter. The Superintendent shall have a vested value right as follows: 1st year 60% 3rd year 80% 5th year 100%

(c)

The total base salary paid to the Superintendent for each year of this contract, beginning with the period of July 1, 2009 through June 30, 2010, shall be the sum of the salary, tax sheltered annuity and Teachers' Retirement Board contributions made by the Board, as described herein.

D.

Vehicle Allowance. The Superintendent shall receive an allowance of six thousand dollars ($6,000) per contract year, for lease or purchase of a vehicle; plus the cost of related operating expenses. The Board may pay directly the cost of the lease/purchase and operating expenses. The lease or title shall be in the Superintendents name. The Superintendent shall be issued an IRS form 1099, for the lease/purchase payments and expenses or have appropriate adjustments made to reported taxable income under IRS guidelines for the value of this benefit.

FRINGE BENEFITS AND WORKING CONDITIONS The Superintendent shall receive, as a minimum; the same benefits as the Cheshire Administrative Personnel unless specified to be different in this section of the contract. A. The Board of Education shall provide the Superintendent with fifteen (15) sick days annually to be used for legitimate illness. Sick days (accumulation shall be unlimited) can be accumulated up to 180 working days. Unused accumulated sick days shall not be paid

out upon termination of employment. No accumulated sick days shall be considered for compensation upon resignation, retirement, termination or death in service of the Superintendent, except as provided for in Section 8E. B. The Board of Education shall provide the Superintendent with twenty (20) vacation days annually. Vacation days may not be accumulated, however, the Superintendent may be reimbursed for up to five (5) unused vacation days each year or said vacation days may be carried over into a succeeding contract year; any other unused days shall be forfeited. Unused vacation days shall be paid to the Superintendent upon resignation, retirement, termination or death in service of the Superintendent. C. The Superintendent shall be entitled each year to three (3) days of personal leave of absence with pay. D. The Superintendent shall be eligible to participate in any Board approved medical and dental benefit program, including dependant coverage. The Superintendent shall pay fifteen percent (15%) of the annual premium costs of such program. Should the Superintendent elect to participate in a Health Savings Account (HSA) Plan the premium contribution shall be seven and one-half percent (7.5%) and the Board shall contribute $2000 for Superintendent and his spouse and additional $500 for each covered dependent under said plan toward the annual HSA cost. E. The Board shall provide a life insurance policy with accidental death and dismemberment rider equal to two and one-half times (2X) the salary of the Superintendent during the term of this Agreement, rounded to the nearest $1,000.00. F. The Board shall provide a long-term disability policy for the Superintendent which shall pay two- thirds (2/3) of the monthly salary, with benefits to be paid in accordance with the "Schedule of Benefits" found in the existing master contract which governs this benefit, as set forth in the Agreement Between the Board of Education and the Cheshire

Administrative Personnel. G. The Superintendent shall be reimbursed for out-of-pocket medical expenses not covered by the selected medical plan to a maximum of $2,500 per year. Said expenses may include reimbursement for expenses not covered under the selected health plan, deductibles and copays and health and wellness related expenses. 6) EXPENSES A. The Superintendent of Schools shall be reimbursed for reasonable out-of-pocket expenses incurred in the performance of his professional duties. B. The Board of Education shall pay the full cost of the Superintendent maintaining professional association memberships in the Connecticut Association of Public School Superintendents, the New England Association of School Superintendents, the American Association of School Administrators, the Association for Supervision and Curriculum Development and the Southern Connecticut Area Superintendents' Association. C. The Board encourages the Superintendent to continue his professional development and expects him to participate in relevant learning experiences. Subject to budget appropriations, the Superintendent may attend professional meetings at the local, state, and, subject to the Chairperson's approval, national level, and the expenses to be paid by the district. D. The Board of Education, with proper documentation, shall pay for professionally related courses taken with approval in advance by the Chair of the Board of Education at an accredited college or university.

EVALUATION FORMAT A. Definition. The Board of Education shall evaluate and assess the performance of the Superintendent at least annually during the term of this agreement and may in its discretion assess said performance at other times. Said evaluation and assessment shall be reasonably related to the goals and objectives of the District for the year in question. The evaluation shall be reasonably objective and shall contain at least the following criteria: educational program, personnel relations, business matters, Board/Superintendent relations, community relations, professional leadership and personal qualities. The evaluation shall provide for a rating system both as to overall performance and as to the specific criteria set forth in the evaluation. B. Process. The Board of Education or its designee shall meet and discuss the evaluation with the Superintendent and attempt in good faith to agree on the development and adoption of a mutually agreeable evaluation process. Upon mutual agreement with the Superintendent as to the criteria for the evaluation, the Board of Education shall adopt an evaluation process and write goals. Thereafter, within 90 days of the commencement of each year of this contract the Board and the Superintendent shall meet to set goals for the following year.

TERMINATION A. B. The parties may, by mutual consent, terminate the contract at any time. The Superintendent shall be entitled to terminate this contract upon written notice of ninety (90) days to the Board. C. The Board may terminate this agreement during its term for one or more of the following reasons:

Inefficiency or incompetence. Insubordination Moral misconduct Other due and sufficient cause

In the event the Board terminates this Agreement for one of the above reasons, it shall serve on the Superintendent thirty (30) days written notice of such termination of his agreement. Such notice shall be in writing and accompanied by a written statement of reasons for termination. The Board may suspend the Superintendent at any time during the term of this contract upon a majority vote of the Board. The Board shall advise the Superintendent of its reasons. Any such suspension shall be with full pay and benefits. D. The Board may also terminate this contract during its term without reason. Such notice shall be in writing. In the event the Superintendent's contract is terminated without reason under this Section, the Board shall pay to the Superintendent, a lump sum payment equal to twelve (12) months base salary at the current monthly rate, plus continue existing medical benefit coverage for a period of one year, unless the Superintendent becomes eligible for comparable coverage sooner, in which event the Boards obligation to provide insurance shall end. E. If the Superintendent is terminated on account of disability as shown by competent medical evidence, the Board shall pay the Superintendent for accumulated sick leave and vacation days and shall continue to pay insurance benefits for what would have been the remaining term of the contract. 9) GENERAL PROVISIONS A. All matters pertaining to this contract shall be under the jurisdiction of the laws of the State of Connecticut.

B.

If any part of the agreement is invalid, it shall not affect the remainder of said agreement, but said remainder shall be binding and effective against all parties.

C.

This contract contains the entire agreement between the parties. It may not be amended orally but may be amended only by an agreement in writing signed by both parties. Commencing upon signing, it supersedes all prior agreement between the parties.

D.

Any notices served under this Agreement shall be by certified mail, return receipt requested.
