ALMECH ENTERPRISE OUR TERMS AND CONDITIONS OF BUSINESS 1. QUOTATION: All quotation is subjected to prior sale and alteration without notice.

2. Orders: orders, once placed with us or our approved dealers, cannot be cancelled on any account but no

order shall become a contract or be binding on us in any way until we have DIRECTLY confirmed it in writing, where the buyer fails to received such confirmation with in 30 days of his placing order, the order shall be deemed to have been rejected.

3. Supply: Buyers shall be entitled only to the supply of the goods and accessories expressly specified in

our order confirmation and nothing else.

4. Date: Technical dates furnished are only approximate.

5. Packing: In the absence of any specific instructions, goods will be sent unpacked at our discretion. If sent packed the packing will be according to our usual practice, and charged at our standard rates. 6. Insurance: Unless instructed to the contrary and agreed by us, the goods will be sent uninsured and at the buyers risk only 7. Transport: All deliveries are and shall always be deemed to be ex-factory, not withstanding goods being consigned to selves. Our responsibility will cease once the goods leave our shops where we attend to transport, it is to be clearly understood that we do so only on behalf of buyer as his agent and without any responsibility what over for any loss of damage in transit. 8. Delivery : (a) We accept no liability for non-fulfillment of contract by us on account of strikes, lock-outs, riots, civil commotions, shirts supply of raw materials acts of government natural calamities or other reasons beyond our control. Similarly we accept no liability for delay in delivery time is of the essence of the contractor not. All dates stipulated for delivery of the goods or any part there of are only estimates based on normal conditions and are subject to variation with or without notice to the purchaser. If in the inspection his connection is found to be correct he will be entitled for a free replacement of faulty material within a reasonable time; and expect for the replacement, he shall have on other claim on us in the matter. (d) Replacement for goods miscarried or damaged in transit shall be only on a fresh contract to be separately negotiated for without prejudice to any rights and liabilities under the original contract. (e) Where the buyer alleges that suppliers are not in accordance with the contract, he shall notify us within three days of arrival of goods at destination no complaints shall be admissible after the expiry of three days. 9. Prices: Prices quoted and accepted are based on our present ruling prices and are subject to enhancement by us unto the time of delivery, and the order is therefore accepted on the clear and definite under standing that buyers agree to pay on demand any such price enhancement also as aforesaid. 10. Payment: Unless otherwise specifically agreed to orders shall be accompanied by not than 10% of their value as advance in the case of our Distributors, and by not less than 1/3 value in all other cases Balance of Price shall be paid on demand before dispatch or against R/R and documents through V.P or any scheduled bank. No payment shall binding on us unless acknowledge of our official receipt. 11. Storage: Where a buyer fails to remove the goods within 14 days of the date of intimation that goods are ready, he shall pay 1% of the values as godown charges. Where the buyer fails to remove the goods within a month of such intimation he shall forfeit all the rights to the goods and the advance he had paid for the order not withstanding such forfeiture, we shall have the right to proceed against then buyer at law for the recovery of the full value of the goods with costs. 12. All the contracts shall be deemed to have been made in Coimbatore and all proceedings which either party may be entitled to take against the other under the contract shall be instituted in a court of competent Jurisdiction in Coimbatore only.
