Facility and Unit Description
General
The Fertilizer Complex in .Auzew will incorporate a modem, reliable and integrated plant for producing at a nameplate capacity 2 x 2,200 MTPD ammonia and 3,450 MTPD granulated urea, complete with utilities and offsite necessary to provide the purpose of the Facility in accordance with the Facility Guarantees, the Facility is to be designed with on stream rate of 350 days per annum, Owner shall provide and be responsible for the Custody Gas Metering Station outside Battery Limit and Gas Reducing Station at the Plant Site in the time as per Schedule E and asindicated in the plot plan as per Schedule G - Site.

Unit 1
The Unit 1 consist of the following Process units, Offsite and Utilities units and common facilities to be able ta operate Ammonia Train land Urea plant and produce ammonia and urea.

the Owner shall operate the Common Faeilities; and the Procurement Supplier shall minimise the number and extent of shut downs of the Owner's Operation of Unit 1, the Common Facilities andlor Unit 2 (as the case may bel arising from the Work and, in relation to any necessary shutdowns:

Neither jhe Owner nor the Procurement Supplier shall have any entit1ement to an adjustment of the Mechanical Completion Dates, the Provisional Acceptance Dates or the Contract Priee (including, in each case, pursuant to Clause Il) as a consequence of compliance with Clause 10.L4(i). From the issue of the Provisional Acceptance Certificate for Unit 1

until the issue of the Demonstration Test Certificate, the Procurement Supplier shall provide up to 12 man-months of supervisory services in
relation to the operation ofthe Common Facilities: (a) at no extra cost to the Owner; for the comfort and advice of the Owner and without assumirg any responsibility therefrom; ineluding six (6) man-months of supervisory services related to seawater system; and
using personnel who are experts in utilities,

10.2.1 TransferofTitle
Title 10 an Supplies shall pass from the Procurement Supplier to the Owner upon the earlier of:
(1)
loading of such item of Supplies onto a vessel at the port of export or, if the Supplies are not transported by sea, taking over orthe Supplies by the carrier; or reeeipt of payment by the Procurement Supplier for sueh item of Supplies.
