NOW COMES Key Equipment Finance, Inc. (hereinafter Movant), and files this its
Motion for Relief from Automatic Stay or, alternatively, for Adequate Protection and in support
thereof would respectfully show the Court the following:
THIS PLEADING REQUESTS RELIEF THAT MAY BE ADVERSE TO YOUR
INTERESTS. IF NO TIMELY RESPONSE IS FILED WITHIN FIFTEEN (15) DAYS
FROM THE DATE OF SERVICE, THE RELIEF REQUESTED HEREIN MAY BE
GRANTED WITHOUT A HEARING BEING HELD. A TIMELY FILED RESPONSE IS
NECESSARY FOR A HEARING TO BE HELD.
NOTICE TO PARTIES IN INTEREST
I.
Jurisdiction

1. This is a proceeding under Bankruptcy Rules 4001 and 9014, seeking relief under
Sections 362(d) and 1301(c) of the Bankruptcy Code. This Court has jurisdiction over this
proceeding pursuant to 28 U.S.C. Section 1334 and Sections 105 and 362 of the Bankruptcy Code.
This is a core proceeding under 28 U.S.C. Section 157(b)(2)(G).

II.
Facts
2. Delta Produce, L.P. (Debtor) initiated their chapter 11 bankruptcy petition on
January 3, 2012.
3. At the time of filing of Debtors Chapter 11 Petition, Movant held a Finance
Agreement, agreement CW01409452, along with all addendums, attachments, and modifications
thereto (collectively referred to as Agreement # 1), executed between Delta Produce, L.P. and
Movant for the financing of a 2009 Peterbilt 386, VIN # 1XPHD49X69D792609 (Vehicle # 1).
4. Pursuant to the terms of Agreement # 1, Delta Produce, L.P. was to make
consecutive monthly payments to Movant in the amount of Two-thousand, five hundred and sixty-
six dollars and seventy-eight cents ($2,566.78) for a period of forty-eight (48) months and an
additional $500.00 set up fee. In conjunction with the execution of Agreement # 1, Scott Jensen (as
Guarantor) executed an unconditional and irrevocable guaranty to the Agreement, whereby Scott
Jensen (Mr. Jensen) guaranteed the prompt payment and performance of all obligations of Delta
Produce, L.P. A true and correct copy of Agreement # 1 is attached hereto as Exhibit A-1.
5. Delta Produce, L.P. executed agreement CW01411452, along with all addendums,
attachments, and modifications thereto (Agreement # 2) for the financing of a 2009 Peterbilt 386,
VIN # 1XPHD49X29D792610 (Vehicle # 2). Pursuant to the terms of Agreement # 2, Delta
Produce, L.P. was to make consecutive monthly payments to Movant in the amount of one
thousand five hundred and sixty-nine dollars and forty-two cents ($2,569.42) for a period of forty-
eight (48) months and an additional $500.00 set up fee. In conjunction with the execution of
Agreement # 2, Scott Jensen (as Guarantor) executed an unconditional and irrevocable guaranty to
the Agreement, whereby Scott Jensen (Mr. Jensen) guaranteed the prompt payment and

performance of all obligations of Delta Produce, L.P.. A true and correct copy of Agreement # 2 is
attached hereto as Exhibit A-2.
6. Delta Produce, L.P. executed Agreement # 3, along with all addendums,
attachments, and modifications thereto (Agreement # 3) for the financing of a Teletrac GPS Units
(Equipment # 1). Pursuant to the terms of Agreement # 3, Delta Produce, L.P. was to make
consecutive monthly payments to Movant in the amount of sixty dollars and eleven cents ($60.11)
for a period of thirty-six (36) months. A true and correct copy of Agreement # 3 is attached hereto
as Exhibit A-3.
7. Delta Produce, L.P. executed Agreement # 4, along with all addendums,
attachments, and modifications thereto (Agreement # 4) for the financing of Teletrac GPS Units
(HEP) (Equipment # 2). Pursuant to the terms of Agreement # 4, Delta Produce, L.P. was to
make consecutive monthly payments to Movant in the amount of one hundred and eighty dollars
and thirty-two cents ($180.32) for a period of thirty-six (36) months. A true and correct copy of
Agreement # 4 is attached hereto as Exhibit A-4.
8. Delta Produce, L.P. granted to Movant a security interest in Vehicle # 1 and Vehicle
# 2 pursuant to the terms of the Agreement. Movant perfected its security in said vehicles by noting
Movants first lien position on the face of each Texas Certificate of Title. True and correct copies
of said Certificates of Title are attached hereto as Exhibit A-5 and A-6.
9. Prior to the filing of the Debtors petition, Delta Produce, L.P. was indebted to
Movant according to the terms and conditions of Agreement # 1. Delta Produce, L.P. and Scott
Jensen, as guarantor, failed to make the required payments under Agreement # 1 and are presently
in arrears for payments in the amount of $7,700.34. A true and correct copy of the payment history

reflecting all pre-petition outstanding and unpaid payments due to Movant is attached hereto as
Exhibit A-7.
10. Prior to the filing of Debtors petition, Delta Produce, L.P. was indebted to Movant
according to the terms and conditions of Agreement # 2 in the amount of $7,708.26. A true and
correct copy of the payment history reflecting all pre-petition outstanding and unpaid payments due
to Movant is attached hereto as Exhibit A-8.

III.
Relief from Stay
14. By reason of the foregoing, Movant request the Court terminate the stay so Movant
may exercise all of its rights and remedies against Delta Produce, L.P. and Scott Jensen under state
law, including, inter alia
15. Debtor has failed to provide adequate protection to Movant which constitutes cause
to vacate the automatic stay pursuant to 11 U.S.C. 362(d)(1).
, foreclosing its lien on vehicle # 1 and vehicle # 2.

16. Movant reserves the right to assert an 11 U.S.C. 362(d)(2) Cause of Action, if
appropriate, at the hearing on Movants Motion for Relief.
17. It has been necessary for Movant to hire Padfield & Stout, LLP to collect the debt
owed to Movant through this Court. Pursuant to the Agreement, Movant is entitled to
reimbursement of its reasonable attorneys fees and services.
18. The current outstanding indebtedness to Movant for all four (4) Finance Agreements
is $132,339.87 plus attorney fees and costs as provided in said agreements.
19. Movant requests that an order granting its motion for relief from automatic stay, if
such order should be entered, will be effective immediately upon entry and that the provisions of
Rule 4001(a)(3) should be waived and Movant be permitted to immediately enforce and implement
the order granting relief from the automatic stay.
WHEREFORE, PREMISES CONSIDERED, Movant requests that this matter be set for a
hearing, as provided in Sections 362(e) and 1301(d) of the Bankruptcy Code and that the Court
enter an Order granting Movant Relief from the Automatic Stay to permit Movant to foreclose its
security interest on vehicle # 1 and vehicle # 2 as prayed for in this Motion and grant to Movant
such other and further relief to which it may be justly entitled.

Eqwpment. Lessor shall review any offers to purcha1e the
Equipment from prosp!!Ct1ve purchasers. indud1ng an offer from
Lessee. (b) If an offer to purchase the f.qu1pment IS accepted by
Lessor. the Equ1prnem will be sold by :o the highest
within 10 after the Termination Date. (c) II the Net Proceeds
