(FormFactor), by and through its undersigned counsel, hereby

reserves its rights with respect to the Motion of Debtors for Order (A) Approving Disclosure Statement; (B) Fixing Voting Record Date; (C) Approving Solicitation and Voting Procedures with Respect to Debtors Chapter 11 Plan; (D) Approving Form of Solicitation Packages and Notices; (E) Scheduling Certain Dates in Connection Therewith (the Motion), and in support thereof respectfully states as follows: 1. FormFactor, in its capacity as a Noteholder, as defined in section 1.57 of the

Debtors Plan of Liquidation under Chapter 11 of the Bankruptcy Code (the Plan), has been in discussions with the Debtors and other stake holders regarding the Plan. As of the date of this Reservation of Rights, those discussions are ongoing and as such, FormFactor reserves its rights to raise any open and unresolved issues with respect to the Plan and the proposed Disclosure Statement for the Debtors Joint Plan of Liquidation under Chapter 11 of the Bankruptcy Code [D.I. 455] (the Disclosure Statement) at the hearing on the Motion.

FormFactor also reserves all of its rights to object to the Plan irrespective of

whether it reaches resolution on all of the issues related to the Disclosure Statement or if it does not assert any objection to or issue with the Disclosure Statement or Plan at the hearing on the Motion.
