AMNDMENT TO COMMISSION AND AGENCY AGREEMENT

The pares to that certin COMMISSION AND AGENCY AGREEME (the

"Agreement") between Albrecht & Associates, Inc. ("Albrecht") and Pacific Energy Resoures, Ltd. and Pacific Energy Alaska Operatig LtC ("Sellers") dated Marh 4, 2009 hereby agree to amend the Agreement as follows:
i. The following language shall be made par of Pargraph 4 of the Agreement:
