CERTIFICATION OF COUNSEL WITH RESPECT TO AN ORDER DISALLOWING CLAIM NO. 341 OF SHAREHOLDER HUGH E. SMITH On May 15, 2010, Pacific Energy Resources, et al. (the "Debtors") filed the Notice of Hearing [Docket No. 1582] (the "Notice) with respect to the Objection of Shareholder Hugh E. Smith [Docket No. 1392] (the "Objection") to Debtors First Omnibus Objection (NonSubstantive) to Shareholder Claims [Docket No. 1349] (the "First Omnibus Objection"). A hearing on the Objection was held June 23, 2010 at 11:00 a.m. A copy of the proposed order (the "Order") which reflects the ruling of the Court and disallows Claim No. 341 filed by Shareholder Hugh E. Smith is attached hereto as Exhibit A. The Debtors respectfully request that the Court enter the form of proposed order attached hereto as Exhibit A at its earliest convenience. ORDER GRANTING DEBTORS FIRST OMNIBUS OBJECTION (NONSUBSTANTIVE) TO SHAREHOLDER CLAIMS BASED ON OWNERSHIP OF STOCK AND DISALLOWING CLAIM NO. 341 OF HUGH E. SMITH Upon consideration of the Debtors First Omnibus Objection (Non-Substantive) to Shareholder Claims Based on Ownership of Stock (the "First Omnibus Objection") 2 and the Objection of Hugh E. Smith (the "Response") to Debtors First Omnibus Objection (NonSubstantive) to Shareholder Claims Based on Ownership of Stock; and due and proper notice of the hearing on the Objection and the Response having been given, it is hereby ORDERED that the Response is overruled and the First Omnibus Objection is sustained as it relates to Claim No. 341 of Shareholder Hugh E.
