SETTLEMENT AGREEMENT AND MUTUAL RELEASE


This Settlement Agreement and Mutual Release (this "Agreement") is entered into by and between Pacific Energy Resources Ltd. ("PERL"), on the one hand, and Clariant Corporation ("Clariant"), on the other hand (collectively, the "Parties" and each individually, a "Party"). RECITALS On March 9, 2009 (the "Petition Date"), PERL and certain of its affiliates filed A. voluntary chapter 11 petitions for relief, pursuant to title 11 of the United States Code (the "Bankruptcy Code") initiating jointly administered chapter 11 cases designated as main case no. 09-10785 (KJC) (the "Bankruptcy Cases"), currently pending in the United States Bankruptcy Court for the District of Delaware ("Bankruptcy Court"). Clariant has timely filed proofs of claim in the Bankruptcy Cases that have been B. assigned claim nos. 239, 495, and 496 ("Claim No. 239," "Claim No. 495," and "Claim No. 496," respectively, and the "Clariant Proofs of Claim," collectively). Claim No. 239 was amended by Claim 495 and Claim 496. Claim No. 495 was originally asserted as a priority claim pursuant to 11 U.S.C. 503(b)(9) in the amount of $66,525.80. An order was entered on March 24, 2010 (the "Claim Order"), by which Claim No. 495 was allowed as follows: $9,343 of Claim No. 495 was reclassified as unsecured and the remainder of the Claim No. 495 was still entitled to administrative priority pursuant to to 11 U.S.C. 503(b)(9). Claim No. 496 was asserted as an unsecured claim of $22,415.80. On December 15, 2010, the Bankruptcy Court entered its order confirming the C. First Amended Chapter 11 Plan of Liquidation for Pacific Energy Resources Ltd, et al., as Modified (the "Plan"). The effective date of the Plan has occurred and the Plan remains in full force and effect. On March 8, 2011, PERL commenced an adversary proceeding against Clariant in D. the Bankruptcy Court, designated adversary proceeding no. 11-51215 (the "Adversary Proceeding"), by filing a complaint entitled, Pacific Energy Resources Ltd., v. Clariant Corporation (the "Complaint"). In the Adversary Proceeding, PERL sought to (i) avoid and recover over $208,000 that PERL allegedly transferred to Clariant during the 90 days before the Petition Date, and (ii) disallow the Clariant Proofs of Claim. On May 23, 2011, Clariant filed its Answer and Affirmative Defenses of Clariant E. pursuant to which it disputed the allegations made in the Complaint. Corporation, Since the commencement of the Adversary Proceeding, the Parties have met and F. conferred regarding their respective claims and defenses and have determined that it is in their respective best interests to consensually resolve the Adversary Proceeding on the terms set forth herein. The Parties agree and acknowledge that the settlement herein satisfies the G. standards of Rule 9019 of the Federal Rules of Bankruptcy Procedure as contemplated by Section VI.F.(13) of the Plan.

NOW THEREFORE, the Parties, in consideration of the mutual promises and covenants contained herein, and without admitting liability, hereby agree as follows:

AGREEMENT AND RELEASE PERL shall dismiss the Adversary Proceeding with prejudice by filing in the 1. Adversary Proceeding a Stipulation of Dismissal in substantially the form attached hereto as Exhibit A. Clariant agrees to execute the Stipulation of Dismissal at the same time as it executes this Agreement. In full settlement of all claims asserted or that could have been asserted in the 2. Adversary Proceeding, with respect to the Clariant Proofs of Claim: (a) Claim No. 239 shall be disallowed in its entirety; (b) the portion of Claim No. 495 entitled to priority pursuant to the Claim Order shall be reclassified as a general unsecured claim (resulting in a total allowed Class 4 General Unsecured Claim, as defined in the Plan, in the amount of $66,525.00); and (c) Claim No. 496 shall be allowed as a Class 4 General Unsecured Claim, as defined in the Plan, in the amount of $22,415.80. The Bankruptcy Court shall retain exclusive jurisdiction over all matters arising 3. from the interpretation and/or implication of this Agreement. The Parties mutual releases set forth in j 5 and 6 of this Agreement shall be 4. effective upon the execution of this Agreement by both Parties. Other than Claim No. 495 and Claim No. 496, which claims are allowed on the 5. terms set forth in 12 hereof, Clariant on behalf of itself and its respective parent, affiliates, subsidiaries, employees, representatives, attorneys, agents, successors and assigns, and each and all of them, hereby fully, irrevocably and forever waives, releases, and discharges PERL, the Liquidating Debtors (as defined in the Plan), and all of PERL s respective parents, affiliates, subsidiaries, employees, representatives, attorneys, agents, successors and assigns, and each and all of them, of, from and against any and all claims, demands, debts, liabilities, obligations, expenses, damages, actions, causes of action, rights of indemnity, liens, and remedies, of every kind and nature related to and/or arising out of the Bankruptcy Cases. For the avoidance of doubt, the releases contained in this 1 5: (a) do not extend to Claim No. 495 or Claim No. 496, which claims are allowed in the amounts and classes set forth in 12 hereof and (b) do not release any obligations under or breaches of this Agreement. PERL, on behalf of itself, the Liquidating Debtors (as defined in the Plan), their 6. bankruptcy estates, and their respective parents, affiliates, subsidiaries, employees, representatives, attorneys, agents, successors and assigns, and each and all of them, hereby fully, irrevocably and forever waives, releases, and discharges all claims, demands, debts, liabilities, obligations, expenses, damages, actions, causes of action, rights of indemnity, liens, and remedies, of every kind and nature related to and/or arising out of the Bankruptcy Cases. The releases contained in this 6 do not release any obligations under or breaches of this Agreement.

The Parties expressly waive any right to assert hereafter that any claim released 7. herein has been omitted from the terms of these mutual releases through ignorance, oversight, error or any other cause.Each of the Parties expressly acknowledges that it may in the future discover facts in addition to or different from those it now knows or believes to be true with respect to the subject matters of this Agreement. Nevertheless, each of the Parties agrees to fully, finally and forever settle all claims within the scope of the releases as set forth in this Agreement, whether or not hidden or excluded, known or unknown, without regard to the subsequent discovery or existence of different or additional facts. The Parties acknowledge that this waiver was separately bargained for and is a key element of the settlement of which this release is a part. PERL represents and warrants that no approval of the Bankruptcy Court is 8. required for approval of this Agreement under the Plan or otherwise. Each person signing this Agreement on behalf of a Party represents and warrants to the other Party that he or she is authorized to enter into this Agreement on behalf of such Party. Each Party acknowledges that this Agreement effects the settlement of claims 9. which are denied and contested by the other, and that nothing contained herein shall be construed as an admission of liability or fault by or on behalf of either Party. This Agreement shall be construed in accordance with the laws of the State of 10. Delaware and the Bankruptcy Code, without regard to the conflicts of law jurisprudence thereof. Any disputes concerning this Agreement shall be determined exclusively by the Bankruptcy Court as a core proceeding, in the Bankruptcy Cases, which shall have exclusive jurisdiction to interpret and enforce the terms of this Agreement, without a right to a jury trial. This Agreement is binding upon and shall inure to the benefit of the Parties hereto 11. and their respective attorneys, agents, heirs, administrators, successors, assigns, and executors. However, there are no third Party beneficiaries of this Agreement. Except as expressly stated herein, the Parties represent and warrant to each other 12. that they have not heretofore assigned any of their claims against the other Party to this Agreement, including the claims set forth in the Adversary Proceeding and any of the Clariant Proofs of Claim. Each Party shall bear his or her or its own costs, expenses and attorneys fees in 13. connection with this Agreement and the disputes settled by this Agreement. The section headings used in this Agreement are for convenience only and shall 14. not affect the construction of the Agreement. Each Party participated in the negotiation and drafting of this Agreement, so this Agreement shall not be interpreted or construed against either Party based upon the preparation of this Agreement. This Agreement may be executed in one or more counterparts, each of which shall 15. be deemed an original, but all of which together shall constitute one and the same instrument. Signatures on copies of this Agreement reproduced electronically or by facsimile shall be deemed as effective as original signatures on counterparts.

I This Agreement constitutes the entire Agreement between the Parties hereto pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements and other signings between the Parties. No supplement, modification, waiver, or termination of this Agreement shall be binding unless executed in writing by the Parties to be bound thereby. If any proviion of this Agreement is determined to be unenforceable, such determination shall not affect th6, enforceability of the other provisions of this Agreement provided that such remaining enforceable provisions are consistent with the intention of the Parties. 17 Any individual who executes this Agreement represents and warrants to the ttee that he or she, acting alone, has full power and authority to bind the Transferee to this
