I am

generally familiar with the Debtors day-to-day operations, business affairs, books and records. 2. I have approximately seventeen years of experience in the automotive industry.

In particular, prior to my employment with C&A, I held the positions of, among others, (a) Senior Vice President Corporate Transactions and Legal Affairs, General Counsel and Secretary at Visteon Corporation and (b) Group Vice President and General Counsel Automotive Systems Group at Johnson Controls, Inc. 3. I am aware that on March 10, 2006, the Debtors filed the Debtors Motion for

Order Authorizing Entry into Agreement with General Motors Corporation Resolving Issues Regarding the Resourcing and Transition of a Certain General Motors Program [Docket No. 2347] (the GM Agreement Motion).2 I submit this affidavit in support of the GM Agreement Motion. 4. In connection with the subject matter of the GM Agreement Motion, I acted in my

capacity as a business person in the role of C&As Executive Vice President and Chief Administrative Officer. 5. As discussed in the GM Agreement Motion, General Motors Corporation (GM)

elected to resource a certain GM program (the GM Program) from the Debtors to another supplier(s) and requested the Debtors assistance with and cooperation in the transition of the GM Program to such supplier(s).

Capitalized terms used but not otherwise defined herein shall have the meanings set forth in the GM Agreement Motion.

The Debtors disagreed with GMs decision to resource the GM Program.

Nonetheless, the Debtors desired to cooperate with GM in the transition of the GM Program, provided that the Debtors and GM first agreed to a commercial resolution of certain financial and operational issues implicated by GMs decision to resource. 7. In an effort to achieve their respective objectives, the Debtors and GM negotiated

an agreement (the Agreement), the terms of which address and resolve any commercial and legal issues relating to the resourcing and transition of the GM Program from the Debtors to another supplier(s). 8. The Agreement represents a good faith effort among the Debtors and GM to

address and resolve any commercial and legal issues relating to GMs election to resource the GM Program from the Debtors. 9. The Agreement will (a) minimize the costs associated with any potential dispute

arising from the various legal issues related to the resourcing of the GM Program and (b) preserve the Debtors relationship with GM. 10. If the parties did not enter into the Agreement, the Debtors and GM could have

become embroiled in a dispute and potential litigation over various legal issues related to the resourcing and transition of the GM Program, the outcome of which would be uncertain. Any potential litigation between the parties would be costly and could cause GM to refuse to enter into new supply agreements and/or purchase orders with the Debtors in the future. Any resulting disruption could substantially hinder the Debtors operations and their reorganization efforts. The expenses incurred in connection with any dispute or litigation would be an additional burden to the estates and their creditors. The Agreement avoids both the uncertainty of litigation and the heavy encumbrance it would place on the estates and their creditors. 3

In addition, if it became known that the Debtors did not cooperate with the

transition and resourcing of the GM Program, it could negatively affect the Debtors relationships with other OEMs. 12. Although GMs election to resource the GM Program from the Debtors to

another supplier(s) will create a loss of future business for the Debtors, GM, pursuant to the Agreement, will award and transfer certain existing and future business to the Debtors that would offset a significant portion of the loss of future business suffered by the Debtors as a result of GMs election to resource the GM Program. Pursuant to the terms of the Agreement, the new business is conditioned upon the Debtors satisfaction of certain business conditions. In my experience in the automotive industry, except for provisions which are bankruptcy specific, the business conditions under the Agreement are reasonable and consistent with the normal business practice of awarding future programs in the automotive industry. Overall, the Agreement

provides an opportunity for the Debtors to obtain meaningful future business, which will help maintain financial stability in the future and maximize value for these estates through a plan of reorganization or sale. 13. Under the Agreement, in addition to the award of new business, GM has also

agreed to reimburse the Debtors for substantial engineering and other costs incurred by the Debtors in supporting the GM Program and its transition to a new supplier. 14. In light of and considering all of these factors, the Debtors decided to enter into

the Agreement and believe that its approval is in the best interests of the Debtors estates.
