Pursuant to the Administrative Order Establishing Procedures for Monthly

Compensation and Reimbursement of Expenses for Professionals and Official Committee Members entered by this Court on June 9, 2005 [Docket No. 290] (the Interim Compensation Order), objections to the Fee Statement were to be filed and served no later than May 12, 2006 (fifteen days after the date of service of the Fee Statement). Pursuant to the Interim Compensation Order, the above-captioned debtors are authorized to promptly pay Kirkland & Ellis LLP $825,228.62, which represents 80% of the total fees in the amount of $987,797.50 ($790,238.00) and 100% of the total expenses in the amount of $40,109.38 less a reduction of $5,118.76 (on account of fees and expenses that Kirkland & Ellis LLP waived in the Second Interim Fee Application [Docket No. 2260] that Kirkland & Ellis LLP previously had been paid by the Debtors) in the Fee Statement for the period March 1, 2006 through March 31, 2006, upon the filing of this Certification of No Objection and without the need for entry of a Court order approving the Fee Statement.
