Roughly,thescopeofworkrequiredisasfollows: LegalduediligenceoftheTransaction,whichwillincludelimitedanalysisoftheexistinglegalandregulatoryframeworkwithin theparametersofwhichtheTransactionwillhavetobeimplemented.Forthistaskconsultantwillhavetosubcontracta reputablelocallawfirm.Creationofconsortiumsisnotnecessaryatthisstage. AssistanceinpreparationofanoptimaltransactionstructureforimplementingtheTransaction Preparationofprequalificationdocumentsandassistanceinimplementationofprequalificationprocess. Preparationofthetenderdocuments,includingtheRequestforProposalsandConcessionAgreement. Assistancewithconductingthenegotiationsprocesswithprequalifiedinvestors,includingparticipationinabidders conferenceifnecessary. Oversightofinvestorduediligenceanddataroomsetupandprocedures. Assistancewithconductingthetenderandselectingthewinningbidder.Thiswillincludeassistingwithreviewinglegal credentials.

    Assistancewiththefinalclosureoftherespectivetransaction,includingthepotentialnegotiationsandpostbidcontract finalizationswiththewinningbidder. INDIVIDUAL/FIRMPROFILE Theconsultantwillbeafirm.
