PTD 72, MUKIM TENGGAROH, DAERAH MERSING, JOHOR ( KAWASAN DIKENALI SEBAGAI TUNJUK LAUT BEACH RESORT ). Damansara Assets Sdn Bhd (DASB) are pleased to append the principal terms and conditions for the tenancy of the above premise at Tunjuk Laut Beach Resort, Mersing, Johor as per below: 1.0 Premises 1.1 Lot No. 1.2 Location 2.0 3.0 4.0 Monthly Rental Area Term Of Tenancy The term of tenancy shall be for one (1) year with an option to renew for another one (1) year. The initial term shall be from 1st December 2008 till 30th November 2009. 5.0 Legal Cost and Stamp Duty All legal fees and stamp duty and other disbursement incurred for the execution of the tenancy shall be borne by the tenant. : : : : PTD 72, Mukim Tenggaroh, Mersing. Usage To use the premises solely as Canteen and activities that related to it. In the man time, Tenant is allowed to operate entertainment activity such as karaoke. For other activities, tenant has to apply to and get prior approval from DASB. DASB is not bound to approve such application or to give a reason or to give a reason or what so ever not approving such application from the Tenant.

7.0 Taking Possession / Commencement of Tenancy The date of delivery of possession will be upon confirmation of your intention to the tenancy and payment of Security Deposit and others payment as stated under the Clause 9.0 below but not earlier than 1st. December 2008. Joint inspection will be conducted at the demised premises and shall be held on the same day by both parties. 8.0 Payment Of Monthly Rental & Others Rental and other payment shall be paid to DASB latest by 7th day of the following month. 9.0 Payment Tenant is required to pay the following payment before delivery of possession can be done: 9.1 9.2 9.3 9.4 9.5 9.5 First Month Rental : Security Deposit : (Will be refunded Upon expiry of tenancy) Utilities Deposit : Processing Fee : Duyt Stamp Fee : Renovation Deposit : (Will be refunded Upon expiry of Tenancy) TOTAL RM 400.00 RM1,200.00 RM1,000.00 RM 80.00 RM 30.00 RM1,500.00 RM4,210.00

Utility Tenant is responsible to make a necessary arrangement with Relevance Authorities for separate electricity meter (for power , lighting and air-condition), water meter and telephone line for said utilities can be connected to the said premises. All cost incurred for the said arrangement must be borne by the tenant.

Notice Of Termination Both parties have a right terminate the tenancy by giving a 3 month notice in writing to the tenant.

12.0

Other Terms and Conditions 12.1 12.2 12.3 Tenant has to submit the related building plans and drawings and to get an approval from DASB prior to the commencement of the renovation and extension work on the building. Tenant is fully responsible to get an approval/license from the Appropriate Authority before starting the operation and all cost incurred in getting the approval shall be borne by the tenant. Tenant has dispose the waste from the canteen properly and must seek an approval from DASB on the location and area for the purposes. Tenant must get an approval from DASB for any other activities thats need to be carried out other being mentioned under Clause 3.0 above. Any other terms and conditions are subject to the Tenancy Agreement that will be forwarded to you later.

12.4

If you have no objection to the above terms and conditions, kindly sign and return to us the Notification Of Acceptance as attached with this letter together with the payment within Fourteen (14) days from the date of this letter of offer failing which the offer will automatically lapse.
