Namely,thereissubstantialevidencethatHerbalife Ltd. isanillegal pyramidschemeoperatingundertheguiseofahealthproductscompany.Uponinvestigation, however, Herbalifepaysmoremoneytoparticipantsinitsbusinesstorecruitnewparticipants thanitdoesforsaleofitsproducts.Thisisillegal.See,e.g.,Websterv.OmnitritionIntern.,Inc., 79F.3d776(9thCir.1996). FedEx isaidingHerbalifeinmaintainingandperpetuatingthatschemeandthus,may itselfbeliableforinjurycausedbyit.Specifically,FedExprovidesdeliverysupporttoHerbalife andwithoutthedistributionofitsproductstherewouldbenocoverforthescheme. Assoonaspractical,pleaseconfirmtomethatyouhaveinvestigatedtheseissuesand ceasedallinvolvementwithorsupportofHerbalife's pyramidscheme.Ifyouchoosenotto investigateHerbalifeornottoceaseyourinvolvementtherewith,pleaseprovidemethelegal basisjustifyingyourdecision,includingatminimumtheopinionletterfromyourcounselupon whichyourely.IbelieveyouhaveafiduciarydutytomeandothershareholderstoensureFedEx is notinvolvedwithcriminalactivity.
