These conditions of Sale the Conditions supplied by M/s: RELAXO FOOTWEAR LTD (the Seller) to a purchaser (the Buyer)

shall be incorporated into each Contract (the Contract) made by the Company for the display of the Companys goods (the Goods) to the Buyer. The Company Contracts as aforesaid on such terms as are agreed between the Seller and the Buyer and upon the Terms and Conditions alone. No conditions or terms of the Buyer shall apply to the Contract. No variation of any other conditions shall be effective unless in writing and signed by a duly authorized representative of the Seller. Any statement or representation written or oral made or given prior to the date of the Contract by the Seller is hereby excluded unless expressly incorporated therein. Acceptance of the goods by a Buyer shall be conclusive evidence before any Court of Law that these terms apply. The intending Buyer acknowledges that before entering into an agreement for the purchase of any goods from the Seller, he has expressly represented and warranted that he is not insolvent and he has not committed any acts of Bankruptcy or being with a Company with limited or unlimited liability and knows of no circumstances which will entitle any debenture holder or secure a Creditor to appoint a Receiver to petition for Winding-up of the Company or to apply for the appointment of an Administrator or exercise any other right over or against the Companys assets.

Terms and Conditions

a) The shoe articles are displayed on the terms that they comply with the written terms and conditions contained in the contract. b) Except where the Seller and the Buyer have otherwise expressly agreed in writing (signed by an authorized person on behalf of the Seller) the Buyer is deemed to have satisfied himself as to the suitability of the display of the shoe articles
c) The Buyer has to purchase the shoe articles from the respective authorized distributor of the Seller of that particular area. d) The Buyer has to permit a space in his/her retail outlet for the display of the articles of the Seller. e) The Seller will utilize the space & do further modifications on the given space by the Buyer. f) The Seller after agreed in writing with the buyer will do the required modifications for the articles display in the Buyers retail outlet. g) The Buyer has to maintain the display modifications as done by the Seller in his/her retail counter at least for 1 Year from the date of modifications. h) The Seller will allow a guarantee of 2 months for each articles displayed in the Buyers retail counter. In the case when the article doesnt sell, the Seller will exchange the article with the demanded article from the Buyer.
