The importance of corporate governance, and thus the role of the company secretariat, has grown in the last two years, as companies increasingly focus on transparency and disclosure in governance, strategy, risk assessment and decision-making.

Part of restoring lost public trust in UK business falls to the company secretariat in the promotion of good governance. The annual report is an important part of this. It is the most comprehensive publicly accessible window into business and provides an insight on the way that boards and their committees operate.

The company secretariat must overcome tensions in the boardroom and find the balance between financial risk-taking in pursuit of profit and good stewardship. Value can be added by ensuring discussions on executive remuneration and shareholder engagement are on the agenda.

The market will continue to be busy, with lots of lateral moves. Competition will be fierce at the junior level with the yearly number of ICSA students increasing. And with so many more people holding and studying toward qualifications, hiring managers will increasingly seek sector-specific experience. This is especially true for financial services where exposure is difficult to gain and candidates with experience will continue to be highly sought after.

In the listed environment there will be a squeeze on jobs as mergers and acquisitions and related redundancies continue in 2012. In the private practice sector, the Companies Act 2006 (excusing the requirement for the office of the company secretariat) will mean these responsibilities fall on the company directors. More firms will diversify, adding company secretarial services to their corporate services offerings, leading to a rationalisation of the company secretariat in smaller firms.

The role of the company secretariat will continue to be essential as companies seek to rebuild. This continues to be an exciting profession, and a vibrant market.
