Contract of employment

This contract of employment is entered into between:

And

Terms and Conditions:

1. Job title You are employed as: Social investment broker (SIB)

2. Starting date This contract begins on January 16 2012and continues until terminated as set out in clause 12.

3. Hours of work Your working hours will be from 08:30 am to 17:00 from Monday to Friday.

4. Place of employment Heart Capital / Accelerator: HR Contract of employment

The place of employment will be at the address of the employer as stated above, or at any other premises should the company relocate its premises.

5. Duties Your responsibilities, duties and tasks are outlined in your job description.

6. Remuneration Your gross salary shall be per month. It will be paid in cash and payment will be made on the last day of every month. Only PAYE and UIF will be calculated according to standard Governmental regulations. Payment of your salary will be made directly into your bank account at the institution of your choice.

7. Annual leave You will be entitled to 15 working days leave at full pay for every 12 months of completed service; accrued at the rate of 1.25 days per month. Part of such leave will be taken at the discretion and time agreed by your line manager or direct superior, any time during the 12 (twelve) months cycle, but not later than 6 (six) months after the completion of the 12 (twelve) months period of work.

Unpaid time off will be negotiated on a case-by-case basis with your line manager.

8. Sick leave During every cycle of 36 months worked you will be entitled of to get paid sick leave equal to the number of days you would normally work during a period of six weeks. Meaning that since you work five days a week you will be entitled of 30 days sick leave over a period of 3 years. Sick leave not taken will not be paid out. During the first 6 (six) months of employment, you will entitled to one day sick leave for every 26 days worked. If continual illness occurs, you agree to a medical examination requested by Heart Capital at any reasonable time, with Heart Capital bearing the cost and having access to medical opinion with regard to your medical fitness/health to hold office.

Should you be absent for a long time due to illness, Heart Capital is entitled to terminate this contract after completion of a procedurally fair investigation into your health position.

9. Maternity leave You are entitled to at least four consecutive months unpaid maternity leave. You will claim maternity benefits in terms of the Unemployment Insurance Act. Such maternity leave may commence at any time Heart Capital / Accelerator: HR Contract of employment

from four weeks before the expected date of birth, unless otherwise agreed, or on a date from which a medical practitioner/ midwife certifies that it is necessary for your health or that of your unborn child.

You may not work for six weeks after the birth of your child, unless a medical practitioner/ midwife certifies that you are fit to do so. Therefore you must notify Heart Capital in writing, unless you are unable to do so, of the date on which you intend to: Commence maternity leave; and Return to work

Such notification must be given at least four weeks before your intended date to commence maternity leave. Note that you will be considered as deserter if you do not report for duty within five days after the stipulated date. A disciplinary enquiry may be held to determine the reasons for the absence.

10. Family responsibility You will be entitled to three days paid family responsibility leave after you have completed four months of employment with Heart Capital. Such leave can only be taken under the following circumstances: (a) the birth of your child; (b) to attend a sick child; or (c) in the case of death of i. ii. Your spouse or life partner Your parent, adoptive parent, grandparent, child, adopted child, grand child or sibling.

11. Probation period You are appointed on a probation period of three months from the date of commencement of employment. During this period your performance, skills, behavior, adaptability, knowledge, and health will be evaluated by Heart Capital and any shortcoming in this regard during the probation period will be sufficient reason not to extend your contract beyond the probation period.

12. Termination of employment This agreement can be terminated by either party; (a) With four weeks written notice after a year of employment, (b) Two weeks written notice during the first six months of employment.

Heart Capital+may summarily terminate this contract of employment in the case of gross misconduct or dishonesty on your part, after the procedure laid down in the disciplinary code and due process has been Heart Capital / Accelerator: HR Contract of employment

followed, or for any cause recognised by the law as being sufficient, subject to this being reduced to writing.

13. Confidentiality You will not divulge any information to any unauthorised persons or bodies relating to any aspect of your work or to any Heart Capital1 operation or process. Such information will include methods, process, computer software, client list, programmes, trade secrets, technical information, chemical formulae, financial information, or any other information which could be damaging to Heart Capital operations or which could benefit other parties to the detriment of Heart Capital. Such restriction will apply during and after your employment with Heart Capital.

14. Drugs/alcohol You agree to undergo testing should it be suspected that you are under the influence of drugs or alcohol while performing your job functions. You understand as well that disciplinary actions will be taken should the test be positive. You therefore undertake to refrain from the misuse of drugs or alcohol. Misuse of alcohol/drugs resulting in the violation of rules and regulation can lead to dismissal following a disciplinary hearing.

15. Patents and copyright Heart Capital reserves the right to retain any and all rights to any patents or copyright to any inventions, designs, discoveries, improvements made, discovered or conceived by you during your employment with Heart Capital whether holly or partially, and whether in connection with or incidental to you employment with Heart Capital, and which may relate to, or be in connection with, or be useful to the business carried out by Heart Capital whether or not during normal working hours and whether or not at your premises. Such patents or copyrights will not be limited to any particular area or country and you will have the right to alter, modify, adapt or change any designs, process or methods of any patents or copyrights.

16. Training You may be required by Heart Capital to attend from time to time, training courses or development programmes in order to improve your skills, knowledge or experience. Attendance at these courses or programmes will be at the discretion and expenses of Heart Capital.

17. Deduction

You authorize Heart Capital to deduct from your earnings, any monies owed to it for whatever reason at the termination of service or when such monies are due.

18. Guarantee by employee You confirm that all documentation, information and credentials presented to Heart Capital in support of your application for employment are authentic and it is agreed that in the event of any of the above subsequently proving to be false, this will be ground for summary termination of your employment contract.

19. Access You agree that any legal rights you have to be on Heart Capital premises depend upon the adequate performance duties allocated to you by Heart Capital. It is therefore specifically agreed that should you, for what ever reasons, decide not to proceed with the performance of your allocated duties you shall at the request of Heart Capital management leave Heart Capital premises in an orderly manner within 20 (twenty) minutes after being requested to do so and that refusal or failure to do so will be regarded as breach of contract.

20. Date of retirement You will retire when you reach the qualifying age for pension benefits (60 years old) or as otherwise agreed in writing.

21. Restraint of trade You shall not during your period of employment or within 1 year after termination of your service: Use intellectual property of Heart Capital or any of Heart Capitals social enterprises. Make any attempt to take over client relationships of Heart Capital or any of Heart Capitals social enterprises. This does not preclude a working relationship with clients of Heart Capital .or any of Heart Capitals social enterprises so long as the client relationship with Heart Capital or the social enterprise(s) is/are not jeopardized.

22. General This contract will be the entire agreement between the parties and no variation, alteration and/or addition will be of any force or effect unless placed in writing and signed by both parties.

No indulgence, leniency or extension of time, which the parties may grant each other, in the event of claims and/or disputes shall in any way whatsoever, prejudice either of them, preclude either of them for exercising their rights or constitute a waiver or limitation of any of their respective rights.

Both parties undertake to hold themselves bound by this contract and agree to observe the provision contained therein.

The parties agree that all the terms and conditions of employment are specified in this agreement and those conditions of employment not specified in this agreement will be silent on any specific point. Relevant section(s) of the Basic Conditions of Employment Act, will apply, and any amendments to relevant labour laws in the future will automatically apply if and when applicable.

Any change to relevant legislation shall automatically replace the conditions of employment on this agreement should they become more favourable.
