Tenant(s) agrees to:Provisions 1 : The landlord/lessor shall hereby lease to the tenant the above premises with all

contents thereof as specified hereinafter and the tenant acknowledges taking the same on lease as per the terms and conditions stated hereinafter. The Tenant do hereby acknowledges having viewed the leased premises and found it to be in sound condition. In case of end or termination of the lease contract for any reason whatever, the tenant pledges to hand over the leased premises to the landlord/lessor in a sound condition. The tenant also undertakes to indemnify the landlord/lessor and hold him free against any damages or losses to the leased premises as a result of any alterations made without the landlord/lessors consent. The Tenant shall not make any additions, alterations, or refurbishing of the leased premises without prior written consent of the landlord/lessor. Throughout the duration of this contract, the tenant shall not be permitted to assign, sublet, dispose of the leased premises or grant any rights thereof including, without limitation, management and investment rights to any third party. The Tenant shall observe all safety rules and regulations. To this effect he shall not store chemicals or inflammable liquids, acetylene and volatile materials in the leased premises, under any circumstances whatever, in order to ensure that the insurance is valid and to avoid raising the insurance policy value in any such case, the landlord/lessor shall have the right to recover any excess amount in the insurance policy value from the tenant without prejudicing his right to take any other remedies under this contract. The landlord/lessor shall have the right at any reasonable time and upon a prior notice to the tenant (except in emergency cases where no prior notice is required) to have access to the leased

premises, check any defects therein and stay until such defects are fully rectified. 7 : The landlord/lessor shall carry out at his own expense, any repair of defects that occurred to the leased premises except for the defect or damages that happen due to negligence, mistake or misused by the tenant or any of his servants or persons connected with him. In case the tenant has not paid the full rent value plus expenses and taxes incurred upon him as a result of his use of the leased premises, the landlord/lessor shall have the right to stop providing him with any services without any condition, restriction or prior notice to the tenant. The Tenant Obligations: The Tenant shall;

a) Pay full rent amount to landlord/lessor on due dates as agreed herein. 10 : The tenant shall pay to the landlord/lessor upon signing this contract amount equal to a month rent value to be retained by the lessor as security for the tenants compliance with all provisions and conditions stated herein. Upon expire/termination of the lease contract the tenant shall have the right to refund this amount void of interest after deduction of all costs and expenses due on him. The landlord/lessor shall take no responsibility towards the tenant or any third party suffering any injury or damage due to a default beyond the lessors control in maintaining any part of the leased premises. The landlord/lessor shall have the right to terminate this contract and confiscate the security deposit amount in any of the following cases: a) In case of non-payment of the rent value or any due fees within 21(twenty one) days of due date. b) Breach by the tenant of any terms herein or any other regulations in

force or his failure to comply with the same. c) Abandonment by the tenant of the leased premises or his being untraceable or leaving the country without notifying the lessor. 13 The tenant hereby undertakes not to use the leased premises for any of the following purposes:

a) Illegal or immoral utilization. b) To hold public meetings. c) To conduct gambling or like activities. d) To conduct any activities that might annoy or disturb adjacent inhabitants or tenants. 14 : For the purpose of renewal hereof, the landlord shall serve a written request to the same effect three months prior to the contract termination date whereby the contract shall be renewed vide a contract to be signed by both parties and at rent value determined by the landlord/lessor in relation to the rates applicable in the U.A.E for a minimum period of one year. The tenant shall pay the said value before one month of the contract expiry date provided that the tenant shall not be in breach of any of the terms and conditions stated herein. In case the tenant fails to sign the new contract as stipulated in article 14 herein, the tenant shall undertake to vacate the leased premises on or before the expiry or termination of this contract and shall pay the full tenancy value and other fees in advance till the date of the expiry of this contract and handover the premises to the lessor. In case the tenant fails to honour the full term of this contract the tenant commits to pay three months tenancy value from the date of actual vacating and handover the leased premises to the lessor.

Upon the expiry of this contract, the tenant shall be obliged to vacate the leased premises. He shall not remove any contents, fittings and fixtures such as false ceilings, floorings, electrical connections or otherwise. He shall also handover directly the lease premises main doors keys and all other keys to the landlord/lessor. All notices and correspondence between the landlord/lessor and the tenant shall be in writing and sent through official channels or by registered mail. The tenants address shall be at the subject leased premises. This contract is issued in Arabic & English and case of any difference the Arabic version shall prevail. This contract has been made in two copies where one has been handed to the tenant while the other is kept with the landlord/lessor.

Remarks:The tenant shall provide a clearance certificate from the Electricity and Water Department upon vacation of the leased premises. The Tenant shall bear the repair cost of all types of damage that occurred to the leased premises whether deliberate or due to negligence. Garbage shall be disposed of properly in the allocated place. Regular maintenance works are included. In case any lease installment cheque shall bounce unpaid for lack of sufficient fund, etc. All necessary legal actions shall be initiated and all related expenses will be borne by the tenant. In case the tenant violates in the rules and regulations listed above, he undertakes to compensate for the damages he may have caused.
