ON APRIL 9, 2013 READING ON THE SALE OF MIDDLE GROVE SCHOOL Background/Discussion The School Board authorized the listing of Middle Grove School for sale at the October 9, 2012 meeting. The District has since received a formal offer from Mid-Willamette Valley Community Action Agency (MWVCAA). The offer and appraisal were presented to the School Board at an executive session on November 27, 2012. The School Board heard a First Reading on the sale of Middle Grove School at the December 11, 2012 meeting. This is a second reading to approve the sale of Middle Grove School to Mid-Willamette Valley Community Action Agency in the amount of $1,200,000 and resolve the following several outstanding issues necessary to finalize the sale of the school and property. 1) During the due diligence process, staff determined that the property is actually comprised of three separate parcels and discovered a technical issue with the deed related to Parcel 1, which dates back to the 1890s. In all likelihood, the title company will resolve this issue. If it cannot be resolved, the School Board may need to take additional actions related to the deed issue on Parcel 1, and if necessary, the issue will be returned to the School Board for action at future meetings. However, the sale of Middle Grove School can move forward with the School Board taking the following actions: Lease Parcel 1 for the annual amount of $6,500, which is 5% of the value of the property, to MWVCAA until the deed restriction is resolved. Upon resolution, the property will be transferred to MWVCAA Grant a permanent easement for the portion of the building that is on Parcel 1 to include as a part of Parcel 2. 2) Resolve a long-standing building encroachment by selling approximately 249 sq. ft. of land to an adjacent property owner, John R. Braun, in the amount of $286.35. Board Action The School Board is requested to take the following actions and authorize the Districts Chief Operations Officer to execute the documents and take all actions as required to complete the sale of the property: Approve the sale of the Middle Grove School property for $1,200,000 to the MWVCAA. If the deed issue is not resolved, approve a permanent easement and the lease of Parcel 1 to MWVCAA. Approve the sale of approximately 249 sq. ft. of the Middle Grove School property to John R. Braun for $286.35. This item is presented for a reading and will be returned for action at a special meeting on Tuesday, April 23, 2013.
