SPECIALEVENTSANDWEDDINGVENUECONTRACT

This Agreement is made effective as of _____________, by and between THE HILLTOP ESTATESPECIALEVENTSVENUEand(NAMESOFCLIENTS). The Special Event and/or Wedding Coordinator represents that they have extensive background in all aspects of the wedding/eventcoordination profession and access to a full rangeofrelatedproductsandservicecontactsintheSFBayAreaandsurroundingarea.The Special Event and/or Wedding Coordinator are willing to provide services based on this background. Werecommendthatallcaterersand vendors areselectedfrom ourlistofpreferred caterers and vendors. The vendors and service providers mentioned have demonstrated superior professionalism and service contributing to the development of a successful business reputationandrelationshipwiththevenue. The CLIENTS represent that they desire to hold a special event or wedding on ____________________(date)atTHEHILLTOPESTATESPECIALEVENTSVENUE. Therefore,thepartiesagreeasfollows: 1)VENUERENTALFEE(S): (a) The CLIENTS orREPRESENTATIVE FOR THE CLIENT(S), agree to pay an initial non refundableDEPOSITof$500.00.Thispaymentservestoholdthevenueforspecifieddateof eventorweddingandispayableatthetimeofcontractsignature. (b) The following are the agreed upon VENUE RENTAL FEES, which include the balance remaining for the fee for the event date of ___________, additional hour(s), if required __________, wedding ceremony fee, if required ___________, cleaning fee of $200.00, additional onsite supervisory staff and security fee of $250.00,andrefundabledamage and securitydepositof$1000.00(tobepaidbyseparatecheckormoneyorder,returnabletothe CLIENT(S)uptotwoweeksaftertheeventhasbeenheldoncepropertyhasbeeninspected foranypotentialdamagefromspecialeventorwedding). (b)TheremainingagreeduponVENUERENTALFEESwillbedue30DAYSpriortothedate of the event or wedding. The agreed upon date of payment will be the following: _____________. 2)DATECHANGES: IntheeventtheCLIENT(S)isforcedtochangethedateoftheeventorweddingeveryeffort willbemadeby THEHILLTOPESTATESPECIAL EVENTSVENUE to transfer reservationsto supportthenewdate.TheCLIENT(S)agreesthatintheeventofadatechangeanyexpenses including but not limited to deposits and fees that are nonrefundable and nontransferable are the sole responsibility of the CLIENT(S).The CLIENT(S) further understands that last minutechangescanimpactthequalityoftheeventandthatTHEHILLTOPESTATESPECIAL EVENTSVENUEisnotresponsibleforthesecompromisesinquality. 3)CANCELLATIONS: Intheeventofacancellationofspecialeventorwedding,allpaymentsmadetodatearenon refundableandalloutstandingpaymentswillbedueimmediately. 4)ACCOMMODATIONS: The CLIENT(S) agrees that accommodations or guest rooms provided by THE HILLTOP ESTATE SPECIAL EVENTS VENUE for the event or wedding party may require a separate contract. 5)OUTDOORLOCATION: The CLIENT(S) understands that they and their invited guests will abide by the permit requirementswhileonthepropertyofTHEHILLTOPESTATESPECIALEVENTSVENUE.The venueisoperated inaccordance withtheUSDApolicywhichprohibitsdiscrimination onthe basisofrace,color,sex,age,handicap,familialpartners,religion,andornationalorigin. 6)ENTIREAGREEMENT: ThisAgreementcontainstheentireagreementofthepartiesexceptasnotedinparagraph5 above,andtherearenootherpromisesorconditionsinanyotheragreementwhetheroralor written. This Agreement supersedes any prior written or oral agreements between the parties. 7)AMENDMENT: This Agreement may be modified or amended if the amendment is made in writing and is signedbybothparties. 8)SEVERABILITY: IfanyprovisionofthisAgreementshallbeheldtobeinvalidorunenforceableforanyreason, theremaining provisions shallcontinue to be valid and enforceable. If acourt findsthat any provisionofthisAgreementisinvalidorunenforceable,butthatbylimitingsuchprovisionit would become valid and enforceable, then such provision shall be deemed to be written, construed,andenforcedassolimited.

9)WAIVEROFCONTRACTUALRIGHT: ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedas a waiver or limitation of that party's right to subsequently enforce and compel strict compliancewitheveryprovisionofthisAgreement. 10) APPLICABLE LAW: This Agreement shall be governed by the laws of the State ofCalifornia. 11)RULESANDREGULATIONS:Thefollowingisalistofrulesandregulationstobeupheld byCLIENT(S),whichincludesallEVENTPLANNERSandWEDDINGCOORDINATORSand VENDORSwhoareinvolvedintheplanningandexecutionofaspecialeventorweddingon thepremisesofTHEHILLTOPESTATESPECIALEVENTSVENUE. 1)Barbecues/Grills Theuseofagasgrilldoesnotrequireapermit.Theuseofanoutdoorcharcoalormesquite grillrequiresapermitandacertificateofgeneralliabilityinsurance. 2)Candles Anyuseofcandlesmustbeapprovedbythefacility.Allcandlesmustbecontainedorenclosed inglass.Theflamemustnotreachhigherthan2inchesbelowtheheightoftheglass. 3)EventEndingTime Alleventsmustendby11:00PMtocomplywithCountysoundordinancesandinorderto allowforcleanupandclosureofthesiteby12:00AM. 4)Decorations Decorationsmaynotbehungfrom_____________.Alldecorationsmustberemovedwithout leavingdamagesdirectlyfollowingthedepartureofthelastguest,unlessspecial arrangementshavebeenmadebetweentheCLIENT(S)andthevenue. NOTE:Theonlyadhesivematerialallowedonthewalls/pillarsisdraftingtapewhichwillnot damagesurfaces.Nomaskingtape,ducttape,electricaltape,transparenttapeordoublestick tapeisallowed.Allotherdecorationmustbefreestanding.Nailsandstaplesmaynotbeused onthefloors. NOTE:Theuseofbirdseedispermittedonlyoutsideforweddingandreceptionfarewells. Rice,confetti,flowerpetals,balloons,glitter,fogmachines,pyrotechnics,sparklersand blowingbubblesarenotpermittedinsideoroutsidethefacility. 5)Insurance TheclientshallmaintainCommercialGeneralLiabilityInsurance,includingHostLiquor liability,inanamountnotlessthan$1,000,000CombinedSingleLimitforBodilyInjuryand PropertyDamage.SuchinsuranceshallnametheHilltopEstateasadditionalinsured,anda certificateofinsurancewithanendorsementmustbeprovidedthirty(30)dayspriortothe event.(Thisinsuranceisseparatefromandinadditiontoinsuranceprovidedbythecaterer,if oneiscontracted.)

6)Liquor/Beverages/IllegalSubstances Alcoholmaynotbeservedtominors.Atanytime,ifthecateringstaffdeemsalcohol consumptiontobeexcessive,thestaffhastheauthoritytoclosedownallalcoholservice and/orevictinebriatedguestsfromthepremises. 7)LogisticalPlans TheHilltopEstateandcateringstaffmustreviewandapproveallproposedlogisticalplansfor theuseofthepremisesaminimumoffourteen(14)dayspriortotheevent. 8)MusicAmplified Musicispermittedwithinthe______roomandintentedspaces.Allmusicmustendby10:00 PMduringweekdaysand11:00PMonweekendstocomplywithCountysoundordinances. 9)Security Asecurityguardwillbepresentforalleventswherealcoholisserved(suchaswedding receptions,fundraisers,winetastings,corporatepartiesorreceptions).Thisserviceisnon negotiable.Costoftheservicewillbechargedtotheclient. 10)Smoking TheHilltopEstateisanonsmokingvenue.Ashtrayswillbeprovidedandsmokingpermitted onlyinthecourtyard. 12)SIGNATURES: Partyprovidingservices:
