Memorandum of Understanding (MoU) This Memorandum of Understanding (MoU) is signed on the 27 (twenty seventh) day of November, 2007 ( two

thousand and seven) between Belo Horizonte Urban Health Observatory, School of Medicine, Federal University of Minas Gerais, MG, Brazil, hereinafter called BHUHO, having its location at Avenida Alfredo Balena, 190, 6o andar, sala 625, Belo Horizonte/MG, Brazil through its Directors Dr Waleska T. Caiaffa and Dr. Fernando Proietti (which term shall include its heirs, assigns) and Urban Health Resource Centre (UHRC) , hereinafter called UHRC, a not for profit organization, registered under section 25 of Indian Companies Act 1956, having its registered office at F-9/4 Vasant Vihar, New Delhi -110 057, through its Executive Director, Dr. Siddharth Agarwal, (which term shall include its heirs, assigns). Both the parties of the MoU have mutually agreed to the following: 1. Purpose Develop a collaborative mutually rewarding partnership for furtherance of Urban Health and wellbeing. Exchange information, research studies through websites, email exchanges, newsletters or other mutually agreed means. Facilitate cross learning between Brazil and other Latin American countries and India on approaches used for furtherance of Urban Health. Identify any other mutually rewarding initiatives and work collaboratively to further Urban Health. 2. Duration This MoU will be effective from November 27, 2007 (start date) till November 26, 2010 (end date) which may be further renewed for a period as mutually agreed by BHUHO and UHRC through its representatives. 3. Responsibilities To achieve the purpose of the MoU, BHUHO and UHRC will mutually collaborate and will:

a. Place links of BHUHO and UHRC with logos on each others websites at strategic places for high visibility. b. Share updates on key research and program activities, publications/reports released, from time to time at least once every year. c. Facilitate study tours between Urban Health program personnel from India and Brazil at mutually agreed time as and when feasible. d. Facilitate sharing and exchange of program and research experiences between Brazil and other Latin American countries and India and other South Asian countries from time to time. e. Advocate and share information about the health and wellbeing needs of urban poor populations among different stakeholders, networks and at appropriate forums. f. Identify any other mutually rewarding initiatives and work collaboratively to further Urban Health. 4. Modification Modification to the terms of this MoU may be done through mutual consent in writing by he authorized representatives of both the parties in writing. 5. Termination Both the parties understand and agree that this MoU may be abandoned or suspended for an indefinite period with a notification for thirty (30) days by either party. 6. Monitors The MOU Monitor is the primary point of contact within each organization. a.
