Agreement for the Appointment of Distributor

On this day on ______________, M/s Donisi International with its sales office at 328, Laxmi Plaza, Off New Link Road, Andheri (W), Mumbai 400 053. India enters into an agreement with M/s.___________________________________ with their office located at _____________________________________________________________for their appointment as Distributors for the area_______________________ to distribute the F.M.C.G. products marketed by Donisi International: 1) 2) 3) 4) 5) 6) WOW Sanitary Napkins with all variants. WOW Panty Liners Party 365 Products La Pareil Deodorants Umbro Toiletries Ceremony Soaps

Whereas, the parties to this agreement are willing to co-operate in order to market the F.M.C.G. products to cater to the demand in the designated territory. For the sake of convenience Donisi International shall be referred as DI, Distributor M/s ________________ as ___________.

Territories: D.I. agrees to grant a license for distributing of all its existing product through in the area of_________________________ as Distributor. Responsibilities: A) Distributor shall pass on all marketing policies of the company to the Retailers as and when applicable. B) All dispatches would be made by the Distributors M/s _____ directly, strictly against payment terms decided by _________. C) Distributor shall adhere to the entire general marketing policies & practices with utmost sincerity. D) Distributor shall be responsible for achievement of targets fixed by D.I. & the Super Distributor _____________________. Confidentiality The distributor agrees to use all reasonable efforts to take such action as may be appropriate to prevent the unauthorized use and disclosure of, and to keep confidential all such information including: a) Ensuring such confidential information is disclosed only to responsible employees who have first been properly instructed to maintain such information strictly confidential. b) Not disclosing to any 3rd party the terms and conditions of this agreement. c) Nor disclosing methods of manufacturing or sale of the product including production and marketing plans. d) Safeguarding all documents against theft, damage or access by unauthorized persons.

Compliance with the Law of territory: The distributor agrees to take all necessary steps to ensure that it does not engage or participate, directly or indirectly, in any transaction whatsoever with respect to the products manufactured/ marketed by DI if such transaction is prohibited by the law and regulation of the territory. The distributor will be liable for payment of all types of taxes as per law in the territory. Market Development: DI has appointed its Sales team with its Head Quarters at Mumbai. The team would be responsible for activity related to product promotion, after sales service, retailer development and distributor performance review. This is being done to ensure that we stay focused on our promotion strategy, which will form a road map for our growth in the area of ________________________________.

Dispute Resolution: All disputes arising from the execution of this agreement shall be settled through friendly consultations between ____________________________ & Donisi International. However, incase no settlement can reached by consultations, the disputes shall be submitted to and be subject to the jurisdiction of the court of the state of Maharshtra, Mumbai, India, which shall have exclusive jurisdiction in the event of any dispute under this agreement.
