CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement (''Agreement'') is made this -z.-k~ay of October, 2009 by and between WM GreenTech Automotive C01p. ("Company") and Virginia's Gateway Region, referred to as "VGR". VGR and the Company acknowledge and agree that all confidential and proprietary information, objectives and plans (the "Confidential Information") provided to VGR by or on behalf of the Company, of the Go-Clean-Green project in Virginia ("Project"), which Cohfidential Information may include but is not limited to trade secrets and/or commercial and fmancial information, is provided as Confidentialli1fonnation, and that (a) VGR will hold and treat it in the strictest of confidence, (b) VGR will not disclose or permit anyone else under its control to disclose the Confidential Information to any person, firm or entity without pl'ior written authorization of the Company, except as noted below; (c) VGR will use such Cohfidential Information solely for the purpose of discussing, analyzing; evaluating and fom:mlating one or more proposals for the Project, and (d) V GR will not use any of such Confidential Information for any other pmpose. VGR fmther agrees to disclose the Confidential Information only to its directors, officers, employees, consultants, ancl/or attomeys (collectively, "Representatives") or other economic development allies or stakeholders (the "Allies'') (1) who need to know such Confidential Information for the purpose of discussing, analyzing, evaluating and formulating one or more proposals for the Project; and (2) who are informed of the confidential nature of such Confidential Information. VGR fmther agrees to direct its Representatives apd Allies to treat such Confidential Information in accordance with the terms of this Agreement, VGR and its Representatives will not, without the prior written consent of the Company, disclose to any person or party (other than to a Representative or an Ally, which disclosure to a Representative or Ally shall be subject to the terms of the preceding two sentences) the fact that the Company is or may be considering the Project. The Company has the obligation to designate information, objectives and plans as being Cohfidential Infotmation, which designation may be accomplished in writing or orally, and may be made by class of documents or inf01mation, rather than as to eac;h individual item. The said Confidential Information may consist of, but not necessarily be limited to.: (a) Technical information: Methods, processes, formulas, technical specifications and data, compositions, systems, techniques, inventio~, machines, computer programs and research pl'ojects. (b) Business information: Ptoject documents, Project related EB-5 program documents, customer lists, pricing data, sources of supply, financial data and matketing, production, or merchandising systems or plans. VGR agrees that it shall not, at any time, even after the termination of further discussion with the Company, disclose or divulge to others Confidential Information, without prior written authorization ofthe Company. In the event that VGR breaches any of its obligations under this Agreement, the Company may pursue remedies for injunctive and other equitable relief as well as remedies at law. In the event of litigation by a third party over the nondisclosure of Confidential Information, the Company
agrees to cooperate fully with VGR and the Office of the Attorney General in resolving and/or defending such actions. Notwithstanding anything herein to the contrruy, VOR, its Representatives and Allies will disclose Confidential Information to third parties, to the extent required by applicable law, including the Virginia Freedom of Information Act and the Virginia State and Local Conflicts of Interest Act. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.

Gary: After a second review of the business plan, we still do not see a unique value proposition that explains how Greentech will reach forecasted sales that equal100% of planned capacity, both at start of production in 2012 and after major expansion occurs through 2015. No established OEM that we are aware of is able to sell every vehicle produced in a given year. In addition, the sales forecasts suggest a completely successful start-up, despite no brand recognition no demonstrated vehicle performance no safety and fuel economy certification from the National Highway Traffic Safety Administration no emissions approval from EPA no established distribution network no demonstrated automotive industry experience within the executive management team.
Greentech's advantages of "high performance, low price and green image" are also generally accepted traits of hybrid vehicles currently manufactured, sold and serviced by established OEM's. These hybrid vehicle prices are very comparable to Greentech's suggested price range for proposed Midsize and SUV models. Green Tech Automotive to open $1B Tunica, Miss., plant

Tunica County will become home to a new hybrid automobile development and manufacturing facility that will initially employ 1,500 with a $1 billion investment. Charles Wang, CEO of a new Mississippi company called GreenTech Automotive Inc., said the company will begin operations on 1,500 acres at Tunica County's Metro industrial megasite, with an option to purchase more land as needed. The plant will produce 150,000 vehicles annually in phase one. The company's Web site targets production to begin in the "next few years." No retail cost estimates were given for the vehicles. "We are excited to be bringing the latest in automotive innovation to Americans, made by Americans, and we look forward to the vety significant impact that our project will have on the local and regional economic landscape," Wang said in a statement. The company plans to produce a full line of sub-compact cars, compact cars, midsize cars, full size cars, and SUVs in different models. According to Wang, GreenTech's proprietary technology will enable the company to mass produce hybrid vehicles that meet the lower emissions and fuel consumption standards the Obama administration has set for 2016. Core technologies that will be used in the manufacturing process have been developed in Europe, according to the company. Wang said a German corporation will design the engineering of the automobiles, while the hybrid engine will be designed by another German independent engine research and design company. More specific details on investment partners were not released, nor is much information about those partners included in material on the company's Web site. GreenTech Automotive Parts & Supply division will be located in the auto parts park near the assembly plant and Wang said other third-party part assembly shops will be established on-site. Existing thirdparty suppliers in the surrounding area will provide the remaining parts. Some parts will be imported.

TUNICA, Miss.-- A manufacturer of hybrid automobiles unveiled plans today for a 1,500-acre operation in Tunica County that would cost an estimated $1 billion in its initial phase and provide about 1,500 jobs. Green Tech Automotive Inc., a Mississippi-based company headed by Chinese businessman Charles Wang, proposes building 150,000 vehicles annually in the project's first phase, according to a release issued this morning. The release said the vehicles produced would meet the lower emissions and fuel consumption standards set by President Obama for 2016. "This is an exciting opportunity for Tunica County," said Lyn Arnold, president/CEO of the Tunica County Chamber of Commerce & Economic Development Foundation. "It speaks to the work we have put into making sure our local economy is robust and diversified. This project has the potential to positively affect the economy of not just the county, but also the entire region." The proposed facility would be built in Tunica County's Metro-Megasite, with an option to purchase additional land as needed. Experts have been skeptical of the project, details of which emerged from settlement of a lawsuit between Wang and a partner who is now pursuing a separate venture of his own, because of the large numbers that have been tossed about. Funding for the project comes from investments through the Gulf Coast Automotive Fund and other "strategic investments," according to the release. Mississippi is also horne to a Nissan manufacturing facility in Canton, near Jackson, and a Toyota facility under construction near Tupelo.

TUNICA, Miss. (AP) - A startup car company has unveiled four prototype vehicles it says it wants to build at a multibillion dollar car plant in northwestern Mississippi. The company, GreenTech Automotive, also was scheduled to break ground Tuesday for a manufacturing plant in Tunica County, south of Memphis, Tenn. Xiaolin (zhee-OW-Iihn) "Charles" Wang, owner of GreenTech Automotive, says the plant hopes to eventually employ 4,500 people and produce up to 250,000 fuel-efficient cars a year. State officials have not said what kinds of incentives the company would get. Company officials have said they hope to fund the project through foreign investments, but won't say how much money they have raised.

A new auto manufacturer, headed by a former Chinese auto executive, wants to build its first assembly plant in Bay Minette. Governor Bob Riley made the announcement Thursday afternoon at the State Capitol during a news conference streamed live on wkrg.com. Confirming a story News 5 broke on Tuesday, Riley said HK Motors plans to build 300,000 hybrid cars a year. He also said the new plant would create 5,000 hi-tech, green, high paying jobs.
C.T. Wang, President and CEO of HK Motors, said they chose "Sweet Home Alabama" because the state has a strong work force, with a strong work ethic and good skills. HK Motors' cars will run on a unique hybrid engine powered by compressed natural gas (CNG), electricity, and gasoline. Production is expected to begin in 2013. Riley says the hybrid cars produced at the Bay Minette plant will help reduce our dependence on foreign oils, protect the environment and help create a new "green" economy in Alabama. "It didn't take long for Alabama to become a leader in the automotive industry. Now as America and the world begin making a historic transition to a green economy, we look to make Alabama a leader in the production of next-generation, clean-tech automobiles," said Governor Riley. "Our Alabama team, in cooperation with local officials in Baldwin County, has been working with HK Motors for several months on this project. We will continue to work with them as the company puts the financing in place to move forward."

By JEREMIAH MARQUEZ (AP)- 1 day ago HONG KONG- Yang Rang was once celebrated as a pioneering automobile entrepreneur who founded the first Chinese company to be listed on Wall Street. Then, seven years ago, he fled to the U.S. fearing arrest for alleged economic crimes. Now, Yang is plotting a comeback as a hybrid car maker in the U.S. - a venture requiring billions of dollars that could face daunting odds amid a weak economy and against competitors such as Toyota and Honda that have already invested millions in "green" technology. His Los Angeles-based start-up, Hybrid Kinetic Motors, plans to offer a full-range of hybrid vehicles that run on natural gas, gasoline and electricity, with production to start by 2013. Yang recently unveiled plans to build a massive plant in the southern U.S. state of Alabama that he says will churn out as many as 1 million vehicles annually by 2018. To fund his bold ambitions, he announced earlier this week an equally lofty goal of raising nearly $7.9 billion from private investors. With the U.S. economy in the doldrums and the hybrid car market ever-more competitive, Yang's scheme strikes some as unrealistic. "Hybrid Kinetic ... is talking about setting up a full-fledged, full-line auto company at the bottom of the second-worst recession in U.S. economic history," said Jolm O'Dell, senior editor for car adviser Edmunds' GreenCarAdvisor.com. "It doesn't sound very promising to me." A Hybrid Kinetic official acknowledged the monumental challenges facing the young company. "What we are proposing is indeed very huge and very unconventional," Vincent Wang, a Yang associate, told Automotive News in August. "But we view this as the best opportunity to get into the U.S. industry." Yang, 52, who now goes by Benjamin Yeung, may still be wanted by Chinese authorities who accused him of committing unspecified economic crimes. Yang has always maintained his im1ocence and said that jealous officials forced him out of the automaker he founded, Brilliance China Automotive Ltd. Under Yang, Brilliance China grew into the country's largest minibus maker. With government backing, it became the first Chinese company to list on the New York Stock Exchange, in 1992. In 2001, Forbes ranked Yang as China's third-richest tycoon, with an estimated wealth of $840 million. One year later, Yang and his government backers fell into a dispute over who owned Brilliance China, and the government in Liaoning province, where the company was based, seized control. The company said a warrant was issued for Yang's arrest, though formal charges were never filed. Fearing detention, Yang fled to the U.S. in May 2002. He became a U.S. citizen five years ago and is now living in Los Angeles with his family. Yang has been in touch with Chinese government officials about a homecoming, possibly within a year or two, and "hopes to return as an innocent person," according a Yang attorney in Beijing, Wang Hai. He said it's
his understanding Yang was cleared of the accusations four years ago following a probe whose results were never announced. However, Yang's lawyer in the U.S. said he was unaware of any change to Yang's case and that the government has continued in recent years to accuse Yang of economic crimes. Yang's lawyers did not make him available for a phone interview, and his company has no Web site or listed phone number. To get investors to fork over the needed billions, Yang is targeting wealthy mainland Chinese with an unusual enticement: the chance to live in the U.S. He wants to capitalize on a pilot visa program that gives foreigners who make large investments in the U.S. the opportunity to obtain permanent residency. The minimum amount if invested in regions with high unemployment or cet1ain rural areas such as southern Alabama, where Yang wants to build his plant, is $500,000. That's also the venture's minimum investment. Yang is hoping to raise $7.9 billion tluough a private share placement, according to a statement his main investment company, Far East Golden Resources Group Ltd., issued to Hong Kong's stock exchange earlier this week. The money would cover the project's early expenses, including the Alabama plant, expected to cost at least $4.3 billion, and nearly $460 million to design and develop the cars. His desire to keep the pilot visa program in place, as well as receive millions in federal and state government loans and funding for the venture, might help explain Yang's comting of powerful U.S. politicians. Hybrid Kinetic spent $120,000 last year lobbying in Washington. The company also paid former president Bill Clinton for a speech that he gave in Hong Kong last year entitled "Embracing Our Common Humanity," according to financial disclosure documents. Wang of Hybrid Kinetic suggested the response from investors has been enthusiastic so far, with at least 2,000 people ready to buy into the project. "A lot of people in China want to move some of their money out of China," Wang said.

WASHINGTON --A key player in a proposed Baldwin County auto project voiced confidence Tuesday that Congress will keep a crucial visa program in place for at least three years. "I would see this as an incentive to investors," said James DeBates, chief executive of the Alabama Center for Foreign Investment, LLC. "They know that the program's not going to expire. " Together with executives at Hong Kong-based Hybrid Kinetic Motors, DeBates wants to make use of the Immigrant Investor Pilot Program -- which offers a path to U.S. citizenship to foreigners who pump money into businesses in this country -- to help finance the proposed hybrid car-making plant north of Bay Minette. Although the investor program is set to expire at midnight tonight, Congress is expected to pass a one-month extension this week as part of a broader stop-gap budget bill. Long term, the program's fate rests with a House/Senate conference committee that is supposed to iron out differences in the t wo chambers' versions of a homeland securit y spending bill. The Senate version would make the program permanent, according to a spokesman for Sen. Patrick Leahy, D-Vt. The House measure does not include an extension of any kind. But DeBates, citing a Capitol Hill contact whom he declined to name, said t hat House negotiators are wi lli ng to let the program continue for another three yea rs. A spokesman for Rep. David Price, a North Carolina Democrat who chairs the House homeland security spending panel, declined to comment Tuesday .
Alabama Rolls the Hybrid Kinetic Dice

Hybrid Kinetic (HK) Motors and its chairman, former Brilliance chairman Yung Yeung, have announced plans to build a massive car plant in Baldwin County, Alabama in order to begin production of its fuel efficient vehicles by 2013. The $1.5b plant will produce 300,000 units per year and employ 5,000 Alabamans when it comes online with eventual production planned at one million units per year, according to a release from the Alabama governor's office. A "full report" from Alabama Live states: All the HK Motors vehicles will feature a 1.5-liter engine, but despite the engine's size, the hybrid power sources will allow it to generate up to 400 horsepower, according to C.T. Wang, chief executive of HK Motors. They will get at least 45 miles per gallon, Wang said, and the plug-in vehicle planned by the carmaker can go 600 miles on a single charge. OK, is this starting to sound a bit strange? It probably should. The exact same scenario is playing out in Mississippi, where another former Brilliance boss is also building a huge, mysterious auto factory in the face of massive auto production overcapacity. Guess what else the factories have in common? [Fundraising] will rely heavily on the U.S. government's EB-5 program, which trades U.S. visas for $1 million invested in the U.S., or $500,000 in rural and high-unemployment areas.

Big news. Really big news. Last week's announcement about an unconventional hybrid-car plant planned for Baldwin County was different. Puzzling news. Really puzzling news. Just about everything about the Hybrid Kinetic Motors project raises questions, and state officials admit they don't know if the plans will ever come to pass. They hope, of course, that the plant becomes a reality. Just the first phase of the HK project calls for 6,500 jobs - more jobs than any of the state's established auto-assembly plants. The promise of adding a maker of "green" cars also is appealing. "It didn't take long for Alabama to become a leader in the automotive industry," Gov. Bob Riley said in an announcement. "Now as America and the world begin making a historic transition to a green economy, we look to make Alabama a leader in the production of next-generation, clean-tech automobiles." But the questions are hard to ignore. First, there's the man behind the project- Benjamin Yeung, a Chinese auto industry pioneer who racked up a fortune once estimated at $840 million. Automotive News reported that he left the fortune behind after being charged with "economic crimes" and fleeing to the United States. Yeung has said he didn't do anything wrong. Instead, he says he became a target of provincial officials unhappy with where he located an auto plant. The former CEO of Brilliance Chinese Automotive Holdings ended up in California and developed plans for unorthodox green vehicles. Most recently he popped up in Mississippi, where he first planned to build his hybrid plant. A dispute with a key member of his team produced a federal lawsuit. The two sides went their separate ways after a settlement, and the Mississippi group appears to be pursuing its own rival project. To get his plant built, Yeung will have to find financing- and lots of it. He won't be turning to banks, though. Instead, he plans to raise some of the cash through the so-called "greenbacks for green cards" program. The government's EB-5 program rewards with visas foreign investors who finance projects that create American jobs. Needless to say, it's hardly the conventional way to partly finance a big project. But there's not much that's conventional about the plan - and that includes the cars. HK Motors' Web site promises vehicles with a "multi-fuels electric drive hybrid propulsion system." BAY MINETTE, Ala.- Hybrid Kinetic Motors officials will make a detail presentation Oct. 6 before the Baldwin County Commission for a state-of-the-art auto manufacturing plant in North Baldwin, which may employ more than 5,000 people.
Officials also said Far East investors are clamoring to participate financially in the project.
Baldwin County Commissioner Frank Burt said Monday he hopes the presentation will dispel rumors about the proposed facility and offer the public a chance for a question-and-answer session.
The meeting begins at 8:30a.m. at the County Administration Building in Bay Minette.
HK plans to begin initial production of a slate of vehicle styles- all powered by gas, compressed natural gas and electricity- at a plant south of Interstate 65 and east of State Highway 287. Production may begin by 2012 and employ about 5,000 people.
Burt said the site was identified in the last two years during a nationwide CSX Railroad survey of potential mega sites for industry with track, highway and utility components suitable for mass shipping. Environmental considerations also were a factor.
HK officials have completed data gathering and are ready to seek federal certification for the 3,000-acre site.
A major consideration is generating an initial $1.52 billion investment through the EB-5 Visa program, which allows foreign investors to receive a conditional Green Card if they invest $500,000 in a project which creates at least 10 full-time direct and indirect U.S. jobs.
Burt said Chinese lawyers are pre-clearing thousands of Asians who are interested in investing in a secure political environment.
"We were looking for something and they were looking for something," Burt said. "This is the most exciting year of my 21 years on the Commission. The project won't impact wetlands, and won't displace anybody. There is all the potential for the good and none of the hindrances."
Burt said a railroad and power lines are in place as well as roadways 31,287, 65. A port is less than 40 miles away.
Jason Padgett, general manager of North Baldwin Utilities, said a master plan was earlier established to accommodate North Baldwin growth and that water, sewage and natural established to accommodate North Baldwin growth and that water, sewage and natural gas service can be in place "before the first construction shovel is filled" at the facility.
"We are sitting ready," Padgett said. "We can easily modify our plan. We are ecstatic for the community and NBU. We are so excited that we are moving forward with natural gas because it is cleaner and more economical.
"Now, there is one natural gas vehicle on the market- the Honda Civic. But with those vehicles here, the infrastructure for fueling will come with the car. People can fuel at their own homes if they want; and we will stop having to import so much oil.
"There are huge reserves of natural gas in the U.S."
Burt was drawn into talks with Hybrid Kinetic Motors as Commission chairman last year and as a current member of the Baldwin County Industrial and Civic Division. He said Robert Ingram, director of the Baldwin County Economic Development Alliance, was instrumental in initiating and facilitating negotiations for the project
An international consultant heard rumors of the CSX-identified site more than a year ago and made initial contact with Ingram, Burt said.
Ingram said Tuesday he was not sure how long it will take to raise the initial investment for the facility which will have solar panels on all roofs and be surrounded by windmills to conserve energy.
"The plan is to make this the greenest facility in the world," Ingram said, noting that plans are in the conceptual stage.
"This project is completely backwards," he said. "Usually all incentives are negotiated on the front end and agreed on before an announcement.
"But EB-5 is like a stock offer and is public information. That is why the announcement was made beforehand. It was better to make an announcement on the front end here instead of having information flow from Asia."

Plans for hybrid auto plant in Alabama to be announced by governor

September 24, 2009, 6:10AM Gov. Bob Riley is expected to announce today that organizers of a new hybrid car plant has selected a site in Baldwin County for the project. Leaders of Hybrid Kinetic Motors and some potential suppliers to the plant will join Riley in Montgomery this afternoon to announce the project, a source with knowledge of the situation told The Birmingham News. The company is being led by executives with experience in the Chinese and U.S. automotive industries. A federal lawsuit in Mississippi involving partners in the project said the company was looking to invest $6.5 billion and create 25,000 jobs to produce 1 million vehicles a year. Today's announcement is expected to focus on more modest numbers associated with the first phase of the operation. Riley's overseas economic development trips to Germany and Asia this year are said to have involved the project, and a well-known German company created the technology used in the engines for the
new cars, the source said.
A main organizer of Hybrid Kinetic is Yung (Benjamin) Yeung, also known as Rong Yang. Yeung, who fled China after being accused of economic crimes and is now living in California, held the title of chairman of Brilliance China Automotive Holdings Ltd. He was ranked by Forbes magazine in 2001 as China's third richest man, with an estimated wealth of $840 million, though he reportedly left that wealth behind when he fled the country. The Automotive News trade journal reported in 2002 that Chinese authorities wanted him for "suspected involvement in economic crimes" not related to the company's operations. Brilliance China counts German auto maker BMW as partner in its domestic operations. But Hybrid Kinetic prototypes shown to Mississippi officials were described in a newspaper report as Volkswagen's with the new hybrid engines. Yeung's name does appear as a member and investor in Hybrid Kinetic Motors LLC, which was
incorporated in Montgomery in April. The papers list the company's business as manufacturing "motor vehicles/related parts." Hai Wang is the founding member, according to incorporation records that also indicate Yeung was among nine persons whose names were to be removed from the documents. In May, Hybrid Kinetic Motors Investment LLC and Hybrid Kinetic Motors Corp. were formed in Delaware with a principal address listed in Pasadena, Calif., where Yeung is known to live. The company was formed for "pursuing investments and development in the automotive industry," the filing shows. The Hybrid Kinetic project had been announced for Tunica, Miss., though a lawsuit settlement in July between the company's partners led to the creation of Green Tech Automotive by Yeung's former partner. Green Tech is apparently still pursuing plans for a project with the same figures being touted by Hybrid Kinetic. Documents in that lawsuit indicated Hybrid Kinetic plans for production to start in 2011 with a ramp up to full capacity in 2015. The suit said plans called for the plant to produce a family of vehicles with four different models. Today's announcement comes before the project has its financing in place. The project aims to get its funding from the Immigrant Investor Pilot Program, known as the EB-5 Visa Program. Through the program, the U.S. government awards a limited number of visas to foreign investors whose financing helps create American jobs. Under the pilot program, the families of those who invest $1 million (or $500,000 in rural or economically distressed areas) have an opportunity to be considered for one of 10,000 visas, or permanent-resident green cards, awarded annually. Because the EB-5 application process requires the site and details of the project to be revealed, Riley and economic development officials find themselves making an announcement without the certainty of the project's financing or completion. As such, there is no project agreement in place with Hybrid Kinetic and no incentives have been pledged to the auto plant. However, should funding come through and the project moves ahead, it would qualify for incentives based on the number of jobs and the amount of investment. The company has selected a 3,000-acre site in Bay Minette recently secured by the Baldwin County Economic Development Alliance. That same site was briefly considered for the Volkswagen plant that ended up in Chattanooga.

The other shoe drops. Xiaolin "Charles" Wang is part of the original Hybrid Kinetic Automotive Holdings group. He formed his own company, Green Tech Automotive following the falling out with Rong Yeung. Each company now says they will go forward with a project on its own. One would think there is not room for 2 MM hybrid vehicles per year in North America beginning in 2015. Today Green Tech plans to unveil four prototype vehicles that will be buill at an assembly plant to be located at Tunica County MS (see story below). I don't know that the site is yet fixed as they continue to look at a large site in VA also. Green Tech says that HKAH cannot possibly be successful. But that comes as no surprise.

TUNICA - A startup car company is expected to unveil four prototype vehicles Tuesday that will be built at a plant the company plans to build in Tunica County. Green Tech Automotive is hoping to break ground this year on a $6.5 billion plant in Tunica County. It has been reported that the company plans to manufacture 1 million cars a year.

GreenTech was formerly known as Hybrid Kinetic Automotive Corp., but its named changed after the owner, Xiaolin "Charles" Wang, split with his Chinese partner in a lawsuit. Company officials say the cars will be energy efficient, but released no further details ahead of today's event. John Osborne of Hernando, who serves on the Mississippi Chamber of Commerce and is vice president of operations and general manager at Hollywood Casino in Tunica, said GreenTech's plans will pay dividends in the greater Mississippi Delta and Northwest Mississippi region for years to come. "The prospect of new construction in Tunica County is something that will create thousands of new jobs both in the construction and automotive sectors and it's an incredible opportunity for Tunica and Northwest Mississippi," he said.

After a Bitter Feud, Hybrid Car Startup GreenTech Plans $6.56 Plant By Josie Garthwaite Posted October 6th, 2009 at ll :24 am in Automotive, Startups In the latest chapter of a bitter rivalry between two hybrid auto entrepreneurs, startup GreenTech Automotive has just unveiled plans to make an initial investment of $1 billion and statt producing 150,000 vehicles annually at a new hybrid development and manufacturing facility in Tunica County, Miss., within the "next few years," the Memphis Business Journal reports. You might know the company by another name: Hybrid Kinetic Automotive, a moniker that owner Charles Wang and former partner Benjamin Yeung fought over (among other issues) in federal court this summer before reaching a settlement in July. Now the two men have split, forming two competing hybrid car startups, and at least one plant could rise from the rubble.
As the Press-Register noted this morning, Yeung's Hybrid Kinetic (he kept the company name after the split) also plans to build a hybrid vehicle factory (near Alabama's Bay Minette), and both companies are aiming to eventually produce I million cars per year. But like most startups aiming to manufacture vehicles, Hybrid Kinetic and GreenTech face plenty of hurdles, including raising financing, moving into production, and developing technology, all of which plagued Tesla in its early years. Hybrid Kinetic is looking to raise some $1.5 billion in financing, and GreenTech's Tunica plant is expected to be a $6.5 billion project, according to an attorney for the company who spoke with the Associated Press this week. When it comes to financing, Yeung and Wang eyed a different route before their split than Tesla or competitor Fisker Automotive, which have scored awards of more than $465 million each in low-interest loans from the U.S. Department of Energy's Advanced Technology Vehicles Manufacturing program. By contrast, Yeung and Wang were planning to raise funds through a separate govermnent program, known as EB-5, which gives foreign investors a way to earn a visa by investing in U.S. companies, as the AP reports. According to the Press-Register, GreenTech and Hybrid Kinetic both still plan to utilize "a government program that grants U.S. permanent resident status to foreign investors who invest at least $500,000 in businesses that create at least I 0 jobs." Green Tech said in an announcement today that funding for the project is coming through the Gulf Coast Automotive Fund and "strategic investments." Whatever channels GreenTech ends up pursuing for those funds, the target amount is very ambitious, especially for a startup burdened by legal controversy. For comparison, the U.S. government is providing $1.6 billion in loans for Nissan to retool its Smyrna, Tenn., factory to build electric cars and batteries and a whopping $5.9 billion to help to help Ford retool factories in Kentucky and Michigan. The Memphis Business Journal says that GreenTech plans to churn out a full line of vehicles ranging from subcompacts up to SUV s using engineering and a hybrid engine designed in Ge1many, with pmis coming from both local and foreign suppliers. The initial phase is set to take place on 1,500 acres and create about 1,500 jobs. Whether that will evolve into a multibillion-dollar facility with capacity to produce a million cars per year, we'll have to wait and see.

In my opinion, the Mississippi mmouncement today was prompted by the need to quickly establish an alternative for Chinese investors who are growing tired of waiting for Wang to get the EB5 process started in eamest somewhere. After telling them about Mississippi for so long, Wang has told prospective investors that Virginia will now be their primary focus. He needs to have a Virginia EB5 regional center up and running asap to acconunodate those still willing to wait a little longer for the "best" opportunity.

Pat the MS Governors' office didn't comment I believe because there is nothing but a vision at this point -limited, if any, capital has been raised through the EB- 5 and the team for running the facility has not been fully identified and has no credentials in the automotive world.
Alabama on the other hand did have Governor Riley at an am10uncement for HK Motors in late September. The Chinese leader of this venture Yang Rang, who now goes by Benjamin Yeung, started Brillance Automotive in China and took the company public. He later fled China after facing charges for economic crimes, which he denies. He was originally a pm1ner ofMr Wang ofGreentech the two settled their lawsuit against each other a couple months ago and are now announcing these separate ventures.

As Jeff said, McAuliffe/Wang's group has no demonstrated ability to run an automotive company.
EB5 is clearly the immediate focus for these groups . In my opinion, the Mississippi announcement today was prompted by the need to quickly establish an alternative for Chinese investors who are growing tired of waiting for Wang to get the EB5 process started in earnest somewhere. After telling them about Mississippi for so long, Wang has told prospective investors that Virginia will now be their primary focus. Hybrid Kinetic is looking to raise some $1.5 billion in financing, and GreenTech's Tunica plant is expected to be a $6.5 billion project, according to an attorney for the company who spoke with the Associated Press this week. When it comes to financing, Yeung and Wang eyed a different route before their split than Tesla or competitor Fisker Automotive, which have scored awards of more than $465 million each in low-interest loans from the U.S. Department of Energy's Advanced Technology Vehicles Manufacturing program. By contrast, Yeung and Wang were planning to raise funds through a separate government program, known as EB-5, which gives foreign investors a way to eam a visa by investing in U.S. companies, as the AP rep01ts. Startup car company unveils prototypes in Miss.

HOLBROOK MOHR Associated Press Writer TUNICA, Miss. (AP)- A startup car company run by a Chinese businessman unveiled four prototype vehicles on Tuesday that it hopes to build at a proposed multibillion-dollar car plant in northwestern Mississippi. Green Tech Automotive Inc. planned to break ground later in the day on what officials said would be a $6.5 billion plant on 1,500 acres Tunica County, south of Memphis, Tenn. The company said it has an option to buy more land as needed. State officials have met with the company's owner, Xiaolin "Charles" Wang, but they have not discussed whether the company will be receiving any incentives to start the project. Wang said Tuesday that the plant hopes to eventually employ 4,500 people and produce up to 250,000 fuel-efficient cars a year. Company attorney Bill Brabec had told The Associated Press on Monday that GreenTech eventually would build 1 million cars a year. Wang said Tuesday that figure was too high. The company hopes to eventually build affordable cars matching lower emissions and fuel-consumption standards that President Barack Obama's administration wants automakers to meet by 2016. 'We're excited to be bringing the latest in automotive innovation to Americans made by Americans and we look forward to the very significant impact that our project will have on the local and regional economic landscape," Wang said in a company news release. Dozens of people gathered for the unveiling of four vehicles, which were draped with red cloth before a ceremony at Harrah's casino in Tunica. The prototypes were built in China. They included a midsize four-door hybrid designed to get 50 mpg, a zero-emissions electric car, a high-efficiency gasoline car designed to get 65 mpg and a hybrid sports coupe designed to get 45 miles to gallon and to go from 0 to 60 mph in less than 5.9 seconds. You might know the company by another name: Hybrid Kinetic Automotive, a moniker that owner Charles Wang and former partner Benjamin Yeung fought over (among other issues) in federal court this summer before reaching a settlement in July. Now the two men have split, forming two competing hybrid car startups, and at least one plant could rise from the rubble.
As the Press-Register noted this morning, Yeung's Hybrid Kinetic (he kept the company name after the split) also plans to build a hybrid vehicle factory (near Alabama's Bay Minette), and both companies are aiming to

eventually produce 1 million cars per year. But like most startups aiming to manufacture vehicles, Hybrid Kinetic and GreenTech face plenty of hurdles, including raising financing, moving into production, and developing technology, all of which plagued Tesla in its early years. Hybrid Kinetic is looking to raise some $1.5 billion in financing, and GreenTech's Tunica plant is expected to be a $6.5 billion project, according to an attorney for the company who spoke with the Associated Press this week. When it comes to financing, Yeung and Wang eyed a different route before their split than Tesla or competitor Fisker Automotive, which have scored awards of more than $465 million each in low-interest loans from the U.S. Department of Energy's Advanced Technology Vehicles Manufacturing program. By contrast, Yeung and Wang were planning to raise funds through a separate government program, known as EB-5, which gives foreign investors a way to earn a visa by investing in U.S. companies, as the AP rep01is. According to the Press-Register, GreenTech and Hybrid Kinetic both still plan to utilize "a government program that grants U.S. permanent resident status to foreign investors who invest at least $500,000 in businesses that create at least 10 jobs." GreenTech said in an announcement today that funding for the project is coming through the Gulf Coast Automotive Fund and "strategic investments." Whatever charmels GreenTech ends up pursuing for those funds, the target amount is very ambitious, especially for a startup burdened by legal controversy. For comparison, the U.S. govermnent is providing $1.6 billion in loans for Nissan to retool its Smyrna, Tenn., factory to build electric cars and batteries and a whopping $5.9 billion to help to help Ford retool factories in Kentucky and Michigan. The Memphis Business Journal says that GreenTech plans to churn out a full line of vehicles ranging from subcompacts up to SUV s using engineering and a hybrid engine designed in Germany, with parts coming from both local and foreign suppliers. The initial phase is set to take place on 1,500 acres and create about 1,500 jobs. Whether that will evolve into a multibillion-dollar facility with capacity to produce a million cars per year, we'll have to wait and see.

The plant will produce 150,000 vehicles annually in phase one. The company's Web site targets production to begin in the "next few years." No retail cost estimates were given for the vehicles. "We are excited to be bringing the latest in automotive innovation to Americans, made by Americans, and we look forward to the vety significant impact that our project will have on the local and regional economic landscape," Wang said in a statement. The company plans to produce a full line of sub-compact cars, compact cars, midsize cars, full size cars, and SUVs in different models. According to Wang, GreenTech's proprietmy technology will enable the company to mass produce hyblid vehicles that meet the lower emissions and fuel consumption standards the Obama administration has set for 2016. Core technologies that will be used in the manufacturing process have been developed in Europe, according to the company. Wang said a German corporation will design the engineering of the automobiles, while the hybrid engine will be designed by another German independent engine research and design company. More specific details on investment partners were not released, nor is much information about those partners included in material on the company's Web site. GreenTech Automotive Parts & Supply division will be located in the auto parts park near the assembly plant and Wang said other third-party pa1t assembly shops will be established on-site. Existing third-patty suppliers in the surrounding area will provide the remaining parts. Some parts will be imported.

Green Tech Automotive Inc., a Mississippi-based company headed by Chinese businessman Charles Wang, proposes building 150,000 vehicles annually in the project's first phase, according to a release issued this morning. The release said the vehicles produced would meet the lower emissions and fuel consumption standards set by President Obama for 2016. "This is an exciting opportunity for Tunica County," said Lyn Arnold, president/CEO of the Tunica County Chamber of Commerce & Economic Development Foundation. "It speaks to the work we have put into making sure our local economy is robust and diversified. This project has the potential to positively affect the economy of not just the county, but also the entire region." The proposed facility would be built in Tunica County's Metro-Megasite, with an option to purchase additional land as needed. Experts have been skeptical of the project, details of which emerged from settlement of a lawsuit between Wang and a partner who is now pursuing a separate venture of his own, because of the large numbers that have been tossed about. Tunica County will become home to a new hybrid automobile development and manufacturing facility that will initially employ 1,500 with a $1 billion investment. Charles Wang, CEO of a new Mississippi company called GreenTech Automotive Inc., said the company will begin operations on 1,500 acres at Tunica County's Metro industrial megasite, with an option to purchase more land as needed. The plant will produce 150,000 vehicles annually in phase one. The company's Web site targets production to begin in the "next few years." No retail cost estimates were given for the vehicles. "We are excited to be bringing the latest in automotive innovation to Americans, made by Americans, and we look forward to the very significant impact that our project will have on the local and regional economic landscape," Wang said in a statement. The company plans to produce a full line of sub-compact cars, compact cars, midsize cars, full size cars, and SUVs in different models. According to Wang, GreenTech's proprietary technology will enable the company to mass produce hybrid vehicles that meet the lower emissions and fuel consumption standards the Obama administration has set for 2016. Core technologies that will be used in the manufacturing process have been developed in Europe, according to the company. Wang said a German corporation will design the engineering of the automobiles, while the hybrid engine will be designed by another German independent engine research and design company. More specific details on investment partners were not released, nor is much information about those partners included in material on the company's Web site.

GreenTech Automotive Parts & Supply division will be located in the auto parts park near the assembly plant and Wang said other third-party part assembly shops will be established on-site. Existing third-party suppliers in the surrounding area will provide the remaining parts. Some parts will be imported.

Car company to unveil prototypes in Tunica

TUNICA - A startup car company is expected to unveil four prototype vehicles Tuesday that will be built at a plant the company plans to build in Tunica County. GreenTech Automotive is hoping to break ground this year on a $6.5 billion plant in Tunica County. It has been reported that the company plans to manufacture 1 million cars a year. GreenTech was formerly known as Hybrid Kinetic Automotive Corp., but its named changed after the owner, Xiaolin "Charles" Wang, split with his Chinese partner in a lawsuit. Company officials say the cars will be energy efficient, but released no further details ahead of today's event.
John Osborne of Hernando, who serves on the Mississippi Chamber of Commerce and is vice president of operations and general manager at Hollywood Casino in Tunica, said GreenTech's plans will pay dividends in the greater Mississippi Delta and Northwest Mississippi region for years to come. "The prospect of new construction in Tunica County is something that will create thousands of new jobs both in the construction and automotive sectors and it's an incredible opportunity for Tunica and Northwest Mississippi," he said.

I have no trust issues. As you know, I didn't hesitate to include you in the initial meeting VEDP had with the company. The Cooke Rail site is closest to Dulles International Airport and also close to the University of Virginia, Charlottesville airport and Richmond airport. Attached is a map for Cooke Rail that shows how several very large buildings can be situated on the 1, 000 + acre site. Also attached is a map that shows the Greensville-Emporia site can be expanded to over 3,200 acres.

A couple of things to point regarding the maps: None of the sites are deemed to have "fatal flaws". All of these sites can meet the Mega Site criteria listed in the attached Word document within the timeframe required The Waverly Mega Site does not have a "hole" in the middle of the property boundaries. The "hole" is an existing, unoccupied industrial park The Roma Mega Site is actually capable of being as much as 4,000 acres (see attached illustration)
In addition to Greensboro, North Carolina. the Berry Hill and Roma mega sites also have very good proximity to airports in Lynchburg and Roanoke via 4 lane divided highway roads in Virginia (please refer to "Overview" map provided yesterday)
