CONSTITUTION OF THE OFFICERS SPOUSES' CLUB OF WHIDBEY ISLAND WASHINGTON NAVAL AIR STATION (NAS) WHIDBEY ISLAND OAK

ARTICLE I- NAME Section 1. Section 2. Section 3. Section 4. The name of this club shall be the Officers Spouses' Club of Whidbey Island. (OSCWI). The fiscal year of the club shall be from August 1 to July 31. This club is a non-profit organization. Monies remaining in the treasury of this club shall be distributed equally to the Red Cross, Navy-Marine Corps Relief Society, and the Fleet and Family Support Center, after payment of all debts, should this club disband.

ARTICLE II- OBJECT The object of this club shall be to promote and preserve interest in the Navy, Marine Corps, and all branches of military assigned to NAS Whidbey Island; to foster good community relations; and to undertake any authorized special projects which have as their ultimate goal: the general welfare of the Navy (and all military branches), its personnel, active or reserve; and the dependents and widows or widowers of retirees or deceased personnel . ARTICLE III- MEMBERSHIP, PRIVILEGES AND DUES Section 1. Membership eligibility A. Regular members: 1. Spouses of Commissioned and Warrant Officers of the Department of the Navy, active, and reserve; 2. Widows/ers of active duty Naval Officers; 3. Spouses and widows/ers of retired Naval Officers; and 4.3. Spouses of Commissioned Officers of other military and Naval Service branches, U.S. and foreign, who are on duty with the Navy.attached to NAS Whidbey Island. B. Associate members: 1. Spouses of technical representatives assigned to Naval Air StationNAS Whidbey Island. 2. Spouses of GS-9 and above civilian employees employed at Naval Air StationNAS Whidbey Island. Section 2. Privileges A. Members shall be entitled to: 1. Nominate for elected office; 2. Hold elected office; 3. Vote for officers; 4. Vote on issues that are put to the membership; and 5. Attend all regular club meetings. B. Regular members shall be entitled to all privileges of this club. C. Associate members shall be entitled to all privileges except those of nomination and holding elected office. Section 3. Dues A. As a means for generating a working fund to run the OSCWI, the membership shall be a dues paying membership. B. The annual dues of all regular associate members of the OSCWI shall be $2025/year. $5 of annual dues will go directly to the charity/scholarship fund. New members joining after January 1st pay $10 $15 in dues with $5 of this amount directed to the charity/scholarship fund. C. Payment of dues shall be made directly to the treasurer of OSCWI. D. The annual dues are to be paid on or before September 1stof each year. 1

ARTICLE IV- OFFICERS AND THEIR ELECTION Section 1. Officers Executive Board Members A. The elected officers of the club shall be a President, Vice-President Fundraising, Activities, Publicity & Newsletter, Secretary of Social Media & Membership, Treasurer, and Scholarship & Charity Coordinator. B. The Honorary Presidents of the club shall be: 1. The spouse of the Commanding Officer, NAS Whidbey Island or the Commanding Officers designee; and 2. The spouse of the Commanding Officer, Electronic Attack Wing, U.S. Pacific Fleet, or the Commanding Officers designee; and 3. The spouse of the Commanding Officer, Patrol and Reconnaissance Wing TENX, or the Commanding Officers designee. C. Advisors to the Honorary Presidents shall be: 1. 4.The spouse of the Commanding Officer, Marine Air Training Support Group, or the Commanding Officers designee; and 2. 5The spouse of the Commanding Officer, Naval Hospital Oak Harbor, or the Commanding Officers designee. D.C. All elected or appointed officers shall be regular members of this club and are required to provide a pass down to incoming officer(s). E.D. All chairs shall be regular or associate members of this club. F.E. All Honorary Presidents are asked to attend meetings as regular often as possible. Section 2. Terms of Office and Vacancy A. The term of office for elected officers shall be for one year, effective immediately after the meeting at which they are installed., except the Treasurer, who shall remain in the office until the end of the fiscal year. B. The Vice-President-Fundraising shall succeed to the Presidency in the event of a vacancy. C. The President shall make appointments to fill elected vacancies with the approval of the Executive Board. D. The President shall make appointments to fill other vacancies. E. No member shall hold more than one elected office simultaneously. F. Maximum consecutive term for elected office will be 2 3 years. Section 3. Nomination and Election Committee A. The Nomination and Election Committee shall meet at least six weeks prior to the annual election in April. It shall should consist of the Executive Board members (not running for election) and one member representing each unitany interested command representatives. The committee chair, (one of the Honorary Presidents) shall be appointed by the President. The committee chair shall appoint a recorder or recording committee. B. The Nomination and Election Committee is authorized to: 1. Secure names of candidates for the elective offices; 2. Prepare a slate of officers; 3. Establish voting procedures in accordance with Article IV, Section 4 of this Constitution; and 4. Establish publicity procedures and guidelines for the election. C. The recorder Commitee Chair is authorized to: 1. Present a slate of nominees to the April OSCWI general meeting and request nominations from the floor, declare nominations closed ,, prepare the slate for printing, and have ballots printed; 2. Coordinate the publicity for the election; 3. Immediately publish the slate in the Newsletter; 2

4.3. At the May meeting, D distribute and collect the ballots in accordance with procedures established by the Nomination and Elections Committee; 5. Count the ballots with the assistance of the chair;, and 6. Publish Announce a list of the new officers in the Newsletter. Section 4. Voting and Elections A. Voting shall occur, in In accordance with procedures established by the Nominations and Elections Committee, voting shall occur by secret ballot at the May OSCWI general meeting. B. Voting shall be by secret ballot according to procedure established by the Nomination and Election Committee. C.B. Ballots for absentee voters shall be available from the Nomination and Election Committee Recorder Chair according to the procedures established by the committee. D.C. Election of all officers will be by a plurality of votes. On a tie vote, the spouse of the Commanding Officer, NAS Whidbey Island, or the Commanding Officers designee shall cast the deciding vote. E. Advisors to the President shall not vote. Section 5. Presentation of the New Officers A. The Nomination and Election Committee chair shall install the newly elected officers at the June OSCWI board meeting. B. A list of the new officers shall be published in the Newsletter. via the club website or Facebook page. C. The Nominations and Election Committee chair shall present tThe newly installed officers shall be presented at the August OSCWI general meeting. ARTICLE V- DUTIES OF ELECTED OFFICERS AND HONORARY PRESIDENTS Section 1. The President(s) shall: (Elected) A. Preside at all regular club, Executive Board, and OSCWI Boardgeneral meetings, and at any other meeting for which a Chair has not been appointed; B. Conduct OSCWI business in accordance with Article VIII Parliamentary Authority; C. Make disbursements in the absence of the Treasurer; D. Appoint the Chair or Co-Chair of all standing committees; E. Create new committees as needed; F. Request the resignation of any appointed Chair; G. Shall have the privilege of voting only in secret ballot or as the tie-breaking vote; and H. No more than two per board. Section 2. The Vice-President-Fundraising shall: (Elected) A. Assist the President and, in the absence of the same, assume the duties of the President; B. Organize the Spring Charity Function (Time & Talent) and other fundraising activities; C. Oversee the purchase of a farewell gift for the outgoing President not to exceed $50; D.C. No more than two per board: and E.D. Submit a proposed budget as needed for the year to the Treasurer. Section 3. The Activities Officer shall: (Elected) A. Assist the Vice-President-Fundraising and, in the absence of the same, assume the duties of the Vice-President-Fundraising; B. Organize social functions not otherwise states d as responsibilities of other officers; (i.e. Halloween Party, Comedy Night, Family Night, Bingo Night, etc.); . C. Sends memorials not to exceed $40.00 in time of bereavement for OSCWI members, unless otherwise voted on by the OSCWI membership; D. Sends cards of congratulations for babies born to OSCWI members; 3

E. Coordinates assistance for OSCWI members in need (i.e. meals, rides, child care, etc.); F. No more than two per board; and G.B. Submit a proposed budget as needed for the year to the Treasurer. Section 4. The Publicity & Newsletter Officer shallSecretary of Social Media: (Elected) A. Record and publish the minutes of all meetings of the OSCWI and the OSCWI Board; A.B. Collects articles from each Board member to publish in the newsletter, writes, and distributes the monthly newsletter information via social media; B. Maintains the club web site; Act as the Unit Representative Advisor: Serve as a key contact for the Unit Reps; Explain how OSCWI operates to the Unit Reps; and explain Unit Reps responsibilities to OSCWI. C. No more than two per board; and D. Submit a proposed budget as needed for the year to the Treasurer. Section 5. The Secretary & Membership Officer shall: (Elected) A. Record the minutes of all meetings of the OSCWI and the OSCWI Board; B. Handle correspondence of the club; C. Publish the minutes of the OSCWI general meetings; D. Maintain the permanent records of the club including membership; and E. Act as the Unit Representative Advisor: 1. Serve as a key contact for the Unit Reps; 2. Explain how OSCWI operates to the Unit Reps; and explain Unit Reps responsibilities to OSCWI. Section 56. The Treasurer shall: (Elected) A. Assume responsibility for all club funds; B. Keep an accurate record of all accounts; B.C. Maintain the permanent records of the club including membership; C.D. Have accounts audited by a qualified accountant prior to turning over to the newly elected or appointed Treasurer; D.E. Leave a minimum of $2,000.00 in the working fund to pass over to incoming board; E.F. Present the proposed working fund budget semi-annually to the OSCWI Board (see Standing Rules for Charity Budget); F.G. Keep charity fund and working fund money separate; and G.H. Serve as member of the Scholarship Committee as needed. Section 67. A. B. C. D. E. The Scholarship & Charity Coordinator shall: (Elected) Distributes and collects scholarship and charity applications; Coordinates Chair and coordinate scholarship review committee panel; Coordinates announcement of winners; No more than two per board; and Submit a proposed budget as needed for the year to the Treasurer.

Section 78. The Honorary Presidents shall: A. Act only in an advisory capacity; shall not be regular dues paying members due to possible conflict of interests. Section 89. The Advisors to the Honorary Presidents shall: A. Act only in an advisory capacity.

ARTICLE VI - MEETINGS Section 1. Regular meetings of the OSCWI and the OSCWI Board shall be held at such time and place as designated by the OSCWI Board.

Section 2. Special meetings of the OSCWI Board shall be called by the OSCWI Executive Board: A. With no less than 24 hours notice, by whatever means deemed necessary; B. At which no other business shall be transacted, except the mentioned in the call of the special meeting. Section 32. Quorum of any meeting of the club shall be those eligible voting members present. ARTICLE VII - OSCWI EXECUTIVE BOARD (AGENDA BOARD) Section 1. The Executive Board shall consist of all elected officers,and the Honorary Presidents, and Advisors to the Honorary Presidents.. The Executive Board is authorized to: A. Prepare the agenda for the OSCWI general meetings; B. Handle the business of the club when it is not practical to wait for the next OSCWI general meeting; C. A two-thirds vote of the eExecutive Board authorizes expenditures, which are not included in the ratified operating budget and not over $100.00, when it is not practical to wait for the next general meeting, only after the Treasurer has determined that funds are available. Expenditure(s) shall be announced at the next regular general meeting; D. Approve a semi-annual calendar and present it to the OSCWI general membership; E. Call special meetings of the OSCWI Board; F. Designate time and place for the OSCWI general meetings; and G. Serve as members of the Constitutional Review and Finance Committee. ARTICLE VIII - PARLIMENTARY AUTHORITY Section 1. The President shall ensure that this club abides by the rules contained in Roberts Rules of Order (1990 2011 Revised Edition, Scott Forsman, publisher) in all cases to which they are applicable and consistent with the Constitution. Section 2. The President shall: A. Set up a review of the Constitution and Standing Rules with the Executive Board as soon after installation; B. Serve as the Chair of the annual Constitutional Review Committee, which may is to consist of the Executive Board and one command representatives from each unit; and C. When necessary, present amendments to the Constitution and Standing Rules to the OSCWI Board and general memberships for approval prior to the annual elections at the August meeting. ARTICLE IX - AMENDMENTS Section 1. Amendments to the Constitution: A. Amendments to the Constitution proposed at the annual Constitutional Review Committee meeting shall be approved by a two-thirds majority vote of the OSCWI Executive Board and published prior to being submitted to the general membership for approval. B. All other proposed amendments to the Constitution shall be published in the Newsletter at least one month prior to the call for two-thirds vote of the general membership present. Section 2. Amendments to the Constitution shall become effective immediately upon approval by the membership. Section 3. The Standing Rules shall be changed by a majority vote of the OSCWI membership present and become effective immediately. 6
