CORPORATE MANAGEMENT Organization Structure Future Group comprises operating businesses in three sectors: Retail, Allied Services and

Finance. While retail forms our core business activity, the groups subsidiaries are present in consumer finance, capital, insurance, leisure and entertainment, brand development, real estate development, retail media and logistics, which are provided with strategic support and scale-led synergies from the corporate team operating in a federated structure of opportunities and excellence. The group is lead by its CEO Mr. Kishore Biyani along with the groups various directors. Each business unit within the group operates as an independent business unit, with its own set of management team i.e. CEO, Directiors, Functional heads etc. They don't have structures; it is a non-hierarchical organization that works with people coming together to do things. Following is the groups organization structure along with the structure within various business units.

Retail : Future retail (earlier Pantaloon retail ) limited, : MD & CEO- Kishore Biyani The business is headed by Kishore Biyani, along with various executive and non executive directors. Future retail has various independent business entities in its basket such as Pantaloons, Big Bazaar, E-zone, Central etc. generally the following structure is followed in the various retail outlets :

Store manager

Assistant Manager Department manager

HR Manager

Administration

Marketing

Sales Manager

Finance :

Future Capital Holdings Limited (FCH) It has a relatively flat & functional organizational structure, headed by the managing director along with other members of the board which oversee the working. The organization is divided on the basis of functions with a functional head reporting to the managing director.

Future Ventures Follows a functional organizational structure which allows for greater operational efficiencies in that employees with shared skills and knowledge are grouped together by functions performed. The management team comprises of talented and experienced finance, operating and investment professionals.

Future Brands Limited The organization is divided on the basis of functions such as strategy & consulting, consumer insight, design strategy etc. with a functional head reporting to the managing director.

Future Learning Business is divided as per various functions, which allows for greater operational efficiencies.

Control The organizational is highly decentralized in terms of control over the independent units. The CEOs of the different units report to the group CEO, but each unit is given complete autonomy in functioning through its own

management team and board of directors. Each business unit has an active, capable and diligent management and leadership team that understands its role in implementing rigorous financial discipline, risk metrics and gold standard corporate governance which includes financial stewardship in strategic and daily business decisions to ensure accurate financial reporting and effective controls. Resource Allocation and Incentive Mechanism The Group believes in seeding, mentoring and growing various consumption-led businesses and once they reach significant scale, it creates public shareholding to ensure wealth creation and value unlocking for the general public. Management Style The organization if relatively flat in nature and hence complete autonomy to the various business units is provided. Within these business units also there exists a culture of employee empowerment and decision making. The entrepreneurial culture and spirit of the CEO prevails in the company, whereby the appetite for taking risks is encouraged. There is no rigid organizational structure and instead an organization design approach is preferred.
