confirmed in the newspaper.

I submitted my resignation. Due to the

fact that on Saturday, Sunday and Monday (a Colombian holiday) the
U.S. Embassy was not opened, I went to the U.S. Embassy in Bogota on
Tuesday to ask for the official in charge to clarify my situation. After
many inquiries, I was finally seen by H H H M H H M f i and two of his
assistants, who advised me to address my claim to your office. On this
same Tuesday, October 19th, 2004, t registered by resignation at the
Official Chamber of Commerce.

with number 9997, it was found that requisites set forth by Law
550 of 1999 had not been met and therefore under notice 5219
of August 2, 2004, the missing information was requested.

3. Based on the information filed and the general analysis of the

financial and net worth aspects of the company, it was

a re-structuring agreement, because it is within the assumptions
set forth in Hem 2 of Article 6 of Law 550 of 1999, because
besides from accrediting over two executive lawsuits filed for
the payment of commercial obligations, is delayed in over
ninety (90) with the payment of more than two (2) commercial
obligations, acquired within the commerciat activities of
Intercontinental S.A. which represents over 5% of the total
current liabilities of the company.
