DEED OF PARTNERSHIP (Change in Constitution) OF M/S FRAZI INTERNATIONAL

This DEED OF PARTNERSHIP (Change in Constitution) OF M/S FRAZI INTERNATIONAL made on 19 March 2013, between: 1. Major (R) Sharif Janjua s/o Jahandad Khan holder of CNIC No. 37405-2442006-1 2. Lieutenant Colonel (R) Muhammad Nadeem Iqbal s/o Muhammad Iqbal, holder of CNIC No. 37405-0595043-1. 3. Muhammad Umar Janjua S/O Major (R) Sharif Janjua R/O House No 62 Street No 3 Defence Road , Askari 14, Sector A, Rawalpindi Cantt, Tehsil and Dist Rawalpindi 4. Now WHEREAS Muhammad Umar Janjua S/O Major (R) Sharif Janjua R/O House No 62 Street No 3 Defence Road , Askari 14, Sector A, Rawalpindi Cantt, Tehsil and Dist Rawalpindi has decided to retire partnership w.e.f.---------------------Now WHEREAS Muhammad Nadeem Iqbal s/o Muhammad Iqbal, holder of CNIC No. 374050595043-1has decided to buy the 75% shares of the Company w.e.f.--------Whereas the above mentioned partners number 1 & 2 have mutually agreed to reconstitute the partnership business in the name and Style of M/S FARAZI INTERNATIONAL. Now both the new partners recite and declare: 1. 2. 3. 4. Seller now owns and conducts a business known as Farazi International Construction Company located at House No. ----------Rawalpindi, Pakistan. Seller desires to sell (75%) and Buyer desires to buy (75%) such business for the price and on the terms and conditions hereinafter set forth. FOR THE REASONS set forth above, and in consideration of the mutual covenants and promises of the parties hereto, Seller and Buyer covenant and agree: Sale of Business. Seller agrees to sell 75 % and Buyer agrees to purchase, free from all liabilities and encumbrances, including the lease to such premises, the goodwill of the business as a going concern, all of Sellers rights under its contracts, licenses, and agreements, and all assets and property owned and used by Seller.

The Seller shall arrange to transfer bank account No. . and/or get the change of bank signatory in favor of Buyer and any money laying in bank account at the time of closing shall be deemed transferred to the Buyer. Time of closing The closing shall take place at the office of Al-Faraz Construction Company on 19 March 2013 at 12 Oclock Noon. Upon payment of the portion of the purchase price then due to Seller, Seller shall deliver to Buyer the business and property referred to herein. Such instrument of transfer shall effectively transfer to Buyer full title to the business and property free of all liens and encumbrances. Representations of Seller. Seller represents and warrants that: He is duly qualified under the laws of the State of Pakistan to carry on the business as now owned and operated. He is the owner of and has good and marketable title to the property involved in this sale, free of all restrictions on transfer or assignment and all encumbrances. Seller has complied with, and is not in violation of, all applicable federal, state, and local statutes, laws, and regulations affecting Sellers properties or the operation of Sellers business. Modification. No alteration or other modification of this Agreement shall be effective unless such modification shall be in writing and signed by the parties. Binding Effect. This Agreement shall be binding upon and shall insure to the benefit of the parties and their successors and assigns. Governing Law and Fees: This agreement shall be governed by the laws of the State of Pakistan. In the event there is an action to enforce the terms of this agreement, the prevailing party shall be entitled to recover from the other party attorney fees and costs.
