Enquiry

Name of the work: Design & Engineering Service for construction of 400/220/132/33 KV Switchyard & Substation of DPSCL at Chalbalpur for drawal of 1000 MVA power from Central Grid including preparation of DPR.

Scope of work: 1. Pre feasibility Study. 2. Preparation of reports for submission to CTU / STU for establishing connectivity at 400 KV with national grid. Consultant has also to provide all technical assistance in course of discussion with CTU / STU. 3. Preparation of DPR consisting of the following: Preparation of basic design criteria, equipment parameters, development of layout of illumination. Basic design and engineering. Planning of equipment and building layout inside Sub- Station area for proper utilization of land (Land Utilization Plan). Basic design and engineering including short circuit calculations and load flow study of the Sub-Station from 400KV to feeder end buses at 220 KV, 132 KV & 33KV systems, considering present and future load to determine voltage profile, losses and requirement of Reactive Power Compensation. In this connection, the following inputs be the arranged by the consultant from the concerned authorities: single line diagram and design of

a) Fault levels at feeding end Sub-Station. b) 400KV line parameters and line length. c) Details of feeders planned including its parameters, load details up to feeder end buses at 220 KV, 132 KV & 33 KV Systems. d) Power taken from Central Grid.

Self-Generation. Grounding design calculation including conductor selection, mat design based on earth resistivity and short circuit current at 400 KV, 220 KV 132 KV & 33 KV system calculation and selection of grounding transformer size and rating

Development of total protection scheme, metering schemes, logic diagrams, technical co-ordination with respect to inputs from CTU System Development of metering scheme

specifications for Civil, Structural work, Electrical and detailed Bill of Materials, Civil and structure design along with calculation sheet with latest software for the Switchyard Equipment & Gantry Tower supporting foundation and structures, Sub-Station, Control Room, Cable trench/duct, Boundary wall, Transformer Plinth and Road cum Rail track, Fire Barrier Wall, Surface Drainage, etc. Preparation of detailed engineering and construction drawings required for electrical, structural and civil works regarding construction of Sub-Station building and Switchyard including, security system, illumination system, grounding system, water supply system, false ceiling and turnkey specification with basic engineering to be done for contractor's selection for fire protection system, air conditioning, ventilation schemes, etc. Review of Technical Specifications and engineering drawings in consultation with DPSCL's Engineers and review of drawings, specification supplied by various vendors to DPSCL. Turnkey specification with basic engineering to be done for contractor's selection for Sub-Station control scheme, automation and SCADA system design. TENDER DOCUMENTS & PROCUREMENT ASSISTANCE Preparation of tender documents and tendering Tender document should be prepared keeping in view for

engagement of turnkey contractor for supplying and execution of the Project Providing benchmark for pre-qualification and selection of vendors. Tender evaluation, both Technical & Commercial negotiations, purchase recommendations and Contract award. Tendering The Consultant shall divide the total work into number of packages as needed for tendering. The packages may be divided on the basis of civil, electrical, other works, supply of specialized materials, etc. Single turnkey contractor to be envisaged for the entire Civil, Structural & Electrical works including supply for better site coordination. The basic tender documents shall be applicable for all items listed above. The Bill of quantities to be attached to the tender documents will be decided as per required phasing of works Design Clarifications during Execution Consultant is required to provide clarifications on the design and specifications as required during the execution of the project These clarifications as deemed necessary by DPSCL are required to be furnished till successful implementation of the project and performance assessment For this, Consultant shall make provisions in their quoted amount for three visits to the site of their experts, as required. Terms of Reference (TOR)

Collection and analysis of data available with different agencies, and necessary field verification. Prepare and submit drawings of the various works listed above. Preparation and submission of Project Report for obtaining approval of DPSCL & CTU.

Assist DPSCL through necessary interaction and document preparation for obtaining the various approvals. Preparation of Tender Documents (including material specifications, quality control parameters) Tender process management consisting of tine following activities:Drafting of notices inviting tender. DPSCL will advertise as prepared by the Consultants and forward two hard copies and one soft copy of tender document for issue to contractors. Evaluation of first part of tenders (technical), qualify contractors. Draft award letters. Drafting of agreements to be issued to the contractors Detailed Engineering Services Consultant shall prepare all the required Design Basis Reports (DBR), Specifications, System Study calculations, Review of Equipment sizing calculations, Bill of Quantities, Drawings and any other required technical documents as required including 'As Built* drawings as required by all the concerned authorities for all disciplines of Engineering (Mechanical/Electrical/Civil/C&l). The entire Job Scope shall be divided into two packages without any price implication as given below Transformer Supply

EPC for remaining jobs including Civil and Electrical jobs. Total Number of 400 KV Bay shall be 9 no, 220 KV Bay shall be 9, 132 KV Bays shall be 7 no & 33 KV Bays shall be 12 no,

DPSCL may construct less/more number of bays as per actual site status & load requirement. Start and Completion Schedule: Time is the essence of the Contract. The entire job should be planned and delivered in such a way to enable DPSCL to achieve the deadline of commissioning of the project which is twelve (12) months from the date of issue Of LOA. The final tender

documents shall be completed duly approved by consultant and submitted back to DPSCL within 21 days from date of placement of LOA. STATUTORY COMPLIANCE The Contractor shall be solely liable for Statutory Compliance in respect of all applicable laws of land governing this Agreement as may be applicable to him, which interalia includes Central/State laws and Regulations/Rules made there under including but not limited to Compliance of provisions of Motor Vehicle Act 1988, Contract Labour (Regulation and Abolition) Act, 1970, Employees Provident Funds and Miscellaneous Provisions Act, 1952, Minimum Wages Act, 1948,

Payment of Bonus Act, 1965, Payment of Gratuity Act, 1972, Payment of Wages Act, 1936, Workmens Compensation Act, 1923, Interstate Migrant Workmen (regulation of Employment and Conditions of Service) Act, 1979. The Contractor shall be solely responsible for maintenance of records and filing of various forms/ returns prescribed under all applicable Central/State laws and Regulations/Rules made there under in respect of Workmen employed by it or in respect of other compliances. The Company shall be entitled to deduct/adjust from amount payable to the Contractor, any dues, wages, compensation on accident or death, expenses incurred for benefits, provision for amenities and amounts paid or payable by the Company in compliance with the applicable laws, in respect of

workmen/employees of the Contractor.

Warranty and indemnification The Contractor shall indemnify and keep indemnified the Company, from all losses suffered by the Company from any act of omission or commission, negligence, theft/pilferage by the Contractor or any of its employees, agents, sub-Contractors etc. The Contractor shall indemnify and keep indemnified the Company, from and against all actions, suits and proceedings by the third party for the acts/omissions

of the Contractor and all costs, charges, expenses, losses, damages, duties, taxes, penalties levies, and all other liabilities which the Company may be liable to pay, incur or sustain as a result of performance or non performance, observance or non observance by the Contractor of any of the terms and conditions of this Agreement. Without prejudice to Companys other rights, Company shall be entitled to deduct from any dues payable to the Contractor, the amount paid or payable by the Company as a consequence of any claim, demands, costs, charges and expenses, as a result of performance or non performance, observance or non observance by the Contractor of any of the terms and conditions of this Agreement. In case of deficiencies/mistakes, CONSULTANT shall promptly carry out the reengineering without delay and free of charge to the entire satisfaction of DPSCL. In case site visit is required, it will be carried out by CONSULTANT without any financial implication lo DPSCL. Loss suffered by DPSCL due to wrong review by CONSULTANT will be to CONSULTANT's account. The decision of DPSCL in this regard shall be final and binding upon the Consultant. Assignment The Contractor shall not be entitled to assign, subrogate, sublet, directly, or indirectly part with his benefits obligations, right, title and interest under this Agreement or any reason whatsoever. The Contractor shall not cause to allow any change in the constitution of its firm without obtaining prior written approval of Company. Risk Purchase If the Contractor fails to deliver in accordance with this Agreement, the Company shall be at liberty to avail/hire Services from any other Contractor for unexecuted portion of this Agreement, entirely at risk and cost of Contractor.

TERMS OF PAYMENT:

10% advance, against ABG for equal amount which should be valid for a period of one month plus of the contractual delivery date. 80% progressive payment against submission of monthly bill. An amount of 10% as performance guarantee will be held back for a period of one year from the date of completion of the job which will certified by our Authorized personnel. Liquidated damages for delay in completion of report: In case of failure to perform the work/job within this time as stipulated above, DPSCL shall be entitled to recover liquidated damages @ 2.5% of the total order value for each weeks delay, subject to maximum of 10% of the Order Value. The decision of DPSCL in this regard shall be final and binding upon the consultant. Further DPSCL also have the right to cancel the contract on this ground and DPSCL has the right to claim compensation as deemed fit by DPSCL. Drawing and documentation:

CONSULTANT shall submit hard copies of documents and drawings to DPSCL as given below a) Submission of all Preliminary Drawings, Draft Tender documents - 3 copies

(along with soft copy in CD) 4 Draft Report for DPSCL's review and approval b) All final drg , final tender documents & final report six copies (along with soft copy in CD) CONSULTANT shall submit hard copies of first submission of documents to DPSCL's Project Co-coordinator. CONSULTANT shall incorporate all comments from DPSCL and resubmit as final documents again. DPSCL's Project Coordinator shall be kept informed in case of any comments directly received by CONSULTANT.

Ownership: All drawings, data and documents prepared by in the performance of this contract shall at all stages be and remains the property of DPSCL and while in the custody of CONSULTANT shall be fully available to DPSCL and its duly authorized representatives. On completion of assignment, all documents mentioned herein shall be returned to DPSCL along with Soft copies of the documents and drawings prepared by CONSULTANT. Obligation of secrecy and confidentiality: CONSULTANT should undertake to maintain secrecy towards Third Party in regard to all information and know-how which became known to them in connection with their activities for the execution of work under the terms of this LOA. Further the communications, documents and drawings including soft files made accessible to CONSULTANT by DPSCL for the execution of the work sub-contracted shall be treated confidential by CONSULTANT and shall not be passed on to any third parties under any circumstances without the written permission of DPSCL Suspension / termination of contract: If at any stage CONSULTANT's job is found to be unsatisfactory and any deviation is noticed from the Scope of Work, DPSCL shall have freedom to suspend/terminate work of CONSULTANT after serving 30 days notice in writing and without any financial implication on DPSCL. DPSCLS decision in this regard shall be final and binding upon the Consultant. CONSULTANT shall however be paid for the services rendered till the date of suspension/termination as may be determined by DPSCL For the further stages, the consultant will be paid on the basis-of a reasonable assessment of work done and decision of DPSCL shall be binding upon the Consultant.

This Agreement shall be terminated by Company without any prior notice under the following Circumstances: i) Contractor has becomes insolvent; or

ii)

Contractor has been convicted of any crime which in Companys reasonable judgment is likely to adversely affect the goodwill of Company; or

iii)

Any failure by the Contractor to comply with any of the provisions of the Agreement; or

iv) v)

Failure of Contractor to adhere to the time schedule; or Contractor assigns the Agreement to any third party without the consent in writing of Company; or

vi) vii)

Contractor abandons the work for any reason, whatsoever; or If any of the representations of the statements etc. made by the Contractor in connection with this Agreement are incorrect or are found to be incorrect.

The termination by Company for reason stated above shall be without prejudice to other remedies that are available to Company under this Agreement and/or Law. Notwithstanding anything contained in this Agreement, this Agreement can be

terminated by Company without any compensation, for any reasons, whatsoever, by giving one months notice in writing to the Contractor. If the Contractor fails to perform its obligation in conformity with the terms of

this Agreement, the Supplier shall indemnify the Company for all losses/ damages suffered by the Company.

Relationship between the parties

Nothing in the Agreement shall be construed to imply a joint venture, partnership, principal-agent relationship or co-employment or joint employment between the Company and the Contractor. The Contractor, in furnishing services to the Company hereunder, is acting independently on its own. Employees engaged/employed by a party shall be deemed employees of that party

and will not for any purpose be considered employees or agents of the other party. Except as may otherwise be provided in this Agreement, each party shall be solely responsible for the supervision, daily direction, and control of its employees and payment of their salaries/wages, benefits, provision for amenities, compensation, disability benefits and the like.

Force majeure: Should one of the contracting parties be prevented from its fulfillment of the contract due to force majeure, e.g. war, large fire, flood, typhoon or earthquake as well as other acts of God then the period of time for the fulfillment of CONSULTANT's responsibilities under this contract is extended by the period which corresponds to the effects of such event The affected party is to inform the other party without delay by fax/e-mail about the occurrence of the event of force majeure and within ten (10) calendar days after the occurrence of the event of force majeure to send through registered mail a certificate issued by the competent authorities to the other party for examination and confirmation. The affected party has furthermore to inform the other party without delay by fax/e-mail about the end or the elimination of the event of force majeure and to confirm this by a registered mail letter. If the effects of the event of force majeure last longer than 120 (one hundred twenty) successive days the two parties should settle the problems of the fulfillment of contract by amicable negotiations and come to agreement as soon as possible. In any case of any event of force majeure each party has to bear its own costs arising out of such an event.

Arbitration: Any dispute or claim arising out of or relating to this contract shall be in the first instance settled amicably between the parties hereto and (failing which the same shall be- settled by Arbitration in accordance with Indian Arbitration and Conciliation

Act, 1996. The venue of Arbitration shall be Kolkala. Arbitration proceedings shall

not in any way delay the progress of the works.

Language: The English language should be used in all written communications between DPSCL and CONSULTANT with respect to services to be performed herein and with respect to all documents prepared / procured by CONSULTANT under this Contract. Co-ordination: DPSCL and CONSULTANT shall be mutually agreed upon a co-ordination procedure to be observed by both the parties for the execution of the assignment covered in this contract. Such co-ordination procedure shall be finalized within 15 days from

the date of issue of LOA by DPSCL. CONSULTANT shall correspond with DPSCL through the Project Coordinator for all related matters. Submission of Tender document Tender will be in two part. PART I: Technical Bid. Bidders are requested to submit the tender documentation in a closed & sealed envelop mentioning their credentials for similar type of work in line with selection criteria mentioned in the tender document, along with un-priced copy of tender documents duly signed on each & every pages confirming their unconditional acceptances of all terms & conditions stipulated in the tender documentations. Any deviation if desired may be clearly mentioned. PART- II: This shall include only pricing portion. The price shall be firm and should be with taxes & duties. No deviation of price shall be allowed in future.

Selection criteria 1. The bidder must be an entity incorporated / registered in India to conduct & transact business legally. 2. Shall submit a written power of attorney authorizing the signatory of the proposal. 3. Must compulsorily meet the following criteria.

a) The bidder must have minimum five years of experience in providing consultancy services to electricity power transmission utilities including preparation of feasibility study, DPR, DBR, Design, Drgs & documents etc. b) The bidder should have successfully completed at least one consultancy services in 400 KV Substation constriction projects during previous five financial years.

Pre-bid meeting

Pre-bid meeting shall be held on 15.07.2011 & tender shall be closed on 22.07.2011.
