Job Title: Manager, Corporate Development Europe Department: Corporate Development Reports To: Director, Corporate Development Europe Position Location: Sunbury on Thames, UK Prepared Date: October 2013 DANAHER CORPORATE SUMMARY:
Danaher Corporation designs, manufactures and markets products and services with strong brand names, proprietary technologies and major market positions, and currently has over $18 billion in revenues. Danahers business activities encompass five segments 1 -Test and Measurement 2 Life Sciences and Diagnostics 3-Dental 4- Industrial Technologies Group- 5-Environmental Driven by strong core values and a foundation provided by the Danaher Business System, Danaher's associates are pursuing a focused strategy aimed at creating a Global Science & Technology Company

Danaher operates globally with about 60% of its revenues derived from outside the United States. The Company has significant operating businesses headquartered in Europe and has greatly expanded its operating presence in Asia and Latin America over the past several years. Danaher is a well-capitalized business, which has historically used available cash flow to fund a very active acquisition strategy to complement its organic growth. POSITION SUMMARY: The Manager, Corporate Development Europe will be a key member of the team responsible for executing all of Danahers merger and acquisition transactions, including due diligence, valuation and negotiation of acquisitions, minority investments, divestitures and joint ventures. The company evaluates several hundred situations and averages over $1.5 billion in acquisitions each year, ranging from $5m early stage investments to multi-billion public-to-private acquisitions. The Manager will report to and work closely with the Director, Corporate Development in Europe but will have opportunities to work on projects led by all members of the Corporate Development team and spanning Danahers portfolio of businesses. ESSENTIAL DUTIES AND RESPONSIBILITIES:

Transaction execution: process management, structuring, negotiation and successful closure of strategic deals to strengthen the companys portfolio Valuation: modeling and valuation analysis Negotiation review and negotiation of transaction terms Due diligence: financial analysis, risk assessments and related evaluations in support of proposed transactions Achieve deal objectives through a cross-functional, team-oriented approach, which will include the hands-on coordination of due diligence efforts throughout the transaction process. Serve as part of the acquisition team responsible for evaluating potential M&A opportunities.

Market surveillance and research on companies, sectors and ad-hoc process improvement or deal sourcing projects. Assisting in Danahers cultivation efforts toward target companies and intermediaries

Perseverance and consistency in pursuit of successful outcomes Must have strong managerial courage ability to make the tough decision and to not be overly sensitive (thick skinned), be able to effective play catch ball (idea/issue back and forth discussion) and think on their feet. Will display and operate in a way that never compromises Ethics and integrity, and will be non-political in all dealings with agendas that are above board and understood by all. MOST IMPORTANT COMPETENCIES REQUIRED: Deal experience Project management experience Quantitative and modeling skills/experience Familiarity with legal aspects of M&A transactions Track record of establishing significant credibility, trust and support within all levels of an organization (i.e. peers, subordinates and senior management). Able to effectively communicate with colleagues in other functions (i.e. Legal, Finance etc.) International experience, domain expertise in areas of strategic focus for Danaher, technical or operating experience will be considered positively, but are not necessary QUALIFICATIONS: The successful candidate must be creative, intellectually curious and have a strong work ethic. The individual must be an independent thinker and self-starter with the bandwidth to multitask and work on several potential deals (at various stages) at a given time. The individual should be cost-conscious and have a thick skin (i.e., ability to participate in spirited give-and-take discussions about his or her work). It is important that the individual have superior interpersonal skills with an ability to work with people at multiple levels both inside and outside of Danaher (i.e., will frequently work with senior functional executives at Danaher as well as company Presidents and their staffs at target companies.) Must be willing/able to travel (approximately 15% - 20%, mostly international.)
